ACKGROUND:签约背景CommencementDateandTerm 开工日期及期限JobTitleandDescription职务及岗位职责EmployeeCompensation雇员薪酬EmployeeBenefits雇员福利Vacation假期DutytoDevoteFullTime 全职工作的职责ConflictofInterest 利益冲突ConfidentialInformation 保密信息TerminationofEmployment 雇佣终止Non-CompetitionandNon-solicitation 竞业禁止NoticesandAdditionalClauses 通知及附加条款ModificationofAgreement 合同的修订GoverningLawsandJurisdiction适用法律及司法管辖权THISEMPLOYMENTCONTRACTdatedthis____dayof___本雇用合同签订于 年月日。BETWEEN:由___(the"Employer")OFTHEFIRSTPART公司名称(以下简称“雇主” )AND和_____OFTHESECONDPART(the"Employee")(以下简称“雇员”)双方之间签署。BACKGROUND:签约背景A.TheEmployerisoftheopinionthattheEmployeehasthenecessaryqualifications,experienceandabilitiestoassistandbenefittheEmployerinitsbusiness.雇主视雇员已经具备了必要的资质、经验及能力,能在业务中协助雇主并使之受益。B.TheEmployerdesirestoemploytheEmployeeandtheEmployeehasagreedtoacceptandentersuchemploymentuponthetermsandconditionssetoutinthisAgreement.雇主愿雇用雇员,且雇员亦同意并接受本合同中双方约定的条款和内容。INCONSIDERATIONOFthemattersdescribedaboveandofthemutualbenefitsandobligationssetforthinthisAgreement,thereceiptandsufficiencyofwhichconsiderationisherebyacknowledged,thepartiestothisAgreementagreeasfollows:鉴于上述情形及双方在本合同中的权利义务,双方当事人确认已收到本协议且经充分的考虑,现同意以下合同内容:CommencementDateandTerm 开工日期及期限1.TheEmployeewill commencepermanent full-time employment with the Employeronthe____(the"CommencementDate").雇员将于 年 月日开始工作(以下简称“开工日期” ),从事该常设的全职工作。TheEmployeehasaprobationaryperiodofThree(3)months(the'ProbationaryPeriod')beginningontheCommencementDate.AtanytimeduringtheProbationaryPeriod,asandwherepermittedbylaw,theEmployerwillhavetherighttoterminateemploymentwithoutanynoticeorcompensationtotheEmployeeotherthanwagesowedfordaysofworkalreadycompleted.从开工日期开始,雇员设有为期叁个月的试用期(以下简称“试用期” )。在试用期内,雇主有权根据法律规定在不经通知和不支付补偿金的情况下解除雇用合同,但应根据雇员实际的工作天数向其支付工资。JobTitleandDescription职务及岗位职责TheEmployeragreestoemploytheEmployeeas_____.TheEmployeewillbeexpectedtoperformthefollowingjobduties:seeattachmentforJobDescription.雇主同意雇员担任 ____ 一职。雇员应履行以下工作职责:详见岗位职责。TheEmployercannotunilaterallyandsignificantlychangetheEmployee'sjobtitleorduties.TheEmployermaymakechangestothejobtitleordutiesoftheEmployeewherethechangeswouldbeconsideredreasonableforasimilarpositionintheindustryorbusinessoftheEmployer.TheEmployee'sjobtitleordutiesmaybechangedbyagreementandwiththeapprovalofboththeEmployeeandtheEmployer.雇主不得单方及实质变更雇员的岗位或工作内容。雇主可以对雇员的岗位或工作内容作类似职位上的合理调整。雇员和雇主可通过协商一致的方式变更雇员的岗位或工作内容。TheEmployeeagreestoabidebytheEmployer'srules,regulations,andpractices,includingthoseconcerningworkschedules,vacationandsickleave,astheymayfromtimetotimebeadoptedormodified(seeattachmentforEmployer'srulesandregulations).ThisAgreementshallbereadinconjunctionwiththeEmployer'srulesandregulationswhichmaybeamendedfromtimetotimebytheEmployeratitsabsolutediscretionandtheEmployeeherebyagreestoperformandobservesthesamewithoutreservationwhatsoever.雇员确认,应遵守雇主公司包括有关工作时间、假期、病假等内容的规章制度,且该等规章制度可不时被修订或批准实行(详见公司规章制度)。本合同应结合雇主公司的规章制度共同理解。公司规章制度经公司决定可不时地被修订,雇员同意毫无保留地履行并遵守所有规定。EmployeeCompensation雇员薪酬CompensationpaidtotheEmployeeisattherateof_____(CND/USD/HKD)permonth.Theaverageworkinghoursis40hoursperweek,theworkinghourwillnotexceed44hoursperweek,ifworkedpassed44hours,thewagefortheadditionalhourswillbe1.5timesoftheEmployee’sregularwage.Aswellasworkingonapublicholiday,thewagewillbetreatedasOvertimePaid.TheOvertimePaidwillbepaidaccordingtotherelatedlawandregulationofthegovernment.雇员的薪酬按每月 ____ 元(加币/美元/港币)的标准支付。每周工作时间为 40小时,每周工作时间不得超过 44小时,如超过44小时的,则超时期间应以雇员正常工资的 1.5倍支付工资。在公众假期工作的,则应当支付加班费。加班费应根据政府的相关法律法规的规定予以支付。ThisCompensation(beforetax)willbepayable____(date)whilethisAgreementisinforceby(cheque/transfer).本合同生效后,上述薪酬(税前)在 ____(日期)以(支票 /转账)的方式支付给雇员。PlaceofWork工作地点UsuallytheEmployee'sprimaryplaceofworkwillbeatthefollowinglocation:GibsonDriveMarkhamOntarioL3R3K1.ButoccasionallymaypossiblybegoingtootherEducation(branches)Centresforspecialeventsoronexchangeformorelearningexperiences.通常情况下,雇员的主要工作地点位于以下地址:安大略万锦市但偶尔可能会因特殊事务或学习经验交流而前往其它分支机构。

Drive160号。EmployeeBenefits雇员福利9.After theprobationary period, Employerswill provide the benefit of theEmploymentInsurance(EI)andCanadaPensionPlan(CPP)(US:EmploymentInsuranceandPensionPlan/HKMandatoryProvidentFundSchemes(MPF)).ThusitwouldbebestforEmployeetoprovidetheirSINcardandrecordtheSocialInsuranceNumberforreference.

:试用期结束后,公司将为雇员购买加拿大就业保险及加入退休金计划 (美国:就业保险及退休金计划/香港:强积金计划)。因此,雇员应提供本人的社会保险卡及社会保险记录以备用。Vacation假期10.TheEmployeewillbeentitledtotwoweeksofpaidvacationeachyearduringthetermofthisAgreement.在本合同履行期间,雇员每年可享受为期两周的有薪假期。11.ThetimesanddatesforanyvacationwillbedeterminedbymutualagreementbetweentheEmployerandtheEmployee.任何假期的放假天数及次数均以雇员及雇主公司双方协商一致的结果为准。ForanypublicholidayswhichfallsonadaythatwouldordinarilybeaworkingdayfortheEmployee,theEmployeeshouldhaveadayoffbylaw.公众假期如适逢雇员工作日的,则雇员根据法律应补假一天。DutytoDevoteFullTime 全职工作的职责13.TheEmployeeagreestodevotefull-timeefforts,asanemployeeoftheEmployer,totheemploymentdutiesandobligationsasdescribedinthisAgreement.雇员同意,将以全力投入此全职工作中,并愿意遵守本合同内约定的雇员职责及义务。ConflictofInterest 利益冲突14.DuringthetermoftheEmployee's activeemploymentwiththeEmployer,itisunderstoodandagreedthat Employeecannotmakehis/her ownbusinesssimilar toArtSpace(“theCompany”),andanybusinessopportunityrelatingtoorsimilartoArtSpacemaycomingtotheattentionoftheschool,isanopportunitybelongingtotheschool.在受雇期间,雇员不得经营与艺术空间(以下简称公司)相类似的业务,且任何艺术空间留意到的与其学校业务有关或相类似的商业机遇,亦均属于其学校所有。DuringthetermoftheEmployee'sactiveemploymentwiththeEmployer,theEmployeewillnot,directlyorindirectly,engageorparticipateinanyotherbusinessactivitiesthattheschool,initsreasonablediscretion,determinestobeinconflictwiththebestinterestsoftheArtSpace.在受雇期间,雇员不得直接或间接地从事或参与经学校合理判断并确定其与艺术空间有利益冲突的任何商业活动。ConfidentialInformation 保密信息16.TheEmployeeacknowledgesthat,inanypositiontheEmployeemayhold,inandasaresultoftheEmployee'semployment bytheEmployer,theEmployeewill,ormaybemakinguseof,acquiringoraddingtoinformationwhichisconfidentialtotheEmployer(the"ConfidentialInformation")andtheConfidentialInformationistheexclusivepropertyoftheEmployer.WithoutprejudicetothegeneraldutyofconfidenceoftheEmployeetowardstheEmployer,theEmployeeshallnot,duringhisemploymentwiththeEmployerandforaperiodoftwelve(12)monthsthereafter:雇员确认,在受雇时无论担任何种职务,所使用、所获知及所增添的公司保密信息(以下简称“保密信息”)均属公司的专有财产。雇员在不违反对雇主公司的一般保密义务下,应在受雇期间以及雇用结束后的12个月内不得:16.1divulgeorcommunicatetoanyperson(s)excepttothoseoftheofficersoftheEmployerwhoseprovinceitistoknowthesame;or向除了公司管辖相同业务范围高管外的任何人泄漏或者交流;或者16.2useforhisownpurposeorforanypurposeotherthanthoseoftheEmployer;or对自身或者任何除公司以外目的而使用;或者16.3throughanyfailuretoexerciseallduecareanddiligence,causeanyunauthorizeddisclosureofanysecret,confidentialorprivateinformationrelatingtotheprivateaffairsoftheEmployerorbeingboundbyanobligationofconfidencetoanythirdpartyprovidedthattheserestrictionsshallceasetoapplytoanyinformationorknowledgewhichmaybecomeavailabletothepublicgenerally.未能保持应有的注意或警惕,导致在未授权情况下使与公司业务相关的机密、保密信息或者个人信息泄露,或者使公司向秘密提供者负有不得向公众公开之义务的信息泄露。17.TheConfidentialInformationwillincludebutnotlimitedto: 保密信息包括但不限于:Studentrecruitingproposalandmethods 学员招募提案及方法Lessonplans,teachingproposalsandcourseoutline课程规划,教育提案及课程大纲Workingregulationsandmanagementsystems工作规章及管理体系Studentsandfamilyinformationinanyform任何形式的学员及家庭之信息Numberofstudents学员人数Anytypesofevents/activitiesproposalandlessonplans任何形式的活动提案和课程计划Blueprints/graphicdesignsoranyschoolrelatedpropertyimagesandinformation与学校有关的形象和信息,以及设计图稿或图形Interiordesigns/decorationsproposals,imagesandinformation内部装修、设计之提案、形象及信息Companyassets,operatingstatus,investmenttargets,accounting,bookkeeping,wageinformation,andanyfinancialdatabase公司资产、经营状况、投资目标、财务会计账薄、工资资料,及任何财务数据AnyworkthattheEmployeewasassignedordoneundertheEmployeroronbehaveoftheschoolbelongstocompany’sintellectualpropertiesorintangibleassets,thesewillincludebutnotlimitedto:雇员代表学校或经雇主指派所完成的任何工作,

均属公司的知识产权或无形资产,

包括但不限于:Lessonplans,teachingproposalsandcourseoutline 课程计划,教育提案及课程大纲Informationrelatedtowork,skills,technologicalachievements,builtupreputations与工作、技能、技术成果、建立声誉有关的信息Classroomdecorations/designsandanypublicplacedesigns/decorationsinschoolproperties学校里的教室装修/设计以及公共区域的设计/装修Activitiesandeventsphotosorvideoimages 活动之照片或影像资料Duringthetermsofthisagreement,anyartpieces,works,anddesignsmadebytheEmployeeusingschoolmaterials,supplies,skillsandinformationinformsofelectronicversion,printouts,handmade,orhardcopies在本合同期间,雇员使用学校以数字形式、打印文本、手工制品或复印文本等方式提供的材料、物资、技能及信息所制作成的任何艺术作品及设计TerminationofEmployment 雇佣终止TheEmployeeandtheEmployeragreethatreasonableandsufficientnoticeofterminationofemploymentbytheEmployeristhegreateroftwo(2)weeksoranyminimumnoticerequiredbylaw.雇员及雇主同意,雇主可在给予合理且充足时间的通知后终止雇用关系,但应至少提前2个星期或法律规定的最短时间。IftheEmployeewishestoterminatethisemploymentwiththeEmployer,theEmployeewillprovidetheEmployerwithnoticeoftwo(2)weeks.Asanalternative,iftheEmployeeco-operateswiththetraininganddevelopmentofareplacement,thensufficientnoticeisgivenifitissufficientnoticetoallowtheEmployertofindandtrainthereplacement.如雇员要提前终止本雇佣合同的, 应提前2星期通知雇主。或者,如果雇员配合培训及提升替代人员的,则该通知应提前至有充足的时间以便让雇主找到并培训该替代人员。AftertheterminationoftheEmployee’semploymenthereunderheshallnotatanytimethereafterrepresenthimselfasbeinginanywayconnectedwithorinterestedinthebusinessoforemployedbytheEmployer,oruseortradeorotherpurposesthenameoftheEmployeroranybranchesoftheEmployeroranynamecapableofconfusiontherewith.雇用关系终止后,雇员在任何时候不得以任何方式表明自己与雇主的业务仍有关联或有利益关系,不得声称自己仍是公司雇员,也不得将公司或分支机构的名称或其它可致混淆的名称用于其交易或其它目的。Non-CompetitionandNon-solicitation 竞业禁止22.TheEmployeeagreesthat duringtheEmployee'sterm ofactiveemployment with theEmployerandforaperiodoftwo(2)yearsaftertheendofthatterm,theEmployeewillnotengageinanybusinessthatisincompetitionwiththebusinessofArtSpace.雇员同意,在受雇期间及终止雇用后的两年内,不得从事与艺术空间有竞争的业务。23.TheEmployeeshallnot,duringtheemploymentwiththeEmployerandforaperiodof12monthsthereafter:雇员在公司受雇期间或终止雇佣后的

12个月内不得:23.1EitherontheEmployee’sownaccountorforanyperson,firm,companyororganizationsolicitorenticeorendeavourtosolicitorenticeawayfromtheArtSpaceanyemployee,whetherornotsuchpersonwouldcommitanybreachofhiscontractofemploymentbyreasonofleavingtheserviceoftheArtSpace;出于雇员的个人目的或是为任何个人、公司、企业或组织拉拢、引诱或者尝试拉拢、引诱公司的任何雇员,无论其是否因违反雇用
