ConsignmentStockModel –AutomaticProduction库存运转模式 –自动生产DefinitionofGoodsorProduct:The“Goods”or“Product”underthisAgreementrefertoalltypesofproductsorderedby“BOSCH”fromtheSUPPLIER.ThedetailedproductsinformationshallrefertothemainPurchaseContractand“PurchaseOrder”fromBOSCH.“货物”或“产品”定义：本协议所称“货物”或“产品”，指由博世向供应商订购的各类产品，具体产品信息见双方主采购合同及博世下达之“采购单”。TheSUPPLIERshouldautomaticallyandtimelyarrangetheproductionoftheconsignmentstockandmaketherelatedmaterialplanningaccordingtothe“DemandForecast”(seetheAnnex1)givenbyBOSCH30daysinadvance.供应商根据博世提前三十天时间提供的《需求预测表》（参见附表一）自动及时地安排库存的生产和相关的备料计划。UnderthisAgreement,theSUPPLIERshallbearalltaxesandfees/costsrelatingtothestock,suchasstoragefee,waterandpowerfee,stockandpropertyinsurancepremiumetcbyitself.本协议下供应商自行负责货物备库所需的税费/成本，如仓储费、水电费及货物和财产保险等费用。2. DemandForecast《需求预测表》Thefirstweekofeachmonth,thelist “DemandForecast”willbyupdatedby “ProductionPlanning Department”ofBOSCH (hereinafter called “BOSCH/MFO ”)andthengiven totheSUPPLIERbyfax.每个月的第一周，博世生产计划部对 《需求预测表》进行更新，并以传真的方式提供给供应商。Thelist“DemandForecast”shallincludethedemandforecastofatleastthreemonths,foreachmonththereisanupperlimitandalowerlimit.Amongwhich,thefirstmonthisfixedquantity,whichshouldbetakenbytheSUPPLIERasthebasisforproductionofconsignmentstock.Thesecondandthirdmonthisonlyforecastquantityandnotbinding,whichshouldbetakenbytheSUPPLIERonlyforthepurposeoffuturematerialplanning2/8STL-Agreement(#2004-STL-《需求预测表》应至少包含三个月的预测需求量，每个月的数量均有一个上限数量和一个下限数量。其中，第一个月的数量为固定数量，作为供应商库存生产的依据。第二、第三个月的数量为预测数量，不具约束力，仅为供应商制定日后备料计划预测用途。TheSUPPLIERmustmakesurethattheupperandlowerlimitsrequiredbyBOSCHcanbemetaccordingly.Inprinciple,theconsignmentstockreachesthelowerlevel,theSUPPLIERshouldstarttoreplenishthestocklevel.Adversely,whentheconsignmentstockexceedstheupperlevel,theSUPPLIERshouldreducethestockleveltoareasonablelevelbyadjustingtheirproductionplan.供应商必须保证满足博世的上下限要求。 原则上，当供应商的库存降至下限要求时， 供应商应开始补库；反之，当供应商的库存超过上限要求时，供应商应通过调整生产计划，将库存水准降至合理的水准。DeliveryandTransportation发货与运输ThedeliveryshallbearrangedbytheSUPPLIERaccordingtotheFourthShift“PurchaseOrders”issuedbyBOSCH/MFO1~2daysinadvancebyfax.Therelated“PurchaseOrders”includethecodes,typedescriptions,quantities,requireddeliverydate,unitpricesandamountsofthecargoetc.Such“PurchaseOrders”onlybecomeeffectiveaftersignedbythedulyrepresentativeofBOSCH.Foranydelayingoodsdelivery,theSUPPLIERshallcompensateeconomiclossesifanycausedtoBOSCH’sproductionthereof.供应商根据博世生产计划部提前一至两天提供的四班“采购单”(传真件)安排发货。“采购单”的内容包括产品代码、产品型号、数量、要求交货日期、单价、金额等内容。该类“采购单”须经采购商的有效授权代表签署方为生效。如延期交货，应向博世承担因此影响博世生产而造成的经济损失。TheSUPPLIERisresponsibletodelivertherequiredgoodstothewarehouse(orassemblyline)ofBOSCHattherequireddates,thismeans,transportationexpensesfromSUPPLIER’swarehousetoBOSCH’swarehouseshallbepaidbytheSUPPLIER.供应商负责按照博世的具体要求，在指定的日期将货物运送至博世的仓库 (或总装生产线上)，亦即，供应商承担从其仓库至博世仓库 (或总装生产线)之间的运费费用。ThegoodsdeliveredbytheSUPPLIERtoBOSCHmustbetheones,whichhavebeenreleasedby“QualityAssuranceDepartment”ofBOSCH(hereinaftercalled“BOSCH/QAS”)andalsotallywiththerelatedPurchaseOrdersofBOSCH/MFO.ThepapershowingtheinformationabouttherelatedreleasebyBOSCHandthecopyof“PurchaseOrder”shouldaccompanywiththedeliveryofSUPPLIER.Thewarehouse(orassemblyline)ofBOSCHacceptsthedeliveryby“ReleasePaper”and“PurchaseOrder”involved.供应商的交货必须是博世质检部已经放行了的产品，且与博世的采购单相吻合。“产品放行证明”(复印件)和“采购单”(复印件)应随货同行。博世的仓库(或总装生产线)凭“采购单”3/8STL-Agreement(#2004-STL-(复印件)和“产品放行证明” (复印件)办理货物的接收。ReleaseofProducts产品放行EachbatchofproductsmanufacturedbytheSUPPLIERhavetoobtainthereleaseapprovalfromBOSCH/QAS.Howtoreleasetherelatedproducts(randomcheckorbatch-by-batchcheck)issubjecttothedecisionofBOSCH/QAS.供应商生产的每一批产品，均要获得博世质检部的放行许可。是百分之百每批检验放行，还是抽查检验放行，取决于博世质检部的决定。Incase of quality checks of100% batches, when theproduction isfinished bytheSUPPLIER, Quality Assurance Department of“BOSCH”send theIQC-people totheplaceoftheSUPPLIERtomakethequalitycheckattheSUPPLIERaccordingtothetimescheduleagreedbybothsides.百分之百检验放行时， 供应商完成生产之后， 根据双方确认的时间表， 博世质检部派人到供应商所在地进行产品的质量检查。Incaseofrandomchecks,itisamustfortheSUPPLIERtogettheoriginalwrittencopyorfaxreleasefromBOSCHbyofferingtheirfullsetsofinspectionreportsbyoriginalwrittencopyorfax.抽查检验放行时，供应商必须通过书面原件或传真向“博世”质检部提供全套的质检报告，以取得博世质检部的放行许可（书面原件或传真） 。NomatterwhichchecksmodeistakenbytherepresentativesofrelevantdepartmentofBOSCH,thereleaseofproductsshallnotexempttheliabilityoftheSUPPLIERforthoseinternalandintangibledefectexistinginproducts不论博世相关部门代表对产品采取何种检验方式并予以放行， 但并不能免除供应商应承担的所有产品内在隐蔽的质量缺陷或瑕疵责任 .WhentheSUPPLIERhasworkedouttheproductionplanbasedonthe“DemandForecast”ofBOSCH,theSUPPLIERisresponsibletoinformBOSCH/QASandBOSCH/MFOearlierenoughinadvanceaboutthedetailedtimescheduleforwhenthequalityauditcanbecarriedout.BOSCH/QASisresponsibletofixtheauditdateaccordingly,orgetthedatesacceptabletobothsidesthroughmutualnegotiations.当“供应商”根据“博世”提供的《需求预测表》制定出生产计划之后， “供应商”负责提前足够的时间通知“博世”的质检部和生产计划部可以开始产品质量的检验时间。 “博世”质检部负责确定质量检验的日期，或者通过协商决定质量检验的日期。WarehousingofProducts产品的仓储TheSUPPLIERshouldarrangeaseparateplacefortheconsignmentstock.Onlythose4/8STL-Agreement(#2004-STL-products,whichhavebeenreleasedbyBOSCH/QAS,canbestoredintheassignedplaceattheSUPPLIER.ThestockshouldbeprovidedwiththecorrectandclearlabelingcontainingBOSCHcode,typedescription,productionbatchandquantityetc.“供应商”应安排一个专门的地方存放货物。 只有那些获得了“博世”质检部放行了的产品，才能存放在这个专门的地方。库存的产品应有博世代码、 产品型号与名称、 生产批次、数量等标识。WithoutagreementofBOSCH,itisnotallowedfortheSUPPLIERtomoveorexchangeanyconsignmentstock,whichhasbeenreleasedbyBOSCH.未经博世同意，供应商不得随意搬动或调换已检验合格的产品。TheSUPPLIERshouldmakesurethatthestorageofthequalifiedproductsmatchesthedust-proof,moisture-proofandsunshine-proofconditionsandenvironmentalandfireprotectionetc.requirementsofthenationalstandard.供应商应确保存放检验合格后的产品的仓库，应防尘、防潮、防晒，并满足此类产品存放的国家环保及消防等方面要求。The SUPPLIER should have anInventory Management System capable measuringinventoryturnsandstockleveloftheparts,ensuringthestockrotationona“FirstInFirstOut”(FIFO)principleandsupportingconsignmentstock,ShiptoStock(STS)orShiptoLine(STL)deliveries.供应商应有一个可以监测仓库周转、库存水准的仓库管理体系。货物的出仓必须满足“先进先出”之基本原则，并按照需要供货至博世仓库或总装生产线上。TheSUPPLIERshalltakeaproactiveapproachandcommunicateallpotentialdeliveryproblems before they affect current BOSCH stock levels and productionplanning/arrangement.供应商应建立一个有效的预防和沟通机制，防范潜在的交货问题影响博世的库存水准和生产计划/安排。ChangeofDesign设计更改IfthedesignofoutsourcingpartshavetobechangedbyBOSCH,BOSCHwillinformtheSUPPLIERone-monthinadvance.BOSCHisonlyresponsibleforthefixedquantitiesofthe first month and non-common-parts of second month, the costs for the abovemodifications have tobenegotiated byboth parties；While theSUPPLIER shall beresponsiblefortherestforecastquantitiesbyitself.当外购件或外协件需要更改时， 博世将提前一个月通知供应商， 同时只负责预测表中固定量及第二月中专用件的数量， 上述更改所需费用由双方协商解决； 其它预测量由供应商自行处理。5/8STL-Agreement(#2004-STL-Payment货款支付ThedetailedconditionsofpaymentaresubjectinthemainPurchaseContractsignedbybothparties.合同产品的具体支付条款，参照双方签订的主采购合同。QualityAssurance质量保证ThequalityassuranceoftherelatedproductsissubjecttotheQualityAgreementandInstructionsonQualityAssurancesignedbybothparties.产品的质量保证，根据双方签订的《质量协议》和《供应商质量保证指南》 。9. AdjustmentofBOSCH-Orders博世订单的调整Whenthetotalquantitiesofactual “PurchaseOrders issued”byBOSCHareexceedingtheupperlimitmentionedinthe“DemandForecast”,thesuppliershouldensuretoarrangetheproductionoftheover-partsasfirstpriority.当博世的实际采购单大于《需求预测表》的上限时，供应方应保证在生产安排中优先完成，并制定出相关的处理方案，以满足要求。Whenthetotalquantitiesofactualmonthly “PurchaseOrders issued”byBOSCHarelessthanthegivenlowerlimit,theSUPPLIERshouldpaycloseattentiontotheirstockandmakerelatedadjustmentinordernottoexceedthegivenupperlimits.当博世当月实际采购定单的总数低于规定的下限时， 供应商应密切关注其库存水准， 并进行相应的调整，以保证库存的水准不超过规定的上限。Whenthestocklevelreachorbecomelowerthantherequiredlowerlimit,theSUPPLIERshouldtaketheimmediateactionsforreplenishmentoftheconsignmentstocksoastoavoidthatthestockrunsoutofthelevels.当供应商的库存水准达到或低于规定的下限时， 供应商应立即采取补库措施， 防止短货、断库现象的出现。Whenitcomestothecooperationoragreementexpiration,thesurplusstocks(ifany)shallbedisposedproperlybytheSUPPLIERafternegotiationwithBOSCH:IfBsochunderstandithasnocapabi
