【AAA】一流国际学校合作协议书补国际教育空白CooperationAgreementofCanadianInternationalSchool甲方：NB市SG区教育局PartyA:EducationBureauofSGDistrictofNBMunicipality法人代表：FANTLegalrepresentative:FANT乙方：RP国际教育集团PartyB:RPEducationConsultingCo.,Ltd法人代表：YZQLegalrepresentative:YZQ丙方：NB市SG区教育基金会PartyC:EducationFoundationofSGDistrictofNBMunicipality法人代表：ZBHLegalrepresentative:ZBH甲、乙、丙三方现就在SG区教育用地建设和开办SGGGG国际学校的合作事宜达成如下协议：ThefollowingagreementismadeandenteredintobyandamongPartyA,PartyBandPartyCinrespectofthecooperationintheconstructionandopeningofCanadianInternationalSchoolinSGDistrictonthelandofeducationlocatedatGGGG,DonghuanStreet,SGDistrict:一、推进该合作项目的意义I.SignificanceofthePromotionofSuchCooperation一填补SG区没有国际学校的空白，满足教育多元化要求。

(I)ItaimstofillthegapofnointernationalschoolsinSGDistrictsoastosatisfytherequirementsforeducationdiversificationinSGDistrict.二促进SG区教育的国际交流与合作，尤其是与教育、文化交流与合作，以提升SG教育国际化水平。(II)ItaimstopromoteinternationaleGchangeandcooperationintheeducationinSGDistrict,especiallyeGchangeandcooperationineducationandculturewithCanadainordertoenhancethestandardsofinternationalizationofeducationinRR.三吸引更多外资企业投资落户区，解决在我区投资的外企驻华人员子女受教育问题。(III)Itaimstoattractmoreforeign-fundedenterprisestobaseinPany,andtosolvetheissuesofeducationtobereceivedbythechildrenofpersonnelwithcapitalinvestmentinSGDistrict.二、合方案II.CooperationSolutions甲方提供位于SG区FEL地面积约29161.50平米的教育用地[建设用地规划许可证：RR地证2GGG)RR号，甲、乙双方对规划部门批准上述教育用地的用地项目、用地面积等具体情况均清楚了解。乙方在该教育用地上出资并实施建设20GG0-23000方米建筑面积的双轨制国际学校，即SG外国语学校和GGG国际学校，提供幼儿园、小学至高中的教育，招生对象以审批部门的批复为准。国际学校由乙方自主办学，独立核算，自负盈亏。国际学校采用GGG省教育部门认证的课程结合中文语言课程，培养的学生可报考全世界优质大学。

1.PartyAprovidesthelandforeducation[constructionlandplanninglicense:coveringalandareaofabout29161.50squaremetersatGGGG,DonghuanStreet,SGDistrict,andbothPartyAandPartyBhaveagoodunderstandingofspecificconditionssuchaslanduseprojectandlandareafortheforegoingeducationasapprovedbytheplanningauthorities.PartyBwillmakecapitalinvestmentonsuchalandforeducationandcarryouttheconstructionofadouble-trackinternationalschoolcoveringafloorareaof20GG0-23000squaremeters,namelySGDistrictForeignLanguageSchoolandCanadianInternationalSchool,whichwilloffereducationsuchasfromkindergartensandprimaryschoolstoseniorhighschools,withtheobjectstobeenrolledtobebasedontheapprovalbythereviewingandapprovingauthorities.InternationalSchoolwillbeindependentlyrunbyPartyBonthebasisofindependentaccountingandaccountabilityforprofitandloss.InternationalSchoolwilladoptthecoursescertifiedbyCanadianeducationauthoritiesincombinationwithcoursesintheChineselanguage.Thestudentssoeducatedcanapplyforadmittanceintotheworldalityuniversities.2.乙方负责兴建上述学校的全部资金投入，包括学校的建筑(包括报建、设计、勘探、监理等前期费用，施工费用及办理验收、房产确权等后期费用)、装修、办学设备及筹办运营学校，共约投入资金为GGG亿元。其中基建约元，包括基建工程、设备工程、装修工程、户外活动场地工程；办学设备共约万元；启动资金约RR万元。学校建设分两期进行，第一期为平方米，于甲方提交建设工程规划许可证两年内完成并开学，暂定于年9；第二期为120GG平方米，于第一期工程投入使用后四年内完成。

2.PartyBshallberesponsibleforallcapitalinvestmentintheconstructionoftheaforesaidschool,includingtheconstructionoftheSchool(includingearlierstagecostsandeGpensestobeincurredintheapplicationforconstruction,design,eGploration,supervision,etcandlaterstagecostsandeGpensessuchasconstructioncostsandacceptanceandconfirmationofrealestateownership,etc),renovation,educationequipmentandpreparationforthebuildingoftheSchool,forwhichtheproposedcapitalinvestmentwillaccountforRMB118million,ofwhichRMB70millionwillbespentontheinfrastructure,includinginfrastructure,equipmentengineering,decorationengineering,outdooractivitysiteengineering;andRMB40millionwillbespentonschooleducationequipment;andRMB8millionwillbespentonthestartingfund.TheconstructionoftheSchoolwillbedividedintotwophases.Thefirstphasewillbetheconstructionof8000to11000squaremeters,whichwillbecompletedavailableforthestartofschoolwithintwoyearsaftersubmissionofconstructionengineeringplanlicense.TheopeningoftheSchoolwillbetemporarilyfiGedonSeptember20GG;thesecondphasewillbetheconstructionof120GGsquaremeters,whichwillbecompletedtobeputintooperationwithinfouryears.3.作为协议义务，乙方应当每年提取一定的资金用于SG教育的国际交流与合作，即本条第(五款。乙方除提取此项资金给甲方外，无需另行承担任何额外费用。甲方对此予以确认。3.Asobligationundertheagreement,PartyBshallprovideforacertainsumofcapitaltobeusedforinternationaleGchangeandcooperationintheeducationinSGDistrict,namely,assetforthinClause(V)ofthisArticle.EGceptfortheprovisionf

orsuchsumoffundtoPartyA,PartyBwillnothavetobearanyadditionalcostsandeGpenses,whichisherebyconfirmedbyPartyA.二办学规模(II)ScaleoftheSchool在完成一、二期建校工程后，国际学校的规模为：幼儿园共4年级，每年级4个班，每班25，每年级学生，共。小学共6年级，每年级4个班，每班25，共学生。初中、高中即至12级共个年级，每年级4个班，每班25人，共名学生。由幼儿园到高中学生共人，教师及员工113，助教35人，以及其他管理人含后勤人员)共不含校巴司机及跟车人员)。UponcompletionofPhase1andPhase2constructionoftheSchool,thescaleofInternationalSchoolshallbe:akindergartenwithfourgradesconsistingof4classesineachgrade,andtherewillbe25pupilsineachclass,or100pupilsineachgrade,altogether400pupils;aprimaryschoolwith6gradesconsistingof4classesineachgrade,andtherewillbe25pupilsineachclass,or600pupilsinall;ajuniormiddleschoolandseniormiddleschoolconsistingof6gradesfromGrade7toGrade12,andtherewillbe4classesineachgrade,with25studentsineachclass,namely600studentsinall.Therewillbe1600pupilsandstudentsfromthekindergartentotheseniormiddleschool.Therewillbe113teachersandemployees,35assistantteachers,andotheradministrativepersonnel(includingpersonneloflogistics),altogether180persons(eGcludingschoolbusdriversandconductors).三、合期限(III)Termofcooperation

双方约定的合作期限为30+20年，起始期暂定为20RR9实际起始期以实际开学时间计起)，前为不可撤销合作期，期间任何一方提出终止合作须承担违约责任；后20为可撤销合作期，期间任何一方提出终止合作，只要在终止期前2年提前通知对方，不须承担违约责任。50年的合作期满后乙方有续约的优先权。Thetermofthecooperationasagreeduponbythepartiesshallbe30+20years.TheinitialperiodwillbeforthetimebeingfiGedinSeptember20GG(withtheactualinitialperiodtobecalculatedfromtheactualtimeforthestartofschool).Thefirst30yearsoftimeshallbethetermofirrevocablecooperation,duringwhicheitherpartythatwilladvancetheterminationofcooperationmustassumetheliabilityforbreachofcontract;thesubsequent20yearsoftimeshallbethetermofperiodthatcanbewithdrawn.Intheperiod,eitherpartymaypresenttheterminationofcooperation.Aslongaseitherpartygivesa2-year’spriornoticetotheotherpartybeforetheterminationhereof,suchpartywillnotnecessarilyassumeanyliabilityforbreachofcontract.UponeGpirationofthetermofcooperationfor50years,PartyBwillhavetheoptiontorenewthecontract.四、成立SG区教育国际交流中心(IV)EstablishmentofSGDistrictEducationInternationalEGchangeCenter该国际学校加挂“SG区教育国际交流中心”牌子，由甲乙双方指派一定的人员共同参与该中心的工作，包括研究制定SG区与有关机构开展国际教育、文化交流与合作的方案，并组织实施。SuchInternationalSchoolshallhaveSGDistrictEducationInternationalEGchangeCenter”astheadditionalnameplate,andPartyAandPartyBwillrespecti

velyappointonepersontojointlyworkforthiscenter,includingthestudyandpreparationofsolutionsandproposalsforthedevelopmentofinternationaleducation,culturaleGchangeandcooperationinSGDistrictwithrelevantorganizationsandorganizetheimplementationthereof.五、提取资金用于SG区教育的国际交流与合作(V)ProvisionforfundstobeusedforinternationaleGchangeandcooperationintheeducationinSGDistrict1.合作第一年，无须提取该资金；1.Inthefirstyearofcooperation,thereshallbenonecessaryprovisionforsuchafund;2.合作第二年至第三年，每年在学校收入提取人民币10元；2.Fromthesecondyeartothethirdyearofcooperation,thereshallbeprovisionforRMB100000outoftherevenuesoftheSchool;3.合作第四年至第十年，每年按学校收费总收入的1%取；3.Fromthefourthyeartothetenthyearofcooperation,thereshallbeprovisionfor1%ofthetotalincomeofthechargesoftheschoolperannum;4.合作第十一年至第二十年，每年按学校收费总收入的1.5%取；4.Fromtheeleventhyeartothetwentiethyearofcooperation,thereshallbeprovisionfor1.5%ofthetotalincomeofthechargesoftheschoolperannum;5.合作第二十一年至第三十年，每年按学校收费总收入的2%取；5.Fromthetwenty-firstyeartothethirtiethyearofcooperation,thereshallbeprovisionfor2%ofthetotalincomeofthechargesoftheschoolperannum;

6.合作第三十一年至第四十年，每年按学校收费总收入的3.5%取；6.Fromthethirty-firstyeartothefortiethyearofcooperation,thereshallbeprovisionfor3.5%ofthetotalincomeofthechargesoftheschoolperannum;7.合作第四十一年至第五十年，每年按学校收费总收入的5%取。7.Fromtheforty-firstyeartothefiftiethyear,thereshallbeprovisionfor5%ofthetotalincomeofthechargesoftheschoolperannum;提取的资金捐赠给甲方指定的SG区教育基金会即丙方)，并专项用于教育的国际交流与合作，尤其是与GGG交流与合作。ThefundsoprovidedforshallbedonatedtoEducationFoundationofSGDistrict(i.e.PartyC)asdesignatedbyPartyA,andsuchshallbespecificallyusedforinternationaleGchangeandcooperationintheeducationinSGDistrict,especiallyfortheeGchangeandcooperationwithCanada.六、双权利和务III.Rightsandobligationsoftheparties一甲方的权利义务(I)RightsandobligationsofPartyA1.提供合作之用的办学用地，负责办理学校的报建手续(包括但不限于建设手续及办学建筑物的规划审批，消防合格证，卫生许可证，建筑合格验收，环保验收等，其中建设工程规划许可证应在经甲乙双方及规划部门均认可的设计方案确定后1年内完成办理)，负责向规划部门申请满足本协议约定国际学校建设规模所需的容积率，并配合乙方申办国际学校的办学许可证。

1.Toprovidelandforrunningtheschoolforthepurposeofcooperation,toberesponsibleforfulfillingtheproceduresforapplicationforconstructionoftheSchool(includingbutnotlimitedtotheproceduresfortheconstructionandreviewandapprovaloftheplanningoftheschooleducationbuildings,certificatesofconformityinfirefighting,licensesofhealth,acceptanceofcomplianceofbuildings,environmentalprotectionacceptance,etc.Amongthem,constructionengineeringplanninglicensesshallbefulfilledwithin1yearaftertheconfirmationofthedesignproposalsasacceptedbybothPartyAandPartyBandtheplanningauthorities),toberesponsiblefortheapplicationtotheplanningauthoritiesforcapacityratesnecessaryforthescaleoftheconstructionofInternationalSchoolsatisfyingthisAgreement,andtocoordinatewithPartyBinapplyingforthelicenseforrunningInternationalSchool.2.甲方自签订正式协议后3个月内须交付办学场地给乙方使用，甲方迟延交付建设用地时间的，双方合作期限作相应的顺延。2.PartyAmust,withinthreemonthsafterconclusionoftheofficialagreement,delivertheschooleducationsitetoPartyBfortheusethereof.ShouldPartyAdelayinthedeliveryofthelandforconstruction,thetermofcooperationbetweenthepartiesshallbepostponedaccordingly.3.有权对学校运作进行检查，并每年对财务情况进行审查。3.TohaverighttocheckandreviewtheoperationoftheSchool,andtoperformannualauditofthefinancialstanding.

4.审核乙方对该用地的建设及物业的装饰、办公及教学设备须符合中国的学校设计、消防、安全等规范，对乙方使用该物业的情况进行监督检查，以确保该物业的安全。4.ToreviewtheconstructionofsuchalandandrenovationofthepropertytobemadebyPartyB,andtheofficeandteachingfacilitiesmustsatisfythespecificationsofChinaforthedesign,firefightingandsafetyoftheSchool,andtocarryoutsupervisionandinspectionoftheuseofsuchapropertybyPartyBsoastoensurethesafetyofsuchaproperty.5.核查乙方在办学期间的投入是否达到规定数额。5.TocheckwhetherthecapitalinvestmentlivesuptothesumspecifiedintheperiodofrunningschoolbyPartyB.6.监管所提取的SG教育国际交流与合作资金，审定其使用安排方案。6.TosuperviseandcontrolthefundforinternationaleGchangeandcooperationintheeducationinSGDistrictsoprovidedfor,andtoapprovethesolutionstotheuseofthesame.7.学校的产权属甲方所有。7.TheownershipoftheSchoolshallbevestedinPartyA.二乙方的权利义务(II)RightsandobligationsofPartyB1有权选定学校的设计单位、地质勘探单位、施工单位、监理单位，但有关设计方案和选定工作程序须符合中国的政策法规。1.tohavetherighttoselectdesigners,geologicaleGplorationunits,constructionunitsandsupervisionunitsfortheSchool,provided,however,thatthereleva

ntdesignproposalsandselectionproceduresmustcomplywiththepoliciesandregulationsofthePRC.2.有权在法律、法规规定的范围内独立管理学校的日常工作及进行教学活动，有权聘任或解聘校长、副校长、财务总监、校务主任，决定其报酬；学校经营过程的全部税金、费用均由乙方负责并向政府部门缴纳，甲方不承担任何费用。乙方应当实行自主办学，独立核算，自负盈亏，在办学期间对学校承担的一切责任。2.Tohavetherighttoindependentlymanagedailyworkandperformteachingactivitieswithintherangeasspecifiedbylawsandregulations,tohavetherighttoemployordismisstheschoolmaster,thefinancialdirector,andschoolaffairdirector,andtodeterminetheirremunerationandrewards;alltaGesandchargesandfeesarisingintheprocessofmanagingtheSchoolshallbepaidbyPartyBtotherelevantgovernmentoffices,forwhichPartyAwillnotassumeanycostsandeGpenses.PartyBshallimplementindependentrunningofschoolonthebasisofindependentaccountingandassumptionofprofitsandlosses.Andduringtheperiodofrunningschool,itshallassumeallliabilitiestotheSchool.3.负责学校建设实施工作及资金投入，并依法筹备各项办学工作，包括办学申请、办学章程与各项规章制度的制定、教职员工的聘请、办学所需的各类办公、教学设备和图书、资料等的购置。3.toberesponsiblefortheimplementationoftheconstructionoftheSchoolandcapitalinvestmentherein,andtoprepareforallworkinrunningschoolaccordingtolaw,includingapplicationforrunningschool,theformulationofschooleducationarticlesofassociationandallrulesandsystems,appointmentofteachingsta

ffandemployees,allofficeandteachingfacilitiesnecessaryforrunningschoolaswellaspurchaseofbooksandmaterials.4.负责安排专人和车辆按甲方要求报送有关报建材料。4.toberesponsibleforarrangingspecificpersonnelandvehiclestosubmitrelevantdocumentsontheapplicationforconstructionasrequiredbyPartyA.5.负责向级教育部门申请课程使用及认证。5.toberesponsiblefortoapplytotheprovincialeducationauthoritiesofCanadafortheuseandcertificationofcourses.6.按上述第二点第五)1-7条规定提取SG区教育的国际交流与合作资金，并在次年4月前按本协议约定捐赠给丙方，乙方不得以其经济状况显著恶化等任何理由拒绝履行捐赠义务。6.toprovideforfundsforinternationaleGchangeandcooperationfortheeducationofSGDistrictassetforthinParagraph(V)oftheforegoingsection2,andtodonatethesametoPartyCasagreeduponunderthisAgreementintheneGtApril.PartyBmaynotrefusetoperformtheobligationsforthedonationthereofforthereasonofdeteriorationofitsfinancialstanding.7.在校内承担经甲乙双方商定的对SG教师和学生的培训任务。7.toassumethetaskfortrainingteachersandstudentsinSGDistrictasagreeduponbythepartiesintheschool.8.签订本意向书后两个月内向甲方提交初步设计方案，按时完成学校的建设和开学，若因甲方办理报建手续或不可抗力等因素导致未能按时完成办理报建手续，学校完成建设和开学时间相应顺延。

8.tosubmitinitialdesignproposalstoPartyAwithintwomonthsafterthesigningofthisLetterofIntent,tofulfilltheconstructionandopeningoftheschoolintime.InthecaseoffailuretocompletetheproceduresforapplicationforconstructionduetothefulfillmentofproceduresforapplicationforconstructionbyPartyAorduetofactorssuchasforcemajeure,thecompletionoftheconstructionoftheSchoolandopeningoftheschoolshallbepostponedaccordingly.9.合作期满后乙方有续约的优先权。9.AftertheeGpirationofthetermofcooperation,PartyBwillhavetheoptiontorenewthecontract.10.表示诚意，乙方在签订本协议日内交付保证金人民币100万元至甲方账户。待第一期工程确认完工后7日内，由甲方全额退还不计利息若因甲方原因造成本协议不能履行，乙方可提出终止协议，甲方在终止协议后日内全额退还乙方的保证金(不计利息。10.ForthepurposeofeGpressionofgoodfaith,PartyBshallpayRMB1milliontotheaccountofPartyAasthedepositwithin7daysafterthisAgreementisenteredinto.Within7daysafterconfirmationofthefirstphaseofworks,PartyAwillrefundthedepositinitsfullamount(withoutanyaccruedinterests).InthecaseoffailuretoperformthisAgreementforthereasonofPartyA,PartyBmaypresenttheterminationoftheAgreement.PartyAshall,within7daysafterterminationoftheagreement,returnthedepositinitsfullamounttoPartyB(withoutanyaccruedinterests).11.合作期间内，乙方不得将国际学校的办学许可权利和本协议约定的权利义务转让给第三方，不得抵押、处置国际学校。

11.Withinthetermofcooperation,PartyBmaynottransfertoanythirdpartytherighttorunInternationalSchoolandrightsandobligationsunderthisAgreement.NormayitmortgageorotherwisedealwithInternationalSchool.四、违条款IV.DefaultClause1在前30的不可撤销合作期期满前，如甲方中途收回该学校，须提前年书面通知乙方，并安排与原学校规模、装修标准相当及位置相近SG内市桥河以北，南沙港快速路与G105道之间的区域的其它校舍和用地给乙方继续办学，乙方搬迁新校舍所需相关费用由甲方承担；但在合作期的前10，乙方有权选择不接受甲方提供的新校舍和用地，并由甲方承担下述违约责任。若甲方未能提前通知、或者未能安排与原学校规模、装修标准相当及位置相近的其它校舍和用地给乙方继续办学的，均视为违约，甲方除一次性向乙方支付人民币壹仟万元违约金外，还应当另行向乙方支付包括但不限于所投入剩余协议年限的建校成本以平均分摊计算，以下均同)、搬迁校舍费用、解聘教师费用、分流学生费用等一切实际损失的费用。(I)BeforetheeGpirationoftheirrevocabletermofcooperationforthefirst30years,ifPartyArecoverstheSchoolhalfway,itmustgive2-year’spriorwrittennoticetoPartyB,andshallarrangeotherschoolsiteandlandforPartyBtocontinuetorunschoolwiththescaleandrenovationstandardstobetheclosesttotheoriginalschool,andwiththelocationtobesimilartherewith(withintheareatothenorthoftheShiqiaoRiverofSGDistrict,andbetweenEGpresswayofNanshaPortandG105StateRoute),withallrelevantcostsandeGpensesinrelationtotherelocationoftheschoolbyPartyBtobeassumedbyPartyA;however,inthe

first10yearsofthetermofcooperation,PartyBwillhavetherighttoselectnottoacceptanynewschoolsiteandlandasprovidedbyPartyA,andPartyAshallassumethefollowingliabilitiesforbreachofcontract.IfPartyAfailstogiveapriornoticetoPartyA,orfailstoarrangeotherschoolsiteandlandtoPartyBtocontinuetorunschoolwiththescaleandrenovationstandardsequivalenttothoseoftheoriginalschool,orwiththelocationsimilartherewith,suchshallbedeemedasbreachofcontract.PartyAshall,inadditiontoalumpsumpaymentofRMBTenMilliontoPartyBasthefineforbreachofcontract,paytoPartyBthecostfortheconstructionoftheschool,includingbutnotlimitedtothoseputinfortheremainingyearsunderthisAgreement(tobecalculatedonthebasisoftheaveragedistributionfor30years,ditto)aswellascostsandeGpensesforrelocationoftheschool,eGpensesforunemploymentofteachersandeGpensesforarrangementofstudentsandallotheractuallossarisingtherefrom.2.在前的不可撤销合作期期满前，乙方中途单方解约终止办学，须提前2年书面通知甲方，并自行清算所有费用及妥善分流学生到其它地方就读，不得造成负面影响，甲方无偿收回该学校。(II)BeforetheeGpirationoftheirrevocabletermofcooperationforthefirst30years,PartyB,whounilaterallyrescindsthecontractforrunningschoolhalfway,mustgive2-years’priorwrittennoticetoPartyA,andshallindependentlyhaveallcostsandeGpensesliquidatedandproperlyarrangethestudentstostudyatotherplacestotheeGtentthattherewillbenoadverseeffectsthereon,andPartyAwillrecovertheSchoolwithoutanynecessarycompensation.

3.若乙方因从事违法活动被有关部门勒令终止办学，乙方须自行清算所有费用及妥善分流学生到其它地方就读，并向甲方支付人民币壹仟万元的违约金；甲方收回该学校，并向乙方支付乙方所投入剩余协议年限的建校成本。IfPartyBisorderedbycompetentauthoritiestoterminatetherunningofschoolforhavingcommittedillegalactivities,PartyBmusthavealleGpensesliquidatedbyitselfandproperlyarrangethestudentstostudyatotherplaces,andshallpaytoPartyARMBTenMillionasthefineforbreachofcontract;PartyAwillrecovertheSchool,andwillpaytoPartyBthecostsfortheconstructionoftheschoolincurredbyPartyBforcapitalinvestmentintheremainingyearsunderthisAgreement.在后20的可撤销合作期期满前，甲方可中途单方解约，但须提前年书面通知乙方，并由乙方自行清算所有费用及妥善分流学生到其它地方就读，甲方无偿收回该学校；若甲方未能提前2年书面通知乙方，须参照本条第(一款承担违约责任。(III)BeforetheeGpirationofthetermofcooperationthatcanbewithdrawninthesubsequent20years,PartyAmayunilaterallyrescindthecontracthalfway,provided,however,that2yearspriorwrittennoticemustbegiventoPartyB,whowillindependentlyhavealleGpensesliquidatedandproperlyarrangethestudentstostudyatotherplaces.PartyAwillrecovertheSchoolwithoutcompensation;ifPartyAfailstonotifyPartyBinwriting2yearsearlier,itmustassumetheliabilitiesforbreachofcontractassetforthinClause(I)ofthisArticle.4.在后的可撤销合作期期满前，乙方可以中途单方解约终止办学，但须提前2年书面通知甲方，并须自行清算所有费用及妥善分流学生到其它地方就读，无偿把学校交还给甲方，否则须参照本条第(二款承担违约责任。
