停止协议通知后60天内办理其手中的和正在加工中的协议产品。合同到期后，或因被赞同方未在产品，或其包装纸箱、集装箱、包装资料和广告、促销、展现资料上加贴版权、商标和服务标记注册标签，或因被赞同方生产的产品的质量、式样不切合第七条所述赞同方的要求，而致使协议停止，被赞同方不得重生产、销售、办理任何协议产品。十六、协议停止或期满的成效协议停止或期满后，授予被赞同方的全部权益立刻返还赞同方。赞同方可自由地向他人转让在生产、销售、分销协议产品过程中使用该商标的权益。被赞同方不得再使用该商标，或直接、间接地波及该商标。除第十五条所述的状况外，被赞同方不得在制造、销售、分销其自己的产品时使用近似的商标。十七、对赞同方的赔偿被赞同方认识到(除还有规定外)，假如其在协议奏效后3个月内未开始生产、分销必定量的协议产品，或在协议期内未能连续地生产、分销、销售协议产品，将立刻致使赞同方的损失。被赞同方认识到(除还有规定外)，假如在协议停止或期满后，未能停止生产、销售、分销协议产品，将致使赞同方不可以填补的损失，并伤害后继被赞同方的权益。被赞同方认识到，对此没有适合的法律赔偿。被赞同方赞同在此状况下，赞同方有权获取衡平法上的救援，对被赞同方实行临时或永远禁令，或实行其余法庭以为公正、适合的判决。实行这些赔偿举措，不影响赞同方在协议中规定享有的其余权益和赔偿。十八、没法履行协议的原由若因为政府法例的变化，或因国家紧迫状态、战争状态和其余没法控制的原由，一方没法履行协议，书面通知对方原由和希望排除协议的意向，则被赞同方将被免去协议下的义务，本协议将停止，而鉴于销售额的使用费将立刻到期对付，最低限度使用费将不会返还。十九、通知除非有改正地址的书面通知，所有__、报告、申明及款项均应寄至协议记录的两方正式地址。邮寄日视作通知、报告等发出之日。二十、不赞同合资公司依据本协议，两方不该构成合伙人关系或合资公司。被赞同方无官僚求或限制赞同方的行为。二十一、被赞同方不得再行转让、赞同本协讲和协议下被赞同方的权益、义务，未经赞同方书面赞同，不得转让、抵押、再赞同，不因法律的实行或被赞同方的原由此遇到阻挡。赞同方能够进行转让，但需向被赞同方供应书面通知。二十二、无免责除非有两方署名的书面契约，本协议的任何条款不得被放弃或改正。本协议之外的陈说、许诺、保证、契约或承诺都不可以代表两方所有的共鸣。任一方不履行或延迟履行其协议下的权益，将不被视作对协议权益的放弃或改正。任一方可在合用法律赞同的时间内采纳适合的法律程序强迫履行权益。除了如第六条和第十二条的规定，被赞同方和赞同方之外的任何人、公司、公司(不论能否波及该商标)，都不因本协议而获取任何权益。赞同方(盖印)：_________被赞同方(盖印)：_________代表(署名)：_________代表(署名)：_________签署地址：_________签署地址：_________agreementmadethis_________dayof_________
