andquantityspecifiedinthisContractandLetterofQualityGuarantee.Theguaranteeperiodshallbe monthsafterthearrivalofthegoodsattheportofdestination,and duringtheperiodtheSellershallberesponsibleforthedamageduetothedefectsindesigningandmanufacturingofthemanufacturer.(Inspection)：TheSellershallhavethegoodsinspectedby daysbeforetheshipmentandhavetheInspectionCertificateissuedby .TheBuyermayhavethegoodsreinspectedby afterthegoods?rrivalatthedestination.Themanufacturersshall,beforedelivery,makeapreciseandcomprehensiveinspection ofthegoodswithregardtoitsquality,specifications,performaneeandquantity/weight,andissueinspectioncertificatescertifyingthetechnicaldataandconclusion of theinspection.Afterarrivalofthegoodsattheportofdestination,theBuyershallapplytoChinaCommodityInspectionBureau(hereinafterreferredtoasCCIB)forafurtherinspectionastothespecifications andquantity/weightofthegoods.Ifdamagesofthegoodsarefound,orthespecificationsand/orquantityarenotinconformity withthestipulations inthisContract,exceptwhentheresponsibilities lieswithInsuraneeCompanyorShippingCompany,theBuyershall,within daysafterarrivalofthegoodsattheportofdestination,claimagainsttheSeller,orrejectthegoodsaccordingtotheinspectioncertificateissuedbyCCIB.Incaseofdamageofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequalityandperformaneearenotinconformitywiththeContract,theBuyershall,duringtheguaranteeperiod,requestCCIBtomakeasurvey.(Claim):ThebuyershallmakeaclaimagainsttheSeller (includingreplacementofthegoods)bythefurtherinspectioncertificateandalltheexpensesincurredtherefromshallbebornebytheSeller.TheclaimsmentionedaboveshallberegardedasbeingacceptediftheSellerfailtoreplywithin daysaftertheSellerreceivedtheBuyer'sclaim.20.(LatedeliveryandPenalty ):ShouldtheSellerfailtomakedeliveryontimeasstipulatedintheContract,withtheexceptionofForceMajeurecausesspecifiedinClause21ofthisContract,theBuyershallagreetopostponethedeliveryontheconditionthattheSelleragreetopayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation. Therateofpenaltyischargedat %forevery days,odddayslessthan daysshouldbecountedas days.Butthepenalty,however,shallnotexceed %ofthetotalvalueofthegoodsinvoIved inthedelayeddelivery.IncasetheSellerfailtomakedelivery dayslaterthanthetimeofshipmentstipulatedintheContract,theBuyershallhavetherighttocanceltheContractandtheSeller,inspiteofthecancellation,shallneverthelesspaytheaforesaidpenaltytotheBuyerwithoutdelay.ThebuyershallhavetherighttolodgeaclaimagainsttheSellerforthelossessustainedifany.(ForceMajeure):TheSellershallnotberesponsibleforthedelayofshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellershalladvisetheBuyerimmediatelyoftheoccurreneementionedaboveandwithin daysthereaftertheSellershallsendanoticebycouriertotheBuyerfortheiracceptaneeofacertificateoftheaccidentissuedbythelocalchamberofcommerceunderwhosejurisdictiontheaccidentoccursasevideneethereof.UndersuchcircumstancestheSeller,however,arestill undertheobligation totakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan daystheBuyershallhavetherighttocanceltheContract.(Arbitration):AnydisputearisingfromorinconnectionwiththeContractshallbesettledthroughfriendly negotiation.
