10、单等相关工作。DeliveryofequipmentmeanstheunloadingbytheBuyerundertheguidanceoftheSellerandotherrelatedworkperformedbytheSellerandtheBuyer,suchasunpacking,inspection,stocktaking,acceptanceandsigningonthedeliverylistofequipmentbytheBuyeraftertheContractGoodshasbeencarriedtotheprojectsite.买方向卖方签署设备交付清单后，该批货物的

11、产权归属买方，但不得减少或免除合同规定的卖方的其他义务和责任。UponsigningonthedeliverylistofequipmentbytheBuyer,thepropertyrightsofthegoodsshallbeproprietarytotheBuyer,butshallnotreduceorrelievetheSellersotherobligationsandresponsibilitiesundertheContract.买方监造：指买方有权自付费用派代表到买方工厂进行监造微软用户1，卖方提供相应的食宿等方便。SupervisionoftheBuyermeansthat

20、ive.买方和/或其代表对货物进行检验和/或测试不承担额外的费用。Additionalexpensesincurredintheprocessofinspectionand/ortestonthegoodsarenotbornebytheBuyerand/oritsrepresentative.卖方应提前三十天向买方发出货物检验和测试通知，该通知应载明（包括但不限于）检验和测试的内容、时间、地点等信息，买方应在收到该通知后十四天内确认是否参加上述检验和/或测试。TheSellershallissueaninspectionandtestnoticeofgoodstotheBuyer30days

23、iesandassistance,providedthattheBuyershallnotbearanyexpenses.如果任何被检验或测试的货物不能满足合同的要求，买方可以拒绝接受该货物。IfanyinspectedortestedgoodsdonotconformwiththeContract,theBuyermayrefusetoacceptthesaidgoods.卖方应免费更换被拒绝的货物，或者免费进行必要的修改以满足规格的要求。TheSellershallreplacetherefusedgoodsormakenecessarymodificationsfreeofcharges

24、othatthesegoodsmeetthestandards.整个安装过程须在卖方现场技术服务人员指导下进行。ThewholeprocedureofinstallationshallbecarriedoutinthepresenceoftheSellerstechnicalservicepersonnelandundertheirdirection.重要工序完成后须经卖方现场技术服务人员签字确认。Uponcompletionofanimportantprocess,itmustbeverifiedbyon-sitetechnicalservicepersonnelfromtheSellerw

25、ithsignature.重要工序清单及相关技术资料由卖方于合同货物开始组装前二十一天提供。ListofimportantprocessesandrelevanttechnicalinformationwillbeprovidedbytheSellerwithin21dayspriortotheassemblyoftheContractGoods.卖方人员应负责对下述工作（包括但不限于）进行指导：安装的准备工作，机组和塔筒的现场安装和装配、接地及防雷系统的安装工作，指导买方的人员按要求的精度和质量完成安装工作。TheSellershallberesponsibletoconductthefol

26、lowingwork(includingbutnotlimitedto):preparationforinstallation,fieldinstallationandassemblyofunitsandtowers,installationofgroundingandlightningprotectionsystemandrenditionofguidancewhentheBuyerspersonnelcompletetheinstallationaccordingtotherequiredaccuracyandquality.安装过程中，卖方现场技术服务人员应保证在场且对重要工序及时进行确

27、认。Duringinstallation,theSellerson-sitetechnicalservicepersonnelshallbeatpresentandconfirmtheimportantworkingproceduresinatimelymanner.若买方按卖方技术资料规定和现场技术服务人员的指导、卖方现场技术服务人员签字确认而出现问题，卖方承担责任；若买方未按卖方的技术资料规定和现场技术服务人员指导进行工作而出现问题，买方自行负责（设备自身问题除外）。IfanyproblemsstillariseaftertheBuyerhasconducteditsworkinaccor

28、dancewiththestipulationsoftheSellerstechnicalinformationandundertheguidanceoftheSellerson-sitetechnicalservicepersonnelandtheSellerson-sitetechnicalservicepersonnelhaveconfirmedtheinstallationbysignature,theSellershallholdtheliabilitythereof.IfanyproblemsarisefromtheBuyersfailuretoconductitsworkinac

29、cordancewiththestipulationsoftheSellerstechnicalinformationandundertheguidanceoftheSellerson-sitetechnicalservicepersonnel,theBuyershallholdtheliabilitythereofatitsownrisk(exceptfortheproblemswithequipmentitself).货物安装和试运行期间如果卖方的技术人员指导有误或卖方提供的图纸有误和/或卖方原因造成设备缺陷和/或设备损坏等，卖方应立即予以修补和/或更换，并承担由此产生的相关费用。Duri

30、nginstallationandcommissioningofthegoods,ifanyequipmentdefectsand/ordamagetoequipmentarecausedbytheSellerstechnicalpersonnelsincorrectguidanceorwrongdrawingsprovidedbytheSellerortheSelleritself,theSellershallpromptlyrepairand/orreplacesuchequipmentandbeliableforallthecoststhatmaybeincurredtherefor.卖

31、方负责对货物进行运行调试，包括但不限于单机调试、并网调试以及整场调试。TheSellerisresponsibletodebugtheoperationofthegoods,includingbutnotlimitedtostand-alonecommissioning,synchronizingcommissioningandentirefieldcommissioning.从第一台（套）货物开始至最后一台（套）货物安装测试、试运行完成为调试期，调试按场内集电线路组数分批进行。Theperiodofcommissioningstartsfromtheinstallation,testandt

32、rialrunofthefirstwindturbinetothoseofthelastwindturbine.试运行应达到每台（套）货物连续无故障、正常运行240小时，且完成国家行业规范及制造厂规定的性能测试并合格，且卖方提交合格的安装调试报告。Duringthecommissioningperiod,eachsetofgoodsshallcontinuously,normallyoperatefor240hourswithoutanyfailures,undergoandpassequipmentperformanceteststipulatedbytheprofessionalstand

33、ardsofthestateandmanufacturer;theSellershallsubmitqualifiedinstallationandcommissioningreport.在卖方完成2年质量保证期内的全部工作合同设备质保期结束并完成支付合同规定的违约金（如有）以及索赔（如有），双方签署最终验收证书。BothpartieswillsignthefinalacceptancecertificateontheconditionthattheSellercompletesalltheworkinthe2-yearwarrantyperiod,thewarrantyperiodofthe

34、ContractEquipmentexpiresandtheSellerpaysoffallthepenalties(ifany)orclaims(ifany).潜在缺陷指设备的隐患在正常情况下不能在制造和短期运行过程中被发现。Potentialdefectreferstotheequipmenthazardswhichcannotbediscoveredinthemanufacturingandshort-termoperationundertheexistingtechnicalconditionsornormalconditions.若货物发现存在潜在缺陷，卖方应及时对全部存在潜在缺陷的

35、货物进行消缺修理或更换，对纠正潜在缺陷负责并承担相应费用。Ifthepotentialdefectsofthegoodsaretobefound,theSellershallrepairandreplacetheminatimelymanner,andshallberesponsibleforthecorrectionofthesedefectsandbeartheexpensesinflictedbytheseendeavors.买方代表如发现设备和材料存在缺陷和/或不符合本规定的标准和/或包装要求时有权提出意见并暂不予以确认/卖方须自费采取必要措施排除缺陷或不符合本合同规定之处，当缺陷排除

36、后，买方有权再次对货物进行检验和测试，以保证交货质量。TheBuyersrepresentativehastherighttoputforwardopinionsandtemporarilynottomakeanconfirmationasandwhendefectsofequipmentandmaterialsarefoundand/ornotinconformitywiththestandardsand/orpackagerequirements.TheSellermusttakenecessarymeasuresathisowncoststoeliminatesuchdefectsoro

37、theraspectsthatdonotcomplywiththeprovisionsoftheContract.Aftertheeliminationofdefects,theBuyerhastherighttoinspectandtestthesamegoodsonceagaintoguaranteethequalityofthedelivery.无论买方代表是否要求和是否知道，卖方均有义务主动及时地向买方提供合同设备制造过程中出现的质量缺陷和问题，不得隐瞒，在买方不知道的情况下卖方不得擅自处理。TheSellerhasanobligationtoreport,withoutconceal

38、ment,theBuyeranydefectsinqualityandproblemsarisingintheprocessofmanufactureoftheContractEquipmentonitsowninitiativeinatimelymanner,whethertheBuyersrepresentativesrequireorknowtheseornotandtheSellermaynotarbitrarilysolvetheseproblemsbeforetheBuyerknowsthem.在交货前，卖方应对每台（套）货物的质量、规格、性能、数量和重量等进行详细而全面的检验，并

39、出具一份证明货物符合合同规定的检验证书。Priortodelivery,theSellershallcarryoutdetailedandcomprehensiveinspectiononeachsetsofgoodsinquality,specifications,performance,quantityandweightandissueaninspectioncertificatetoconformthatthegoodsisinconformitywiththeContract.发货后两天内，通过EMS将检验证书复印件寄送给买方。TheSellershallsendacopyofinsp

40、ectioncertificatetotheBuyerbyEMS2daysaftershipment.检验证书正本随货物一并交付买方。Theoriginalinspectioncertificate,togetherwiththegoods,shallbedeliveredtotheBuyer.卖方应提供货物运至合同规定的最终目的地所需要的包装，以防止货物在转运中损坏或变质。TheSellershallprovidepackagerequiredtotransportthegoodstofinaldestinationstipulatedintheContracttopreventanydam

41、ageordeteriorationtothegoodsinthecourseoftransshipment.这类包装应采取防潮、防晒、防锈、防腐蚀、防震动及防止其它损坏的必要保护措施，从而保护货物能够经受多次装卸、搬运及内陆的长途运输，同时卖方对货物的包装应便于装卸。TheSellershalltakenecessaryprotectivemeasuresforthiskindofpackagingasdamp-proof,freefromsunshine,rust-proof,anti-corrosion,vibration-proofandotherdamagessothatthepro

42、tectedgoodscanwithstandrepeatedloadingandunloading,handlingandinlandline-haul,andtheSellershallmakepackagingconvenientforloading/unloading.卖方应承担由于其包装或其防护措施不妥而引起货物锈蚀、损坏和丢失的任何损失的责任和/或费用。TheSellershallbearanyresponsibilityand/orcostforanyrusting,damageandlossofthegoodsincurredbyitsinappropriatepackagin

45、pright”andKeepDryorotherappropriatemarks.装运条件Termsofshipping本合同下货物交货到项目现场的买方指定地点(车上交货)。ThegoodshereinshallbedeliveredattheplaceinaprojectsitedefinedbytheBuyer(FOT).卖方装运的货物不应超过合同规定的数量或重量。ThequantityorweightofthegoodsloadedandtransportedbytheSellerisnotallowedtoexceedthosestipulatedintheContact.否则，买方对

48、antity,GW,TV(inm3),size(lengthx?widthxheight)ofeachpackingcarton,unitprice,totalamount,placeofdeparture,datereadyforshipping,aswellasspecialrequirementsandprecautionsduringtransportationandstowingofgoods.卖方应在货物装完后二十四小时之内以传真形式将合同号、货物名称、数量、总毛重、合同货物的净重、车次、预计到达目的地的时间、体积(用m3表示)、发票金额、运输工具名称及启运日期通知买方。Withi
