47、eipt),sentbymailorcourier,ortransmittedusinganyofagreedsystemsofelectronictransmissionasstatedintheParticularConditions;and(b)delivered,sentortransmittedtotheaddressfortherecipientcommunicationsasstatedintheContract.However:(i) iftherecipientgivesnoticeofanotheraddress,communicationsshallthereafterb

48、edeliveredaccordingly;and(ii) iftherecipienthasnotstatedotherwisewhenrequestinganapprovalorconsent,itmaybesenttotheaddressfromwhichtherequestwasissued.Approval,certificates,consentsanddeterminationsshallnotbeunreasonablywithheldordelayed.1.4 LawandLanguageTheContractshallbegovernedbythelawofthecount

49、ry(orotherjurisdiction)statedintheParticularConditions.IfthereareversionsofanypartoftheContractwhicharewritteninmorethanonelanguage,theversionwhichisintherulinglanguagestatedintheParticularConditionsshallprevail.ThelanguageforcommunicationsshallbethatstatedintheParticularConditions.Ifnolanguageissta

50、tedthere,thelanguageforcommunicationsshallbethelanguageinwhichtheContract(ormostofit)iswritten.1.5 PriorityofDocumentThedocumentsformingtheContractaretobetakenasmutuallyexplanatoryofoneanother.Forthepurposesofinterpretation,thepriorityofthedocumentsshallbeinaccordancewiththefollowingsequence:(a) the

51、ContractAgreement;(b) theParticularConditions;(c) theseGeneralConditions;(d) theEmployersRequirements;(e) theTenderandotherdocumentsformingpartoftheContract.1.6 ContractAgreementTheContractshallcomeintofullforceandeffectonthedatestatedintheContractAgreement.Thecostsofstampdutiesandsimilarcharges(ifa

52、ny)imposedbylawinconnectionwithentryintotheContractAgreementshallbebornebytheEmployer.1.7 AssignmentNeitherPartyshallassignthewholeoranypartoftheContractoranybenefitorinterestinorundertheContract.However,eitherParty:(a) mayassignthewholeoranypartwiththeprioragreementoftheotherParty,atthesolediscreti

53、onofsuchotherParty,and(b) may,assecurityinfavorofabankorfinancialinstitution,assignitsrighttoanymoneysdue,ortobecomedue,undertheContract.1.8 CareandSupplyofDocumentEachoftheContractorsDocumentsshallbeinthecustodyandcareoftheContractor,unlessanduntiltakenoverbytheEmployer.UnlessotherwisestatedintheCo

54、ntract,theContractorshallsupplytotheEmployersixcopiesofeachoftheContractorsDocuments.TheContractorshallkeep,ontheSite,acopyoftheContract,publicationsnamedintheEmployersrequirements,theContractorsDocuments,andVariationsandothercommunicationsgivenundertheContract.TheEmployersPersonnelshallhavetheright

55、ofaccesstoallthesedocumentsatallreasonabletimes.IfaPartybecomesawareofanerrorordefectofatechnicalnatureinadocumentwhichwaspreparedforuseinexecutingtheWorks,thePartyshallpromptlygivenoticetotheotherPartyofsucherrorordefect.1.9 ConfidentialityBothPartiesshalltreatthedetailsoftheContractasprivateandcon

56、fidential,excepttotheextentnecessarytocarryoutobligationsunderitortocomplywithapplicableLaws.TheContractorshallnotpublish,permittobepunished,ordiscloseanyparticularsoftheWorksinanytradeortechnicalpaperorelsewherewithoutthepreviousagreementoftheEmployer.1.10 EmployersUseofContractor'sDocumentsAsb

57、etweentheParties,theContractorshallretainthecopyrightandotherintellectualpropertyrightsintheContractorsDocumentsandotherdesigndocumentsmadeby(oronbehalfof)theContractor.TheContractorshallbedeemed(bysigningtheContract)togivetotheEmployeranon-terminabletransferablenon-exclusiveroyalty-freelicencetocop

58、y,useandcommunicatetheContractorsDocuments,includingmakingandusingmodificationsofthem.Thislicenceshall:(a) applythroughouttheactualorintendedworkinglife(whicheverislonger)oftherelevantpartsoftheWorks,(b) entitleanypersoninproperpossessionoftherelevantpartoftheWorkstocopy,useandcommunicatetheContractorsDocumentsforthepurposesofcompleti
