1、企业抵押借款合同范本合同范本1订立合同双方:抵押人:,以下简称甲方:抵押权人:,以下简称乙方。鉴于甲方欠乙方货款(或贷款)元暂时不能偿还,甲方为担保还款,经与乙方协商一致,特订立本抵押合同。第一条抵押物的名称、数量和价值1.名称:。2.数量:。3.价值:。第二条抵押期限抵押期限为年,自年月日起,至年月日止。第三条抵押物的清点、暂管和保险1.清点:本合同生效后五天内,甲、乙双方共同清点检查抵押物的数量、质量,并列出清单,经核实无误后双方在清单上签名,加盖公章,以示认可。2.暂管:抵押物仍由甲方负责暂管完整无损,一切仓储及其它管理费用均由甲方承担。3.保险:在合同生效后五天内,甲方应向保险公司投保
2、仓库财产保险,并将保险后的财产过户给乙方。投保的抵押物由于不可抗力遭受损失,乙方则从保险公司直接取得全部赔偿金作为归还所欠款的一部分。第四条抵押物在抵押期限内的销售和监督1.抵押物的销售,仍由甲方负责,甲方应组织人员积极推销,并将所销售的货款直接交入乙方指定的帐户,作为偿还欠款本息的资金来源之一。2.甲方在与需方签订供销合同时,应在合同中写明款项汇入银行分行帐户,即乙方指定的帐户。甲方在发货之前,应提前三个工作日将销售合同提交乙方审,在外地签订的销售合同,应立马将合同副本或影印件提交甲方审定后方可发货。3.甲方每月应向乙方提供财务计划、物资库存、财务会计报表及有关经济资料,乙方认为必要时,有权
3、进行检查抵押物的库存,销售情况以及与抵押物有关的帐目资料,甲方应给予协助。第五条甲方的义务及违约责任1.甲方应保证是该抵押的合法所有权人,今后如因该抵押物的所有权归属问题发生纠纷,并因此而引起乙方的损失时,甲方应负责赔偿。2.在本合同签订之后,甲方应将与抵押物有关的一切原始单证、票据交给乙方。3.甲方应妥善保管抵押物,不得遗失、毁损,甲方如因故意或过失造成抵押物毁损,应在十五天内向乙方提供新的抵押物。4.甲方未经乙方同意,不得将抵押物转让、出售、再抵押或以其它方式处分。甲方如违反前款规定,乙方有权立即暂管抵押物,并书面通知甲方。甲方应在接到通知书后三天内,将抵押物交给乙方,逾期不交者,乙方可依
4、法向人民法院申请强制执行。乙方因此所受的经济损失由甲方赔偿。5.甲方如违反本合同第四条第二项之规定,处分抵押物的行为无效,乙方因此所受的经济损失由甲方赔偿。第六条抵押物的处分、处分方式和还款项的使用顺序1.本合同期满,甲方尚不能还清欠款本息者,乙方有权向人民法院申请处分抵押物。2.抵押物处分方式和程序由人民法院裁定。3.抵押物的价格由市物价局作价。4.处分抵押物所得的款项,接下列顺序使用。第一:支付处分抵押物的费用。第二:缴纳抵押物的税金。第三:偿还欠乙方贷款的税金。如扣除以上款项,尚有余额,应全部交还甲方。如处分抵押物所得的款项仍不足以抵还欠款本息者。乙方仍可根据原借款合同向债务人追索欠款。
5、第七条其它1.本合同经甲、乙双方法定代表人签字加盖公章并经市公证处公证后生效,公证费用由甲方承担。2.当甲方抵押期限到期,仍因实际困难无法如期偿清贷款本息、要求延长抵押期限者,经甲方提出书面申请,乙方审查同意并签订补充协议和作为本合同书的附件,可以延长抵押期限。3.本合同系经市公证处依法赋予强制执行力的债权文书。任何一方当事人如不履行合同,对方当事人可根据民事诉讼法第一百八十六条之规定,直接向人民法院申请强制执行。4.本合同未尽事宜,甲、乙双方可另行协商,签订补充协议。补充协议与本合同具有同等效力。本合同正本一式三份,甲乙双方各执一份,公证处存档一份。副本一式份,送等有关单位各留存一份。抵押人

Fr the mutual benefits, bth Parties agree t cnclude this Cntract.第一条借款金额 Article 1 Amunt f Lan借款金额280,000美元(大写:贰拾捌万美元)US$280,000(Capital Letter: Tw Hundred Eighty Thusand US Dllars)贷款方在签订本
8、书面合同之前,已向借款方提供280,000美元贷款。借款方在此确认已经收到贷款方通过银行转账方式提供的280,000美元贷款。The Lender agrees t advance the Lan US$280,000 t the Brrwer prir t the signing f this Cntract. The Brrwer hereby cnfirms that it has received the Lan US$280,000 advanced by the Lender thrugh bank transfer.第二条借款用途Article 2 Scpe fr Use本合同所
9、约定的贷款仅用于借款方生产销售砂石品业务,不得挪作它用。The lan heref is nly fr Brrwers Stne Business and shall nt be apprpriated fr ther use.第三条利率及还款期Article 3 Interest and Term Repayment1.如果借款方在合同约定的还期限内还清借款,贷款方则不收取借款利息。The Lender agrees that n interest will be payable n the Lan fr the term f the lan while the Brrwer is nt i
10、n default f repayment.2.借款方应按照以下还款期向贷款方偿还借款:The Brrwer agrees t repay the Lan t the Lender in accrdance with the fllwing repayment schedule:在本合同签订之日起十二个月内偿还借款美元;Repayment due n r befre the date 12 mnths frm the date f this agreement.在本合同签订之日起二十四个月内偿还借款美元;Repayment due n r befre the date 24 mnths frm
11、 the date f this agreement.在合同签订之日起三十六个月内偿还借款美元。Repayment due n r befre the date 36 mnths frm the date f this agreement.3.借款方应根据贷款方合理要求的时间、场所和方式还款。All repayments shall be made at the time and place and in the manner reasnably required by the Lender.第四条管理费用Article 4 Management Fee1.借款方同意在借款期内,向贷款方支付管
12、理费用,管理费用的金额为借款方砂石品业务销售总额.%。The Brrwer agrees t pay t the Lender a sum equivalent t .% f the ttal incme received by the Brrwer, frm the sales turnver f the Stne Business, during the term f the lan.2.借款方同意按第4.3条约定自每一财务季度结束之日起三十日内向贷款方支付管理费用,付款时间表如下:Subject t clause 4.3 the Brrwer agrees t pay the Manag
13、ement Fee t the Lender in arrears n r befre the date 30 days fllwing the end f the previus financial quarter in accrdance with the fllwing payment schedule:每年一月一日至三月三十一日期间的管理费用;Management Fee calculated fr the perid 1 January ndash;31 March each year.每年四月一日至六月三十日期间的管理费用;Management Fee calculated fr
14、the perid 1 April ndash;30 June each year.每年七月一日至九月三十日期间的管理费用;Management fee calculated fr the perid 1 July ndash;30 September each year.每年十月一日至十二月三十一日期间的管理费用。Management Fee calculated fr the perid 1 ctber ndash;31 December each year.3.本合同签订之日起的首个季度管理费用自20某年某月某日起正式开始计算。Management Fee due in respect
15、f the financial quarter within which the date f this agreement falls will nly becme due n the date f 2021年.4.如果借款方在本合同签订之日起两年内提前还清借款280,000美元,借款方支付管理费用的义务自合同签订之日起两年后终止。In case the Brrwer repays the lan US$280,000 within 2 years frm the date f this agreement then the bligatin t pay the Management fee
16、 will cease at the end f the 2 year perid.第五条浮动抵押 Article 5 Flating Mrtgage1.借款方以其现有的和将来拥有的生产设备、原材料、成品和半成品向贷款方提供抵押。The Brrwer agrees t Mrtgage t the Lender all equipments, raw materials, finished and unfinished gds wned nw and in the future by the Brrwer.2.抵押物清单对抵押物价值的约定,并不作为贷款方依本合同对抵押物进行处分的估价依据,也不构
17、成贷款方行使抵押权的任何限制。The value f the Mrtgaged prperties stipulated in the shall neither be deemed as the price f sale nr as any limit n the Mrtgagees right, while the Lender eercises its right.3.抵押物的相关有效证明和资料由当事人确认封存后,由借款方交与贷款方保管,但法律法规另有规定的除外。Subject t any the laws and regulatins, any infrmatin and certif
18、icatins in respect f the Mrtgaged prperties shall be handed ver by the Brrwer t the Lender after sealed.4.浮动抵押担保的范围为本金、利息、管理费、违约金、赔偿金以及实现债权所发生的一切费用,包括但不限于诉讼费、公证费、仲裁费、律师费、财产保全费、差旅费、执行费、评估费、拍卖费等。The flating Mrtgage heref secures the principal, interests, management fees, cmpensatin, and any ther cst a
19、rising frm the enfrcement f the Lenders right pursuant t this Cntract, including but withut limitatin curt fee, cst fr ntarizatin, arbitratin fee, attrney fee, fee fr custdy, traveling epense, cmpulsry eecutin fee, assessment fee and auctin fee.5.借款方应自本合同签订之日起三十日内向有关部门办理本合同的审批、备案和登记等事宜,所产生的费用由借款方承担。
20、The Brrwer shall apply fr administrative apprval, recrd-keeping and registratin n its wn fee in thirty days frm the signing f this Cntract.6.借款方应当合理使用和妥善保管抵押物,如抵押物的价值比本合同签订时的评估价减少%以上的,借款方应当在三日内通知贷款方。贷款方有权要求借款方继续提供相应担保或者提前还款。The Brrwer shall use and keep the Mrtgaged prperties in a reasnable manner,
21、in case the value f the Mrtgaged prperties have been reduced by % frm the agreed value at the date f signing this Cntract, the Brrwer shall infrm the Lender. The Lender is entitled t require the Brrwer fr apprpriate securities r fr repayment immediately.7.贷款方在借款方发生以下情形之一时,可以行使抵押权:The Lender is entit
22、led t eercise its Mrtgagees right, in the fllwing cases:(1)借款方违反本合同所约定的义务;The Brrwer is in default f its bligatin heref;(2)经营情况严重恶化、减少注册资本;The Brrwers business has seriusly deterirated r reduced the registered capital.(3)借款方分立、合并; The Brrwer is t be r has been divided r merged;(4)借款方涉及重大纠纷诉讼,涉案标的万元人
23、民币以上;The Brrwer is invlved in an imprtant litigatin r any ther dispute f which the amunt is abve 300,000RMB.(5)借款方破产、歇业、解散、被停业整顿、被吊销营业执照;The brrwer risks t bankruptcy r ges bankrupt, clses ut, disslves, has been asked t suspend business t raise standards r has its license revked;(6)借款方住所或法定代表人发生变更;T
24、he business place r the legal representative has been changed;(7)其他因借款方原因可能导致贷款方拥有抵押权无法实现的情形。The Lender culd nt enfrce the Mrtgagees right because f any ther event due t the Brrwer.借款方发生或很可能发生以上情形之一的,贷款方书面通知借款方之日为浮动抵押财产确定之日。若借款方不签收通知回执的,贷款方有权按本合同第十四条所示方法通知,视为乙方已经收到。If any case abve said ccurs r mre

If the Brrwer refuses t sign receipt, it is deemed t have received the ntice sent by the Lender in accrding article 14.第六条陈述与保证Article 6 Presentatins and Warranties借款方在此陈述并保证以下事项属实,否则承担欺诈的法律责任:The Brrw
26、er hereby presents and warrants all the fllwing facts, therwise it shall be liable fr fraud.1.借款方是本合同项下抵押财产完全的、有效的、合法的所有者;该抵押财产不存在权属方面的争议。The Brrwer has the entire, valid and legal wnership f the Mrtgaged prperties withut any dispute r claim.2.本合同项下抵押财产不存在瑕疵。N defect n the Mrtgaged prperties.3.本合同项下
27、的抵押财产依法可以设定抵押,设立本合同的抵押不会受到任何限制。The Mrtgaged prperties are legally available fr Mrtgage withut any limitatin.4.本合同项下的抵押财产未被依法查封、扣押。The Mrtgaged prperties havent been sealed r seized.借款方在此保证在合同存续期间,未经贷款方书面同意,不从事以下行为:Withut the Lenders prir written cnsent, the Brrwer hereby warrants that during the ter
28、m f this Cntract, it will nt:1.对公司的利润进行分红;Pay any dividend in respect f its prfits t its sharehlders;2.在一个财务季度内购买价值合计25,000美元以上的生产设备;Nt acquire an aggregate f mre than US$25,000 wrth f plant r equipment in a calendar quarter;3.对抵押财产再次设立抵押、质押或者出租、赠予抵押财产。Remrtgage, reMrtgage, rent r give the Mrtgaged
29、prperties t any ther persn;第七条经销Article 7 Distributin借款方同意贷款方在本合同约定的条件下,在世界范围内销售借款方生产的喷砂和抛光研磨纤维石产品(“砂石产品”)。The Brrwer agrees that the Lender may distribute the “spray-stne” and “super-stne” prducts (“Stne Prducts”) anywhere in the wrld and n whatever terms it sees fit fr the term f this agreement.在本
30、合同订立之日至20某年某月某日期间,借款方向贷款方出售砂石产品的价格不高于当次交易时最近三个月借款方出售砂石产品的最低价格。The Brrwer agrees that frm the date f this agreement until 31 December 2021年 it will sell the Stne Prducts t the Lender at a price n higher than the lwest price fr which it sld the Stne Prducts in the immediately preceding 3 mnth perid.本条

32、e Brrwer cnfirmed in writing by the Parties heref at the time f this agreement have the binding effect.第八条监督检查Article 8 Supervisin贷款方和保证人有权检查贷款使用情况。检查时,借款方对调阅有关文件、账册和记账凭证,查核物资库存,生产情况以及其它与借款人的清偿能力有关的信息,必须给予方便。The Lender and the Surety have the right t supervise the use f lan. The Brrwer shall prvide
33、all kinds f facility t the Lender and Surety t check the relevant dcuments, accunting bks, accunting vuchers, inventry, prductin and any ther infrmatin relating t the slvency f the Brrwer.第九条违约责任Article 9 Liability1.借款方不按合同规定的用途使用借款,贷款方有权提前收回全部贷款,对违约使用的部分,收取%/年的利息。1. 35、n immediately and t claim fr delayed repayment interest at the rate f .% per day.第十条法律适用Article 10 Gverning Law本借款合同的效力、履行、变更、终止和解释均适用有关法律法规。The validity,dificatin, terminatin and interpretatin f this Cntract are gverned by law.第十一条争议解决Article 11 Dispute Reslutin对本合同的效力、履行、变更、终止或解释发生争议,由当事人双方协商解决。协商不成,双方同意向有管辖权的人民法院起诉。Any dispute arising frm the validity,dificatin,terminatin r interpretatin f this Cntract, may be settled by negtiatin.
