7、ainment, or any portion thereof, if during the entertainment performance, the institution determines, in its sole discretion, that such action is warranted to maintain security or compliance with federal,state or local laws or regulations of tennessee board of regents policy, such action, in and of

8、itself shall not affect the institution' s obligation for payment under the terms of this contract; provided, however, that payment may be withheld if such interruption or termination is necessary due to a failure by the contractor to observe institution policies of which it has been informed.11

9、. the contractor agrees to assume full responsibility for payment of any and all copyright royalties due for the entertainment performance provided hereunder, the contractor further agrees to assume full responsibility for any copyright infringement which occurs during the course of said performance

18、方按照约定提供的照片。第四条双方权利义务1、甲方应按约定付款。2、甲方有权在活动正式举办前随时修改乙方提交的方案。3、乙方指派公司职员 负责整个演出活动的执行和监控及与甲 方的沟通联络。4、乙方根据甲方要求参加一切有效必要的沟通方式。由甲方检查各项工作进展,并研究布置实施各项工作。5、未经甲方书面同意，乙方对本合同涉及的资料、信息（包括 但不限于商业秘密、技术资料、图纸、数据、以及与业务有关的客户的信息及 其他信息等）负有保密义务，并不得向任何人披露上述资料和信息，但正常履行 本合同项下义务的除外。第五条违约责任1、若甲方未按合同要求付款，每逾期一天，则按应付而未付金额的1%向乙方支付违约金。

19、2、若乙方承诺提供的人员、设备不能达到甲方要求，甲方有权 从合同价款中扣除相应款项。如因此造成活动全部或部分延误，甲方有权再扣除合 同总价款的10%作为违约金。3、若本合同的履行未能达到预期效果，则双方根据实际执行情 况及给甲方带来的直接和间接损失，协商确定乙方应支付的违约金。违约金不足以 弥补甲方损失的，甲方可继续向乙方追偿。4、甲方认为由于乙方违约造成本合同不能履行或不能完全履行, 且已无必要继续履行；或乙方在收到甲方要求其纠正违约的通知后三日内仍 不纠正其行为,则甲方有权向乙方发出解除本合同的书面通知，该通知自送达乙 方时生效，乙方除应返还甲方已支付的全部价款外，另须按本合同总价款的10
