4、 Party A, Party B and thereleva nt Guara ntor, after reachi ng agreeme nt through n egotiati ons on the loa n to Party B byParty A, hereby en ter into this con tract.第一条 借款金额 Article 1 Amount of Loan详见本合同第十四条第一款。1.1 The amount of loa n is referred to Article 14.1 un der this con tract.第二条 借款用途 Artic

5、le 2 Purpose of Loan详见本合同第十四条第二款。2.1 Purpose of loa n for this con tract is referred to Article 15.2.第三条 借款利率 Article 3 Interest of Loan一、借款利率详见本合同第十四条第三款。3.1 In terest of loa n is referred to Article 14.3. The in terest is calculated from the day releas ingloan.二、本合同履行期间，遇中国人民银行贷款利率调整，借款利率按有关规定调整与执

6、行，乙方将在营业场所对贷款利率调整情况进行公告，不再另行书面通知甲方。3.2 During the term of this loa n con tract, in terest may be cha nged as prescribed by the People sBank of China, Party B is entitled to adjust and implement the interest rate without further no tice toParty A.第四条 借款期限及还款总期数Article 4 Life of Loa n and Total Loa n

7、Repayme nt Terms一、借款期限详见本合同第十四条第四款。4.1 Life of loa n and total loa n repayme nt terms are referred to Article 14.4.二、实际借款发放日与本合同约定的日期不一致时，以实际借款发放日为准计算借款期限。4.2 In the event that the actual funds release date is in disagreement with thedate stipulated un der this con tract, the life of loa n shall be

8、calculated based onthe actual day of funds releas ing.三、甲、乙双方约定甲方按期还款，确定还款总期数，详见本合同第十四条第四款。第五条 借款发放 Article 5 Release of Funds under the Loan一、乙方发放借款的前提是甲方提供了符合乙方要求的证明材料，履行了乙方要求的申请借款和担保手续，签署了申请借款所需法律文件并经乙方审查同意。5.1 Party B will release the funds un der con diti on that Party A has providedevidences c

9、omplying with requirements of Party B, and has completed the loan applying andguara ntee ing procedures, and has sig ned the legal docume nts with check and approval of PartyB.二、 甲方授权乙方在审查同意后，将借款直接划入甲方指定并经乙方认可的账户(账户名称、账号详见第十四条第五款)，即为乙方依约履行了向甲方提供借款的义务。5.2 After funds release is approved, Party A will

10、 grant Party B to transfer theloan into the acco unt desig nated by Party A and approved by Party B (acco untn ame and acco unt No. are give n un der Article 14.5).三、 本合同项下的借款发放后，甲方就所购商品或服务发生的任何纠纷，均与乙方无关，本合同应正常履行。5.3 After releas ing of the loa n, any disputes un der the use of funds un der thisloa

11、n by Party A has no relatio nship with Party B, and the con tract will still befulfilled.第六条 借款偿还 Article 6 Repayment of the Loan一、甲方应根据乙方相关贷款办法规定，在下述四种还款方式中选择一种方式归还借款本息，甲方选择的还款方式详见本合同第十四条第六款：6.1 Party A, based on releva nt regulati ons of Party B, shall select ways of in terest calculati on,interes

12、t settlement and loan principal repayment under Article 14.6.二、 甲方应当于乙方规定的每期还款日(详见第十四条第六款 )前，将当期应偿还的借款本息及逾期的罚息、复利等足额存入在乙方开立的还款账户(账户名称及账号见第十四条第六款)，并不可撤销地授权乙方于当期还款日直接从该账户划收应收款项。6.2 The Party A shall pay off the principal, interest and other items in full priorto the stipulated due repayme nt day un de

13、r this con tract (details un der Article15.6), by deposit ing one of any repayme nt acco unt ope ned by Party B (acco unt n ame andacco unt No. are give n in Article 14.6), and irrevocably authorizes Party B to draw the fundsreceivable directly from the acco unt above on the due repayme nt day.三、 甲、

14、乙双方同意遵循先还息后还本的原则，乙方按照“期前逾期本息、罚息和复利一当期利息一本金”的顺序扣划甲方还入款项。甲方违反本合同约定，逾期或未按约定的金额归还借款本息，乙方有权按照人民银行的规定对逾期借款加收罚息。甲方逾期或未按约定的金额偿还借款利息时，乙方有权按人民银行的规定对甲方未支付的利息计收复利。6.3 In case Party A breaches the con tract, faili ng to repay the funds on duedate or failing to pay funds in full, Party B has the right to charge h

15、igher interestrate on overdue loa ns as prescribed by the People?s Bank of Chin a(pe nalty in terest rate onoverdue loa n is stipulated un der Article 15.6). I n case that Party A fails to use the funds for theagreed purposed un der this con tract, Party B has the right to charge pen alty in terest

16、rate onoverdue loa ns as prescribed by the People'Bank of China (pe nalty in terest rate onmisappropriation of loan is stipulated under Article 15.6). For overdue loan or loan ofmisappropriate use, Party B shall calculate the in terest rate based on pen alty in terest rate from theday of overdue

17、 loan or misappropriate use of loan till the principal and interest are paid off. If PartyA fails to pay off the in terest on due date, Party B shall calculate compo und in terest based on penalty in terest rate.第七条 提前还款 Article 7 Repayment in Advanee甲方如欲提前还款，应于拟提前还款日前三十日将提前还款申请书及还款计划以书面形式提交乙方，经乙方审核

18、同意后即为不可撤销。甲方经乙方审核确认甲方未有拖欠借款本息及已还清当期本息后方可提前还款。提前还款日前已计收的利息不作调整。提前还款，乙方有权按提前还款金额的%计收损失补偿金。7.1 If Party A is able to pay off the loa n ahead of time, it shall submit to Party B the irrevocable loanrepayme nt applicati on and repayme nt pla n. 19、oan principal and interest and haspaid off the curre nt in terest, Party B will approval the repayme nt ahead applicati on, the n Party Acan repay the loa n in adva nee.The in terest repayable before repayme nt-i n-adva nee day shall not be adjusted.第八条 借款担保 Article 8 Guarantee of Loan本合同项下的担保条款的效力独

20、立于本合同。甲方对借款提供的担保可选择如下方式，详见本合同第十四条第八款。8.1 The effect iven ess of guara ntee terms un der this con tract is in depe ndent ofthis con tract. The guara ntee type for the loa n is specified in Article 15.8.一、抵押担保 Mortgage Guara ntee（一）抵押人自愿将本合同附件一“抵押物清单”所列明的财产（以下简称抵押物）抵押给乙方，作为甲方偿还本合同项下借款的担保。Attachme nt A
