4、ur cor (hereinfler referred to as the“ CONTRACT ”)合同双方依照中华人民共和国劳动法以及中华人民共和国其它相关法律法规,共同约定以下劳动合同(以下简称 本合同”)PeopleARTICLE 1: P OSITION & TASKS OF WORK第一条:职务及工作职责1.1. The EMPLOYEE will have the followi ng positio n:该员工将担任以下职务:1.2. If n ecessary due to the man ageme nt orga ni sati on of the COMPANY and

5、or thecomp ete nee and abilities of the EMPLOYEE the COMPANY may adjust thep ositi on, duties and respon sibilities of the EMPLOY EE.若由于本公司管理编制的需要及/或由于该员工本人资格与能力的原 因,本公司可在必要的情况下对该员工的职务和工作职责进行适当 调整。ARTICLE 2: TRIAL P ERIOD第二条:试用期2.1 The trial period will start on the date of sig nature of this CONTRA

The durationof the trial period is three mo ntDaring the trial period the EMPLOYEE will be bound by all articles of this con tract.试用期自本合同签署之日起开始,时间为三个月。在试用期间,该 员工受本合同全部条款所约束。2.2 After the sp ecified trial p eriod and if no no tice of term in ati on is give n theEMPLOYEE automatically becomes em

7、pio yed un der the terms and con diti ons ofthis CONTRACT.在约定的试用期内,若该员工没有收到关于解除劳动关系的通知, 在试用期满后,该员工自动转为本公司正式员工,执行本合同规定 的条款。ARTICLE 3: DURATION OF THE CONTRACT第三条:合同期限3.1 The durati on of this CONTRACTiswenty-foumfoffths.本合同期限为27个月。3.2 This CONTRACT maybe exte nded upon agreeme nt of both P ARTIES. An

8、exte nsion to this CONTRACT shall come into force on ly after a writte n agreeme nt has bee n sig ned by both P ARTIES.本合同经合同双方同意后可以续签。只有在合同双方签署书面协议后,续签的合同方能生效。ARTICLE 4: SALAR Y第四条:工资4.1 The COMPANY shall defi ne its own salary p olicy in accorda nee with regulati onsst ipu lated by the state and m

9、unicipal gover nment. The COMPANY shall en sure that the mon thly salary of the EMPLOYEE is not less tha n the mi nimum pay sta ndard setby the local gover nment.本公司将依照中华人民共和国和北京市有关政策法规制定本公司的员 工工资标准。本公司保证该员工的月工资将不低于当地政府规定的最 低工资。4.2 The EMPLOYEE will receive a gromonthly o口 annual salary of 3,000.00r

10、enminbi (RMB3,000.00) and in crease thereafter the basis of the staff p erforma nee,the econo mic devel opment of the COMPANY and accord ing to the salary p olicy of the COMPANY app roved by the Board of Directors of the COMPANY, and etc. 该员工税前工资将为 每月 或口每年叁仟元人民币,今后将按照该 员工的工作表现、本公司的经济效益以及由本公司制定并经董事会批

11、 准的工资标准每年递增。4.3 Such salary shall be tran sferred to the bank acco unt desig nated by the EMPLOYEE betwee n the third and fifth day of each mon th.上述工资将于每月3号至5号期间汇入该员工所指定的银行账户。ARTICLE 5PREMIUM & BONUS第五条:奖金及分红5.1 At the full discreti on of the Chairma n and based upon his/her gen eral attitude andth

12、e result of his/her work and fulfilme nt of his/her objectives detailed with his/her man ager and at the begi nning of each cale ndar year the EMPLOYEE will been titled to an annual bonus not exceedi ng one (1) month of salary and shall be paid to the EMPLOYEE for each full cale ndar year which the

13、EMPLOYEE worksfor the COMPANY in two in stalme nts the followi ng year.经本公司董事长同意,并且根据该员工的工作态度、工作成果及其 上级主管规定之工作目标的完成状况,该员工将有权在每个公历年 初享受年终奖金(奖金总额不超过该员工的月工资)。员工为公司 工作满一年时,奖金将于次年分两次发放给个人。ARTICLE 6: P ERSONAL INCOME TAX第六条:个人所得税6.1 The EMPLOYEE shall pay in dividual in come tax in accorda nee with the re

14、leva nt laws and regulati ons ftP eo pie s Rep ublic of Chi na. The COMPANY shawithhold such amount and pay it to the comp ete nt tax bureau.该员工须按照中华人民共和国相关法律法规缴纳个人所得税。本公 司将为该员工代扣代徼个人所得税,并将应纳税款上交相应税务机 关。ARTICLE 7: TRAINING第七条:培训7.1 The COMPANY will establish an EMPLOYEE tra ining system and p rovide

15、n ecessary trai ning to the EMPLOYEE in accorda nee with the releva nt laws andregulati ons of the Peoples Rep ublic of China and as the本公司将依照中华人民共和国有关法律法规及公司需求,为该员工设计一套培训体系,向该员工提供必要的培训。ARTICLE 8: WORKING HOURS第八条:工作时间8.4The COMPANY will imp leme nt work ing hour system of forty mi nim um(4

16、0) hoursper week in accorda nee with the releva nt laws and regulati ons exclusive of lunchtime.本公司依照相关法律法规实行每周 40小时工作制(每周工作时间不 得少于40小时),不包括午餐时间。The worki ng hours are from Mo nday to Friday from 9:00AM to 6:00 PM with a one (1) hour for lunch that may vary in time so as to have at least one staffme

17、mber in the office duri ng lunch time.工作时间从周一至周五,每天上午9点至下午6点,午餐时间为一个小时。午餐时间将根据具体情况进行安排以确保届时至少有一名 员工留守办公室。Subject to the op erati on n eeds the COMPANY may adopt irregular worki ng hour system or calculate the worki ng hours on syn thetic basis.根据实际工作需要,本公司可能采用不规则时间工作制或依照综合 标准计算工作时间。The COMPANY may e

18、xte nd the worki ng hours of the EMPLOYEE aftercon sultati on with the EMPLOYEE accord ing to the releva nt laws and regulati ons.依照有关法律法规,与该员工进行协商后,本公司可以延长该员工的工作时间。The COMPANY pays the EMPLOYEE 300 perce nt of the salary, based on an hourly amount accord ing to Article 4, hereto for worki ng duri n

19、g official p ublicholidays.若需要员工在法定节假日加班,公司将根据本合同第 4条中所列工 资标准计算出该员工的每小时工资,并按照每小时工资标准的 3倍 支付加班工资。Notwithsta ndi ng what pro vided hereof the COMPANY shall exte nd the worki nghours regardless of Article 8.1 and Article 8.3 in any of the followi ng cases:若出现下列情况,无论是否符合本合同第8.1条和第8.3条中的规定,本公司均可延长工作时间:a.

20、 Immediate action which must be carried out in case of natural disasters,accide nts or other eve nts that will endan ger the EMPLOYEEprop erty, or safety;由于发生自然灾害、事故或其它危及该员工生命、健康、财产及 安全的事件,必须采取紧急措施;b.Urge nt rep air which must be carried out in case of break ing dow n of op erati on equipment, com m

21、uni cati on, transp ortati on and other facilities which willendan ger COMPANY bus in ess or p ublic in terest;由于运营设备、通讯设备、运输设备及其它设备发生故障,危害 到本公司的业务或公共利益,必须进行紧急维修;c.Continu ous of the op erati on or bus in ess of the COMP ANY which shall not be in terr up ted on sti pu lated holidays and rest days.由于

22、无法因为法定休假和双休日而中断本公司持续开展的经营运作或业务;d.Overhaul and maintenance of the equipment which shall only be made onst ipu lated holidays and rest days; and只能在法定休假和双休日进行的设备检修与维护;e.Emerge ncy op eratio n assig nment con cer ning n ati onal defe nee.由于国防原因需要采取紧急措施。ARTICLE 9: DISC IP LINE第九条:劳动纪律9.1Apart from the p

23、rovisio ns of this CONTRACT the EMPLOYEE must resp ect allreleva nt laws and regulati ons of the Peopleregulati ons of the COMPANY and pro visi ons of any releva nt collective labourcon tract.除本合同所规定之条款外,该员工还须遵守中华人民共和国相关法 律法规、本公司制定的规章制度,以及其它劳动合同方面的相关规 定。9.2The EMPLOYEE must resp ect and execute any

24、and all formal in structi ons give n tohim/her regard ing the duties and res pon sibilities of his/her tasks of work.该员工须遵守并执行一切与其工作职责有关的正式指令。9.3In cases of an offen ce, gross misc on duct, and or any violati on of labour disc ip li nethe COMPANY will nor mally carry out the followi ng p rocedure:若该

25、员工出现过错、严重过失及/或其它违反劳动纪律的行为,本公 司一般依照以下程序对该员工进行处罚:-Oral warni n口头警告-First writte n warnir第一次书面警告 -Fi nal written warnir第二次书面警告 -Dismissa开 除9.4However the COMPANY reserves the right to omit any of these stages as thecase may be.然而,本公司有权根据实际情况对上述某些步骤进行调整。9.5The EMPLOYEE has the right to app eal aga inst

26、writte n warnings or dismissal to the Labour Dispute Committee if any.该员工有权针对其受到的书面警告或开除决定向劳动争议委员会提 出申诉(如需)。ARTICLE 10: SICKNESS & INJUR Y LEAVE第十条:病假及伤假10.1 The EMPLOYEE will be en titled to sick ness and injury leaves in accorda nee withthe releva nt laws and regulatio ns.该员工有权根据相关法律法规享受病假及伤假。10.2

27、 The EMPLOYEE appiying for sickness or injury leave shall fill in ahisahdrgmaaagev aLeave for more thanapp licati on formtwo (2) days shall be app roved by the Chief Executive Officer of the COMPANYand submitted to the Office Man ager, Huma n Resources Man ager or theirMan ager for verificati on and

28、 fili ng before going for leave.申请病假或伤假时,该员工应填写 休假申请表”,并必须得到其上级 主管的准许。若该员工的休假超过两(2)天,则需经本公司首席执行 官允许,且应在休假前将 休假申请表提交至行政经理、人力资源部 经理或直属上级经理以供审核及存档。In case of any sudde n sick ness or injury the EMPLOYEE shall inform his/her man ager no later tha n the end of the first day. A writte n con firmatio n sha

29、ll besubmitted to the Office Man ager and Huma n Resources Man ager for verificati on and fili ng withi n two (2) days after he or she comes back to work.若该员工突发疾病或受伤,需在当天结束前通知其上级经理,并在 返回岗位后的两(2)个工作日内将书面说明提交行政经理及人力资源 部经理以供审核及存档。10.3 If the EMPLOYEE is absent for more than one (1) week he/she must ens

30、ure thatthe Chief Executive Officer are kept in formed of the p rogress at weekly in tervals.若该员工的病假超过一周,该员工必须每周向首席执行官报告其病情状况。10.4 The EMPLOYEE taking sickness or injury leaves for more than one (1) day mustpro vide a medical certificate issued by a qualified doctor. Failure or refusal topro vide th

31、e certificate or pro vidi ng false or in accurate in formatio n will be deemed as a gross misc on duct.若该员工休病假或伤假超过一天,必须提供由专业医师出具的病假 条。若该员工无法或拒绝提供病假条或提供虚假信息,将被视为严 重过失。ARTICLE 11: LABOUR SAFET Y & HY GIENE第十一条:劳动安全及劳动卫生保障11.1 The COMPANY will establish a sou nd labour safety and hygie ne facilities a

32、nd shallstrictly impi eme nt rules and sta ndards of labour safety and hygie ne of the PeopleRep ublic of China, con duct labour safety and hygie ne educati on, pr eve nt accide ntsand reduce occ up ati onal hazards.本公司将建立一套合理的劳动安全卫生保护措施,严格落实中华人 民共和国劳动安全卫生制度和标准,开展劳动安全卫生教育,防止 事故发生,减少职业病危害。11.2 The CO

33、MPANY shall provide the EMPLOYEE with labour safety and hygienecon diti ons and n ecessary articles in con formity with the releva nt laws and regulati ons.本公司将依照有关法律法规为该员工提供劳动安全卫生条件以及必 要的设备。11.3 The EMPLOYEE shall have the right to refuse to carry out any dangerousop erati on forced upon him/her by

34、 man ageme nt personnel in violati on of the releva nt regulati ons.若该员工的上级主管违反相关法律法规,要求其从事危险性工作, 该员工有权拒绝。ARTICLE 12: SOCIAL INSURANCES第十二条:社会保险12.1 The COMPANY must join social in sura nee schemes for the EMPLOYEE in accorda nee with the releva nt laws and regulati ons of the PeopleChi na and shall

35、 pay on time social in sura nee p remiums to the social in sura neein stituti ons accord ing to the sta ndards set by the local authorities. 本公司严格遵守中华人民共和国有关法律法规为该员工缴纳社会保 险,并且依照当地政府部门制定的标准将保险费按时、全额支付给 社会保险机构。ARTICLE 13: HOLIDA YS第十三条:休假13.4The EMPLOYEE enjoys statutory holidays for offic

36、ial p ublic holidays, weddi ng, and fun erals in line with the releva nt laws and regulati ons of the People Chi na.该员工依照中华人民共和国有关法律法规享受法定休假,包括法定 节假日、婚假、丧假、产假。The EMPLOYEE is en titled yearly (for a full year worked) to a p aid annual vacati on of ten (10) work ing days exclusive of the statutory ho

37、lidays. 该员工在本公司工作满一年后有权享受每年十个工作日的带薪年 假,不含法定节假日。The holidays refere nee p eriod is from the first day of January to the thiof December. Holidays accrued duri ng one p eriod have to be take n on the followi ng holiday p eriod. For the first year of employment, holidays will be accrued at pro rata temp

38、 oris.每年1月1日至12月31 日作为一个休假年度,当年未休的假期只可累积到次年使用。在本公司工作未满一年的新员工可在次年享受年 假,具体的年假天数按照其实际工作时间计算。After the EMPLOYEE comp letes five (5) years of continu ous work for theCOMPANY the EMPLOYEE is en titled yearly (for a full year worked) to one (1) further worki ng day of p aid annual vacati on for each full y

39、ear which theEMPLOYEE works for COMPANY, but the paid annu al vacation shall not exceed twe nty (20) worki ng days in the aggregate.该员工在本公司任职满五年后,在本公司每工作满一年,每年可以 增加一个工作日的带薪年假,但每年带薪年假累积最多不超过二十 个工作日。All leave must be take n at times agreed with the Chief Executive Officer of theCOMPANY ten days in adv

40、a nee.所有休假必须提前10天向本公司申请并获得首席执行官的同意。ARTICLE 14: EXCLUSIVITY & NON-CO MP ETITION第十四条:唯一性及非竞争协定14.4The EMPLOYEE must devote in full all his/her worki ng time to the COMPANY.该员工在本公司工作期间必须勤奋敬业。It is strictly forbidde n for the EMPLOYEE to have any other pro fessi onal activity for himself/her

41、self or and relatives or and third p arties eve n free of charge. 严格禁止该员工在本公司任职期间为其自身及 /或亲属及/或第三方提供任何有偿或无偿专业劳动。The EMPLOYEE un dertakes n ot to exercise directly or in directly on behalf of any comp etitor to the COMPANY eve n as free of charge or for himself/herself any activity which may comp ete

42、with the bus in ess of the COMPANY for one (1) year after the term in ation of the prese nt CONTRACT. This Article 14.3 is notapp licable if term in ation of the CONTRACT is due to COMPANY for other reaso ns tha n the ones covered by Article 14 and Article 15.该员工与本公司解除本合同后一年内不得直接或间接地代表本公司 的任何竞争对手从事任

43、何可能伤及本公司利益的有偿或无偿活动。若由于其它原因而非本合同第14条和第15条解除本合同的,不适用 本合同第14.3条。The EMPLOYEE shall pay the COMPANY an amou nt of RMB10,000 toRMB100,000 as a pen alty clause if he/she does not comp ly with Article 14.1.,Article 14.2., and Article 14.3. hereto. This amount does n ot in clude the po ssible actual damages

44、 which may be claimed by the COMPANY.若该员工违反本合同第14.1条、第14.2条及第14.3条的规定,其必须向本公司支付1万-10万人民币作为赔偿。该笔赔偿不包括本公司 对可能造成的实际损害进行索赔的金额。ARTICLE 15: CONFIDENTIALITY第十五条:保密协定15.1 The EMPLOYEE shall keep strictly secret and con fide ntial and not to disclose toany third PARTY any and all tech ni cal, econo mic, fina

45、n cial, clie nt or market ing动。15.215.315.4in formatio n acquired from the COMPANY and or obta ined because of his/heractivities in the COMPANY.该员工须严守公司机密,不得向任何第三方透露自本公司处获得的 及/或由于该员工在本公司任职而获得的任何技术、经济、财务、客 户或市场信息。The EMPLOYEE shall n ot use any such in formati on for any purp ose whatsoeverexce pt wi

46、th in and for the tasks, duties, and res pon sibilities pro vided in this CONTRACT.该员工亦不得将上述信息用于本合同规定之工作职责以外的一切活The EMPLOYEE agrees that any disclosure or non authorised use of such in formati on shall be con sidered as a serious misc on duct exce pt in the case whereby the EMPLOYEE has received a p

47、 rior writte n p ermissi on from theCOMPANY man ageme nt.该员工认同,除非该员工已事先收到本公司管理部门发出的书面许 可,否则,泄露上述信息或在未被授权的情况下使用上述信息将被 视为严重过失行为。The EMPLOYEE shall comp ly with his/her con fide ntiality obligati ons pu rsua nt to this Article 15 for the whole term of this CONTRACT and duration of five (5) years after

48、the term in ation of the CONTRACT.该员工在本公司任职期间以及在本合同解除后五(5)年内应当按照本合同第15条的规定遵守保密协议。The EMPLOYEE shall pay the COMPANY an amou nt of RMB10,000 toRMB100,00Chs a pen alty if he/she does not comp ly with his/her con fide ntialityobligati ons pu rsua nt to this Article 15. This amount does not in clude the

49、 p ossible actual damages which may be claimed by the COMPANY.若该员工违反本合同第15条的规定,没有尽到其应尽的保密义务, 则该员工必须向本公司支付1万-10万人民币作为赔偿。该笔赔偿不 包括本公司对可能造成的实际损害进行索赔的金额。ARTICLE 16: RES PO NSIBILITIES OF THE P ARTIES第十六条:双方职责16.1 Either of the P ARTIES shall perform its res pon sibilities under this CONTRACT strictly in

50、accorda nee with the pro visi on hereof.合同任何一方都应按照本合同所规定的条款严格履行各自职责。16.2 Either of the PARTIES should bear responsibilities for compensation if it violatesthis CONTRACT, i nfrin ges upon the in terests of the other P ART Y and causes damages to the other P ART Y.若合同任何一方违反本合同以及损害本合同另一方的利益并给本合 同另一方造成损

51、害,该方承担违约责任。ARTICLE 17: TERMINATION OF THE CONTRACT第十七条:合同终止17.1 Either of the P ARTIES shall be en titled to termi nate this CONTRACT for reas onss Rep ublicexp ressly pro vided by the releva nt laws and regulationsfWeof Chi na. Such term in ati on of this CONTRACT shall com ply with the pr oceedi n

52、gs pro vided by the releva nt laws and regulati ons.合同任何一方均有权依照中华人民共和国相关法律法规终止履行本合同。本合同的终止须遵照有关法律法规操作进行。17.2 Furthermore the COMPANY may terminate the CONTRACT for any one of thefollowi ng reas ons:此外,在下列情况下,本公司可随时解除本合同:a. The EMPLOYEE has a conflict between personal interest and the interest of the

53、COMPANY in deali ng with supp lier, customers, and in dividuals of other orga ni sati ons doing or seek ing to do bus in ess with the COMPANY. 该员工在与本公司的供货商、客户及其它机构的人员开展业务或 收集业务信息期间发生其个人与本公司利益上的冲突。b. The EMPLOYEE has asked for or received any advantage or benefits either inmonetary or non monetary te

54、rm of any kind form persons or organisations having business activities directly or indirectly with the COMPANY. 该员工向与本公司有直接或间接业务往来的任何个人或机构索取 或收受任何货币或非货币形式的财物或好处。c. The EMPLOYEE fails to perform his/her responsibilities under Articles 14 andArticle 15 of this CONTRACT. 该员工违反本合同第 14条和第 15条的规定。d. The

55、EMPLOYEE left from his/her work for more than five (5) working dayswithout prior consent from the Chief Executive Officer except in the case of force majeure which prevent the EMPLOYEE from informing the Chief ExecutiveOfficer. 该员工事先未经首席执行官准许擅自离岗超过五个工作日,若因 不可抗力导致该员工无法通知首席执行官除外。17.3 The EMPLOYEE may

56、also hand over a written notice of his/her resignation for personal reasons 30 days ahead. If the EMPLOYEE does not provide the COMPANY with one monthhe/she should pasyntotitchee, COMPANY onecalendar month of salary and allowance mentioned in Article 4 as thecompensation. 若由于其个人原因,该员工可提前三十天以书面形式提出辞职。若 该员工没有提前三十天向公司递交辞呈,该员工将向公司支付依本 合同第 4 条所规定的一个月的月工资及补助作为补偿金。17.4 The COMPANY shall pay to the EMPLOYEE any compensation pursuant torelevant laws and regulat
