2、o., ltd. 依据中华人民共和国合同法之规定，合同双方就能源管理体系认证项目协商一致，签订本合同。in light of the provisions of the contract law of the peoples republic of china, the two parties of this contract have reached unanimity through consultation and entered into agreement on the certification project.一、内容和要求contents and requirements: 1

3、. 总则general乙方为甲方提供第三方能源管理体系认证/注册服务，按照约定的要求审核通过后对甲方的能源管理体系进行注册发证；甲方为乙方的认证/审核活动提供必要的信息和设施。party b will provide third-party energy management system certification/registration services to party a, and issue certification certificate after party b passing the audit in accordance with the promissory requ

6、d at： 4. 认证需经过下列程序certification flow：a.第一阶段审核（含体系文件审核和一阶段现场审核）；audit of stage 1 (including system document review and onsite audit in stage 1) b.第二阶段审核（二阶段现场审核）audit of stage 2 (onsite audit in stage 2；c.批准注册，颁发认证证书approval for registration and issuance of certification certificate；d.证书有效期两年。在两年有效期内

14、 be paid when collecting copies by party a. rmb50 is charged for each copy. 三、乙方责任responsibilities of party b:1. 负责按有关规定进行文件审查及现场审核，并提交审核报告；party b shall carry out document review and onsite audit according to relevant regulations, and submit the audit report;2. 审核通过后向甲方颁发体系认证证书，该证书自颁发之日起有效期两年；party

15、 b shall issue the certification certificate to party a once party a getting certification approval. the certificate shall be valid for two years starting from the issue date.3. 按规定在证书的两年有效期限内，对甲方能源管理体系运行的持续有效性和证书、标志的使用情况进行监督，每年至少进行4次现场监督审核；within the two-year effective period of the certificate, pa

16、rty b shall conduct at least four surveillances each year to inspect the continual effectiveness of enms operation of party a and the use of the certificate and mark.4. 证书两年期满前,继续负责对甲方能源管理体系运行情况进行再认证,以保证甲方证书使用的连续性。party b will do enms recertification to party a before two-year expiration of the cert

17、ificate to guarantee the use continuity of certificate by party a.5. 由于乙方造成审核人日或费用的增加，其增加部分的责任应由乙方承担。party b shall be liable for the increase of audit man days and expenses resulting from causes of its own.6. 负责将其认证要求的任何变更通知获证组织。party b shall be liable for advising all of the changes of certificatio

18、n requirement to party a.四、甲方责任responsibilities of party a:1. 始终遵守认证的有关规定；party a shall always abide by the relevant regulations of certification.2. 配合乙方在现场对能源管理体系进行审核；包括提供必要的工作条件，如实提供有关文件、现场和记录；适用时，为接纳到场的观察员（如评审员，见证审核员）提供条件；party a shall cooperate with party b in the onsite audit of enms; and that

19、includes providing the essential work conditions, the relative documents, locales and records according to the facts and conditions for the reception of observers (for example, assessors and witness auditors) in applicable occasion;3. 审核人员的食宿、交通费用按实际支出由甲方承担；party a shall pay for the accommodations,

20、meals and transport of the auditors as they actually occur;4. 由于甲方造成审核人日或费用的增加，其增加部分的责任应由甲方承担；party a shall be liable for the increase of auditor days and expenses resulting from causes of its own.5. 无论是否最终获准认证，都将按要求交付认证费用。party a shall pay for the fees whether it is approved for registration or not

21、.6. 仅在获准认证范围内作出认证声明，确保不误导使用认证证书、标志和报告；party a should make certification declaration in the certified scope, and make sure that do not misguide the usage of certificate, marks and report of certification; 7. 当接到暂停或撤销认证通知时，应立即停止涉及认证内容的广告，停止证书使用或交还认证证书；when party a receive the notice of withdrawing or

22、cancelling, it should stop to advertise the advertisementreferred to certification content and stop to use the certification certificate or return that. 8. 获证后，发生与能源管理体系有关的重大变化时，组织应及时以书面形式通报uicc，因瞒报、延报引发的责任由甲方承担；party a should inform the change of enms betimes in written to uicc. the responsibility

23、cased by hiding and delaying report to uicc should be assumed by party a；9. 获证组织接到乙方变更认证要求时，组织应接受乙方符合新的要求的验证审核。when party a receives the renewed certification requirement from part b, party a should accept the verification audit according to the new requirements. 五、其他有关事项other matters of concern:1.

24、甲方有责任按乙方规定正确使用认证证书和认证标志，并在其有效期限内向乙方报告管理体系的变动情况，接受乙方的监督管理。party a is duty bound to use the certification certificate and mark correctly according to party bs provisions and report to party b any change to its management system within the term of validity and accept party bs surveillances.2. 乙方有责任按有关规

25、定和甲方要求，为甲方保守秘密。但下列情况除外：party b is duty bound to keep the secrets of party a according to relevant regulations and party as requirements unless:1) 甲方已公开的资料relevant information is already publicized by party a；2) 法律另有要求时other requirements of the law；3) 国家主管部门有要求时state competent authorities require oth

26、erwise。3. 对乙方的审核结论、审核人员工作作风及审核的公正性和保守甲方秘密等有异议，可向乙方的监督部门申诉/投诉。if party a has any objection to party bs audit conclusion, the work style of party bs auditors and the impartiality and confidentiality of the audit, it may lodge an appeal/complaint to party bs supervising department.六、违约和合同终止violation an

27、d termination of contract:1. 违约：合同签定后，如一方违反合同，使本合同无法履行，则应赔偿另一方因此而造成的经济损失，赔偿金额为合同额的5%。violation of contract: after the signing of the contract, in case one party violates the contract and makes it impossible for the contract to be implemented, it shall compensate the other party for the economic loss

28、 incurred thereby. the claim is 5% of the contract amount. 2. 下列情况下，合同自然终止失效：this contract will be terminated and cease to be in force naturally under the following circumstances:（1）乙方对甲方的认证结论为不合格，经甲方整改，乙方再次审核，仍为不合格（出现此情况，甲方仍须缴纳全部审核费用）。party bs certification conclusion for party a is no recommendati

29、on, and the conclusion is still no recommendation after party as further corrective actions (party a shall still pay all the audit fees in the event of such a conclusion).（2）甲方不再继续申请认证时if party a does not apply certification continually,七、争议处理dispute handling:本合同在履行过程中如发生争议，双方首先协商解决。如协商不成，按合同法有关规定办理

30、。因本合同所发生的重大争议，申请按司法程序解决。in case disputes arise in the course of contract implementation, the two parties shall in the first place settle the disputes through consultation. if consultation fails, the disputes shall be handled in accordance with the relevant regulations of the contract law of the peop

31、les republic of china. in case of major dispute arising out of this contract, both parties may apply to settle the dispute through judicial proceedings.八、本合同自签定之日起生效，一式两份，甲、乙双方各持壹份。this contract shall take effect from the date of signing and be made in duplicate with each party keeping one copy.九、认证
