合作协议Project Contract甲方： 乙方： Metro Power Entertainment上海越唐文化传媒有限公司This Project Contract for is made between:Party A: (herein referred to as Party A); andParty B: Metro Power Entertainment (herein referred to as Party B)双方本着强强联合的愿望，旨在推广Meditteraneo餐厅在上海的影响力。Whereas Party A and B with the intent of employing advantages of both parts, as well as promoting the unique Italian culinary culture and bringing to the Shanghai city the fresh and colorful taste of Italian cuisine. 甲乙双方本着强强联合的愿望，拟在 举办“Savouring Mediterranean”品味地中海风情暨Meditteraneo餐厅开张活动(以下简称开张活动Grand Opening)。Whereas Party A and B with the intent of employing advantages of both parts, have agreed to hold on (herein referred to as ) 。 甲方和乙方经友好协商，就双方的责任达成以下意向，所有解释以中文文本为准：Party A and Party B have reached an agreement through friendly consultation to conclude the following contract. Party A shall pay 30% of above-grandtotal fees (RMB68, 640) to Party B before May 20th, 2006. The remaining amounts (RMB45, 760) shall be paid to Party B by Party A within a week after the completion of Grand Opening. All the above-mentioned amounts shall be paid by transferring to the specified bank account of Party B.户名：上海越唐文化传媒有限公司Title of Account:开户行：兴业银行上海漕河泾支行Bank: 帐号：156319-00100076688Account No.:8、 乙方确保活动按照甲方所确认之方案执行，负责活动的全程实施，监督活动的内容和质量。Party B shall get along with the project confirmed by Party A, take charge of the whole process of Grand Opening and the quality management. 9、 乙方确保与甲方在整个活动执行中，随时沟通协商所有与活动相关的细节，对于甲方提出的已确认方案预算之外的要求，其中涉及到经费支出部分，应由甲乙双方签订补充协议之后，由甲方追加支出费用。Party B shall communicate and negotiatewith Party A timely on the details related to Grand Opening. In the event that any need of additional expenditures beyond the budget agreed by Party A is necessary, the expenses shall not be borne by Party A unless a mutual confirmation has been maken in the form of written annex. 二、违约责任Obligations of breach of contract 1、 合同双方中任何一方都无权在未取得对方书面同意的情况下转让本合同的权利和义务。The rights and duties of each party under this contract must not convey to any third party without prior written agreement.2、 甲乙双方确保遵守本协议项下规定的各自权利和义务。如甲方未按照本合同付款约定向乙方支付服务费用，则因此造成本合同项下乙方完成甲方委托事务有所迟延或者存有瑕疵，乙方不因此承担任何责任，且甲方每延迟支付一日，应向乙方支付应付服务费10%的违约金。在甲方未按付款约定向乙方支付费用的，乙方有权选择继续履行合同或解除合同并要求甲方按照约定支付违约金。In case Party A fails to pay the amounts in accordance with this contract, Party B shall pay the fine for breach of contract 10% of overdue amounts per day to Party B. If there is any delay or flaw in payment of Party A to Party B, no responsibility shall be borne by Party B according to this contract. Party B has the option to terminate the contract or continue to fulfill it in this event.如乙方未按照本合同约定履行自己的义务，则应赔偿因此给甲方造成的一切损失。In the event of failure to performance in accordance with this contract, Party B should pay damages to Party A for all lost incurred by breach of this contract.3、 双方不得单方解除或终止合同，如违反本约定，违约方应向另一方支付合同服务费总额的15%作为违约金，出现迟延支付及违反本条款竞合的，另一方有权选择违约金条款的适用。Both parties must not rescind or terminate this contract without mutual agreement. The party violated the clause should pay 15% of grand total amounts under this contract as fine for breach of contract. In case of concurrence of abovementioned breach and delay in payment of one party, the other party has the right to choose the fine clause applicable to this circumstance.三、保密条款：Confidentiality未经一方书面同意，另一方不得向任何第三方转让、转交、转用或泄露一方提供的任何背景资料和数据库。所有涉及该活动的资料，包括但不限于合同、图片、公司资料、数据库、电子文档、报价、方案等均属于商业秘密范围。Every and each material, including but not limited to contracts, pictures, company information, database, electronic files, quotations, projects falls into the category of trade secret. Any party must not transfer, deliver, reuse or reveal any materials and database of the other party to any third party. 四、其它Miscellaneous1、未尽事宜，双方协商解决。双方如经友好协商仍不能解决的，任何一方可向上海仲裁委员会提出仲裁申请。本合同适用中国法律法规并按其解释。The parties shall make reasonable endeavors to settle any dispute. In case no settlement can be reached through consultations, dispute(s) shall be submitted to Shanghai Arbitration Commission for arbitration pursuant to its arbitration rules.2、鉴于甲方仍处于筹备阶段，公司未最终登记设立，为了保证本合同的顺利履行，甲方公司的出资人 愿意对本合同承担连带责任。In consideration of the current preparation phase of
