I.PartiestotheContract

II.ScopeofEmployment

2.1TheEmployeeshallperformthefollowingdutiesandresponsibilitiesduringthetermofthisContract:

(a)ExecutetasksassignedbytheEmployerinaccordancewiththejobdescription;

(b)ObserveworkinghoursandcomplywiththeinternalregulationsoftheEmployer;

(c)PerformdutiesrelatedtotheEmployer'sbusinessandmaintainconfidentialityoftheEmployer'sbusinesssecrets.

2.2TheEmployeeshallnotengageinanyactivitiesthatmayharmtheEmployer'sinterestsorreputation,norshalltheEmployeeengageinanyactivitiesthatareinconsistentwiththeEmployer'sbusiness.

III.TermofEmployment

3.1ThetermofthisContractshallbe(insertdurationoftheContract,e.g.,twoyears).

3.2TheContractshallautomaticallyterminateupontheexpirationofthetermoftheContract,unlesseitherpartyterminatestheContractinaccordancewiththeprovisionsofthisContract.

IV.CompensationandBenefits

4.1TheEmployershallpaytheEmployeeamonthlysalaryof(insertamountofmonthlysalary)ascompensationfortheservicesrendered.

4.2TheEmployeeshallbeentitledtothefollowingbenefitsduringthetermofthisContract:

(a)SocialsecurityandinsurancebenefitsinaccordancewiththelawsandregulationsofthecountryorregionwheretheEmployerisestablished;

(b)PaidannualleaveinaccordancewiththelawsandregulationsofthecountryorregionwheretheEmployerisestablished;

(c)Otherbenefitsasmaybeagreeduponbybothparties.

V.TerminationofEmployment

5.1EitherpartymayterminatethisContractupongivingtheotherpartywrittennoticeoftermination,providedthatsuchnoticeisgivennotlessthan(insertperiod,e.g.,onemonth)priortotheeffectivedateoftermination.

5.2TheContractmaybeterminatedbyeitherpartyforthefollowingreasons:

(a)BreachofthisContractbyeitherparty;

(b)TheEmployee'sdeathorincapacity;

(c)TheEmployer'sdissolutionorbankruptcy;

(d)Othercircumstancesasmaybeagreeduponbybothparties.

VI.Confidentiality

6.1BothpartiesagreetokeepconfidentialanyandallinformationthatmaybedisclosedtothemduringthetermofthisContract,includingbutnotlimitedtotradesecrets,customerinformation,andotherconfidentialinformation.

VII.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof(insertcountryorregion).

7.2AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughfriendlynegotiations.Ifthepartiesfailtoreachanagreementthroughnegotiations,thedisputeshallbesubmittedtothecompetentcourtof(insertcountryorregion)forarbitration.

V.Employee'sRightsandObligations

5.1TheEmployeehastherightto:

(a)Receivefaircompensationfortheservicesrendered.

(c)RequestleaveinaccordancewithapplicablelawsandthetermsofthisContract.

5.2TheEmployeeshall:

(a)PerformthedutiesandresponsibilitiesasoutlinedintheJobDescription.

(b)AbidebytheEmployer'sinternalpoliciesandprocedures.

(c)NotifytheEmployerofanychangesinhis/herqualificationsorcircumstancesthatmayaffecthis/herabilitytoperformtheduties.

VI.Contractor'sRightsandObligations

6.1TheContractorhastherightto:

(a)Receivepaymentfortheservicesrenderedinaccordancewiththeagreeduponterms.

(b)RequesttheEmployertoprovidenecessaryresourcesandsupporttoperformtheserviceseffectively.

6.2TheContractorshall:

(a)ProvidethespecializedservicesrequiredbytheEmployeraspertheServiceSpecification.

(b)Ensurethattheservicesrenderedmeetthequalitystandardsandspecificationsagreedupon.

(c)Complywithallapplicablelawsandregulations.

VII.Employee'sandContractor'sLimitationsandWarranties

7.1TheEmployeeandtheContractorwarrantthat:

(a)TheyhavethelegalcapacitytoenterintothisContract.

(b)Theywillperformtheirdutiesandresponsibilitieswithduediligenceandskill.

(c)TheywillnotengageinanyactivitiesthatmaycauseharmtotheEmployer'sinterestsorreputation.

(b)NottodiscloseanyconfidentialinformationoftheEmployertoanythirdpartywithouttheEmployer'spriorwrittenconsent.

VIII.TerminationofEmployment

8.1TheEmployermayterminatethisContractwithimmediateeffectintheeventof:

(a)TheEmployee'sortheContractor'sbreachofthisContract.

(b)TheEmployee'sortheContractor'sengagementinactivitiesthatareharmfultotheEmployer'sinterestsorreputation.

(c)Anyothercausethatwouldjustifyterminationunderapplicablelaws.

8.2TheEmployeeortheContractormayterminatethisContractwith[insertnoticeperiod]writtennoticetotheEmployer.

IX.GoverningLawandDisputeResolution

VII.TerminationofAgreement
