heBuyertopurchasetheproductsandservicesfromtheSellerunderthetermsandconditionsspecifiedtherein.(b)TheBuyershallensurethatallpaymentduetotheSellerunderthisContractaremadeinatimelymanner,inaccordancewiththepaymenttermsagreeduponbybothparties.Failuretomaketimelypaymentmayresultinsuspensionofdeliveryofproductsorservices,orterminationofthisContractbytheSeller,attheSeller'ssolediscretion.4.2Seller'sObligations:(a)TheSellershallensurethattheproductsandservicessoldtotheBuyerareofgoodquality,andcomplywithallapplicablelaws,regulations,andstandards.TheSellershallalsoprovidenecessarydocumentationandcertificationtoprovetheconformityofitsproductsandservices.(b)TheSellershalldelivertheproductsandservicestotheBuyerinatimelymanner,inaccordancewiththedeliverytermsagreeduponbybothparties.FailuretodeliverontimemayresultinsuspensionofpaymentbytheBuyer,orterminationofthisContractbytheBuyerattheBuyer'ssolediscretion.PART5:WARRANTIESANDREPRESENTATIONS5.1Seller'sWarranties:TheSellerwarrantsthatithasfullrightandauthoritytoselltheproductsandservicestotheBuyerunderthisContract,andthattheproductsandserviceswillbefreefromanyclaimsorencumbrancesbythirdparties.TheSellerfurtherwarrantsthatitsproductsandserviceswillconformtoallapplicablelaws,regulations,andstandards,andthatitwilltakefullresponsibilityforanydefectsornon-conformitiesinitsproductsandservices.5.2Buyer'sRepresentations:TheBuyerrepresentsthatithasfullrightandauthoritytopurchasetheproductsandservicesfromtheSellerunderthisContract,andthatitwillcomplywithallapplicablelaws,regulations,andstandardsrelatedtoitsuseoftheproductsandservicespurchasedfromtheSeller.TheBuyerfurtherrepresentsthatitwilltakefullresponsibilityforanyclaimsorliabilitiesarisingoutofitsuseoftheproductsandservicespurchasedfromtheSeller.PART6:TERMINATION6.1ThisContractmaybeterminatedbyeitherpartyatanytimepriortoperformanceifaneventoccurswhichmakesitimpossibleforeitherpartytoperformitscontractualobligations.Insuchcase,bothpartiesshallpromptlynotifyeachotherin
