1.DescriptionofGoods
1.1TheSellershallsupplytheBuyerwiththefollowinggoods(hereinafterreferredtoas“theGoods”)inaccordancewiththespecifications,quantities,andqualitystipulatedinthisContract:
1.2Thespecifications,quantities,andqualityoftheGoodsshallbeasagreeduponbetweenthePartiesandasspecifiedintheattachedtechnicaldocumentation.
2.PriceandPaymentTerms
2.1ThepriceoftheGoodsshallbeasstipulatedintheattachedpricelist.
2.2PaymentshallbemadebytheBuyerinaccordancewiththepaymenttermssetforthinthisContract.
3.DeliveryandShipment
3.1TheSellershalldelivertheGoodstotheBuyerattheagreedplaceofdeliverywithintheagreedtimeperiod.
3.2ThetransportationcostsandinsuranceshallbebornebytheSellerunlessotherwiseagreeduponbetweentheParties.
4.InspectionandQuality
4.1ThequalityoftheGoodsshallbeinspectedbytheSellerbeforeshipmentandshallcomplywiththeagreedspecificationsandstandards.
4.2TheBuyershallhavetherighttoinspecttheGoodsuponarrivaland,ifanydefectsarefound,shallnotifytheSellerwithinareasonabletime.
5.ForceMajeure
5.1IntheeventofanyforcemajeurebeyondthecontrolofeitherParty,includingbutnotlimitedtowar,naturaldisasters,governmentrestrictions,oranyotherunforeseeablecircumstances,theaffectedPartyshallberelievedfromitsobligationsunderthisContracttotheextentsuchforcemajeurepreventsordelaystheperformanceofitsobligations.
6.DisputeResolution
6.1IntheeventofanydisputesarisingfromorinconnectionwiththisContract,thePartiesshallfirstendeavortoresolvethedisputeamicablythroughnegotiation.
6.2IfthePartiesfailtoresolvethedisputethroughnegotiation,thedisputeshallbesubmittedtothearbitrationofamutuallyagreed-uponarbitrationinstitutioninaccordancewithitsrules.
7.GoverningLawandJurisdiction
7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthecountrywheretheSellerislocated.
7.2AnylegalactionorproceedingarisingoutoforinconnectionwiththisContractshallbebroughtbeforethecompetentcourtintheSeller’scountry.
8.EntireAgreement
8.1ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,relatingtothesubjectmatterofthisContract.
8.2NomodificationoramendmenttothisContractshallbeeffectiveunlessitisinwritingandsignedbybothParties.

5.2TheThirdPartyshallensurethattheBuyerfulfillsitspaymentobligationstotheSeller.
5.3TheThirdPartyshallberesponsibleforanydisputesarisingbetweentheSellerandtheBuyer,andshallendeavortoresolvethemamicably.
6.RightsandObligationsofPartyA(Buyer)
6.1PartyAshallhavetherighttoterminatethisContractintheeventofabreachoftheContractbytheSellerortheThirdParty.
6.2PartyAshallhavetherighttorequestarefundofthedepositiftheSellerfailstodelivertheGoodswithintheagreedtimeperiod.
6.3PartyAshallhavetherighttorequestcompensationforanylossesincurredduetotheSeller’sortheThirdParty’sbreachoftheContract.
7.违约及限制条款
