ThisDistributionAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:

Distributor:[Distributor'sname],a[Distributor'slegalentitytype]organizedandexistingunderthelawsof[Distributor'sjurisdiction],withitsprincipalplaceofbusinessat[Distributor'saddress](hereinafterreferredtoas"Distributor").

1.SubjectMatter

Supplierisengagedintheproduction,marketing,andsaleof[descriptionoftheproductsorservices],andDistributordesirestoobtaintherighttodistributesuchproductsorservices(hereinaftercollectivelyreferredtoasthe"Goods")intheterritoryof[territory].

2.Appointment

SupplierherebyappointsDistributorasitsnonexclusivedistributorintheterritoryof[territory]fortheGoods,andDistributorherebyacceptssuchappointment.

3.RightsandObligationsoftheParties

3.1Supplier'sRightsandObligations

SupplyofGoods:SuppliershallsupplytheGoodstoDistributorinaccordancewiththetermsandconditionsofthisAgreement.SuppliershallensurethattheGoodsareofmerchantablequalityandplywithallapplicablelawsandregulations.

ProductInformation:SuppliershallprovideDistributorwithaccurateanduptodateproductinformation,includingbutnotlimitedtoproductspecifications,usageinstructions,andmarketingmaterials.

Price:SuppliershallsetthepriceoftheGoodstobesoldtoDistributor.AnychangesinthepriceshallbenotifiedtoDistributorinwritinginadvance.

IntellectualPropertyRights:SuppliershallretainallintellectualpropertyrightsintheGoods,includingbutnotlimitedtotrademarks,patents,andcopyrights.DistributorshallnotusesuchintellectualpropertyrightsforanypurposeotherthanthedistributionoftheGoodsinaccordancewiththisAgreement.

QualityControl:SuppliershallhavetherighttoinspecttheinventoryandsalesoftheGoodsbyDistributorfromtimetotimetoensurepliancewiththisAgreement.

3.2Distributor'sRightsandObligations

SalesEfforts:DistributorshalluseitsbesteffortstopromoteandselltheGoodsintheterritory.Distributorshallestablishandmaintainasalesandmarketingteam,anddevelopmarketingstrategiestoincreasethesalesoftheGoods.

Compliance:DistributorshallplywithallapplicablelawsandregulationsinthedistributionoftheGoods.DistributorshallnotengageinanyunfairpetitionorillegalactivitiesinconnectionwiththesaleoftheGoods.

InventoryManagement:DistributorshallmaintainanappropriateinventoryoftheGoodstomeetthemarketdemand.DistributorshallreportitsinventorylevelstoSupplieronaregularbasis.

CustomerService:DistributorshallprovidecustomerservicefortheGoods,includingbutnotlimitedtoansweringcustomerinquiries,handlingplaints,andprovidingaftersalessupport.

Reporting:DistributorshallsubmitregularsalesreportstoSupplier,includingbutnotlimitedtosalesvolume,salesrevenue,andcustomerfeedback.

4.PricingandPayment

4.1Pricing

ThepriceoftheGoodsshallbe[priceperunit]assetbySupplier.Supplierreservestherighttoadjustthepricefromtimetotimeupon[numberofdays]'priorwrittennoticetoDistributor.

4.2PaymentTerms

DistributorshallpayfortheGoodswithin[numberofdays]daysafterreceiptofaninvoicefromSupplier.Paymentshallbemadeby[paymentmethod,e.g.,banktransfer].

5.Delivery

5.1DeliveryTerms

SuppliershallberesponsiblefordeliveringtheGoodstoDistributor'sdesignatedplaceofreceiptinaccordancewiththeagreeddeliveryschedule.Deliveryshallbemade[deliverymethod,e.g.,FCA,CIF,etc.].

5.2RiskofLoss

TheriskoflossordamagetotheGoodsshallpasstoDistributorupondeliveryattheagreedplaceofreceipt.

6.TermandTermination

6.1Term

ThisAgreementshallmenceonthedateofexecutionandshallcontinueforaperiodof[numberofyears/months],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

6.2Termination

ByAgreement:ThisAgreementmaybeterminatedbymutualwrittenagreementoftheparties.

ForCause:EitherpartymayterminatethisAgreementimmediatelyuponwrittennoticetotheotherpartyiftheotherpartymateriallybreachesanyprovisionofthisAgreementandfailstocuresuchbreachwithin[numberofdays]daysafterreceiptofnotice.

Expiration:ThisAgreementshallterminateautomaticallyupontheexpirationofitsterm.

6.3ConsequencesofTermination

ReturnofGoods:UponterminationofthisAgreement,DistributorshallreturntoSupplieranyunsoldGoodsinitspossessionwithin[numberofdays]days.

PaymentofOutstandingAmounts:DistributorshallpaytoSupplieralloutstandingamountsowedunderthisAgreementwithin[numberofdays]daysaftertermination.

ObligationsafterTermination:Aftertermination,thepartiesshallcontinuetobeboundbytheprovisionsofthisAgreementthatarenecessarytoprotectthelegitimaterightsandinterestsoftheparties,suchasconfidentialityandintellectualpropertyrightsprovisions.

7.Confidentiality

ConfidentialInformationDefined:Eachpartyacknowledgesthatinthecourseoftheirbusinessrelationship,theymayhaveaccesstoconfidentialinformationoftheotherparty,includingbutnotlimitedtoproductdesigns,customerlists,marketingstrategies,andfinancialinformation.

ObligationtoKeepConfidential:Eachpartyshallkeepconfidentialallconfidentialinformationoftheotherpartyandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

Exceptions:Theobligationofconfidentialityshallnotapplytoinformationthatisalreadyinthepublicdomain,orthatbespubliclyavailablethroughnofaultofthereceivingparty,orthatisrequiredtobedisclosedbylaw.

8.IntellectualPropertyRights

Supplier'sIP:SupplierownsallintellectualpropertyrightsintheGoods,includingtrademarks,patents,copyrights,andtradesecrets.Distributorshallnotuse,copy,modify,orsublicenseanyofSupplier'sintellectualpropertyrightswithoutSupplier'spriorwrittenconsent.

Distributor'sUse:DistributormayusetheintellectualpropertyrightsofSuppliersolelyforthepurposeofdistributingtheGoodsinaccordancewiththisAgreement.Distributorshallnotremoveoralteranycopyright,trademark,orotherproprietarynoticesontheGoods.

9.Warranty

Supplier'sWarranty:SupplierwarrantsthattheGoodsarefreefromdefectsinmaterialsandworkmanshipandshallconformtothespecificationsprovidedtoDistributor.SuppliershallberesponsibleforrepairingorreplacinganydefectiveGoodswithinareasonabletimeafterreceivingnoticefromDistributor.

Distributor'sWarranty:DistributorshallwarranttoSupplierthatitwillselltheGoodsinpliancewithallapplicablelawsandregulationsandwillnotmakeanyfalseormisleadingrepresentationsabouttheGoods.

10.Liability

LimitedLiability:Innoeventshalleitherpartybeliabletotheotherpartyforanyindirect,special,consequential,orpunitivedamages,includingbutnotlimitedtolossofprofits,lossofbusiness,ordamagetoreputation,evenifsuchpartyhasbeenadvisedofthepossibilityofsuchdamages.

DirectDamages:EachpartyshallbeliableforitsowndirectdamagescausedbyitsbreachofthisAgreement.

11.Indemnification

IndemnifyingParty'sObligation:Eachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithitsbreachofthisAgreementoritsuseoftheGoodsinviolationofthisAgreement.

12.Assignment

NoAssignment:NeitherpartymayassignitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty,exceptinthecaseofamerger,acquisition,orsaleofallorsubstantiallyallofitsbusinessassets.
