wedforanadditional[renewalperiod]yearsuponexpirationoftheinitialterm,unlesseitherpartygiveswrittennoticeofnonrenewalatleast[numberofdays]daysbeforetheexpirationoftheinitialterm.2.Termination:ThisAgreementmaybeterminatedbyeitherpartyupon[numberofdays]days'priorwrittennoticetotheotherpartyunderthefollowingcircumstances:IftheotherpartymateriallybreachesthisAgreementandfailstocurethebreachwithin[cureperiod]daysafterreceivingwrittennoticeofthebreach;Ifapartybesinsolvent,bankrupt,orundergoesanyothersimilareventthataffectsitsabilitytoperformthisAgreement;IfthesubjectmatterofthisAgreementbesillegalorimpossibletoperformduetoreasonsbeyondthecontrolofeitherparty.UponterminationofthisAgreement,thepartiesshallimmediatelyceaseallactivitiesrelatedtothisAgreementandshallreturnordestroyanyconfidentialinformationandpropertyoftheotherpartyintheirpossession.VIII.LiabilityforBreach1.IfeitherpartybreachesthisAgreement,itshallbeliableforpensatingtheotherpartyforalldirectandindirectlossesanddamagessufferedbythenonbreachingpartyasaresultofthebreach.2.Incaseofadelayinperformance,thebreachingpartyshallpayliquidateddamagestothenonbreachingpartyattherateof[liquidateddamagesrate]ofthetotalamountofthisAgreementforeachdayofdelay,uptoamaximumof[maximumliquidateddamagesamount].3.Theliabilityofthebreachingpartyshallnotbelimitedtotheabovementionedprovisions.ThenonbreachingpartyreservestherighttopursueallotherlegalremediesavailableunderlawforthebreachofthisAgreement.Ix.DisputeResolution1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiationbetweentheparties.Ifthepartiesfailtoreachanagreementwithin[negotiationperiod]daysaftertheoccurrenceofthedispute,eitherpartymaysubmitthedisputeto[arbitrationinstitution/court]forarbitration/litigation.2.Ifarbitrationischosen,thearbitrationshallbeconductedinaccordancewiththearbitrationrulesof[arbitrationinstitution].Thearbitrationawardshallbefinalandbindingonbothparties.3.Iflitigationischosen,thecaseshallbeunderthejurisdictionofthe[courtname]where[relevantjurisdictionbasis].x.Miscellaneous1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothes
