I.SubjectMatter

PartyAagreestoprovidePartyBwiththefollowinggoods/services(the"SubjectMatter"):

II.RightsandObligationsoftheParties

A.RightsandObligationsofPartyA

1.PartyAshallhavetherighttoreceivetheconsiderationasprovidedinthisAgreementinaccordancewiththetermsandconditionsherein.

2.PartyAshallberesponsibleforprovidingtheSubjectMatterinaccordancewiththeagreedspecifications,quantity,qualitystandards,anddeliverytime.PartyAshallensurethatthegoodsarefreefromdefectsandtheservicesareperformedwithduecareandprofessionalism.

3.PartyAshallprovidePartyBwithallnecessarydocumentationandsupportrelatedtotheSubjectMatter,includingbutnotlimitedtoproductmanuals,installationguides,andtechnicalsupport.

4.PartyAshallindemnifyandholdPartyBharmlessfromandagainstanyandalllosses,damages,liabilities,claims,suits,judgments,fines,penalties,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithPartyA'sbreachofthisAgreementortheuseoftheSubjectMatterbyPartyB.

B.RightsandObligationsofPartyB

1.PartyBshallhavetherighttoreceivetheSubjectMatterinaccordancewiththetermsandconditionsofthisAgreement.

2.PartyBshallberesponsibleforpayingtheconsiderationfortheSubjectMattertoPartyAinaccordancewiththepaymenttermsspecifiedherein.

3.PartyBshallcooperatewithPartyAintheperformanceofthisAgreement,includingbutnotlimitedtoprovidingnecessaryinformation,accesstofacilities,andassistanceinthedeliveryandinstallationofthegoodsortheperformanceoftheservices.

4.PartyBshallusetheSubjectMatteronlyforthepurposespermittedbythisAgreementandshallnotdisclose,sublicense,ortransfertheSubjectMattertoanythirdpartywithoutthepriorwrittenconsentofPartyA.

5.PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandalllosses,damages,liabilities,claims,suits,judgments,fines,penalties,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithPartyB'sbreachofthisAgreementortheunauthorizeduseoftheSubjectMatterbyPartyB.

III.Consideration

InconsiderationfortheSubjectMatterprovidedbyPartyA,PartyBshallpayPartyAthefollowingamount:

IV.DeliveryandAcceptance

A.Delivery

1.PartyAshalldelivertheSubjectMattertotheagreeddeliverylocationonorbeforethedeliverydatespecifiedherein.

2.PartyAshallberesponsibleforarrangingtransportationandensuringthesafeandtimelydeliveryoftheSubjectMatter.PartyAshallprovidePartyBwithnoticeoftheshipment,includingtheshippingdate,trackingnumber,andestimateddeliverydate.

B.Acceptance

1.PartyBshallinspecttheSubjectMatterupondelivery.IfPartyBdiscoversanydefectsornonpliancewiththeagreedspecificationswithin[numberofdays]daysafterdelivery,PartyBshallnotifyPartyAinwriting.

2.PartyAshall,within[numberofdays]daysafterreceivingPartyB'snotice,takeappropriatemeasurestoremedythedefectsornonpliance,includingbutnotlimitedtorepair,replacement,orrefund.

3.AfterPartyAhasremediedthedefectsornonpliance,PartyBshallconductasecondinspection.IftheSubjectMattermeetstherequirements,PartyBshallissueawrittenacceptancecertificatetoPartyA.

V.Warranty

1.PartyAwarrantsthattheSubjectMatterprovidedunderthisAgreementshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[warrantyperiod]months/yearsfromthedateofdelivery.

2.Duringthewarrantyperiod,PartyAshall,atitsownexpense,repairorreplaceanydefectivepartsorperformanynecessaryservicestomaketheSubjectMatterconformtotheagreedspecifications.

3.ThiswarrantyisPartyA'ssoleandexclusivewarranty,andallotherwarranties,whetherexpressorimplied,includingbutnotlimitedtowarrantiesofmerchantabilityandfitnessforaparticularpurpose,areherebydisclaimed.

VI.Confidentiality

1.EachpartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstocertainconfidentialinformationoftheotherparty(the"ConfidentialInformation").

2.EachpartyshallkeeptheConfidentialInformationconfidentialandshallnotdisclose,use,orpermittheuseoftheConfidentialInformationforanypurposeotherthantheperformanceofthisAgreement.

3.ThisobligationofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[numberofyears]years.

VII.IntellectualPropertyRights

1.PartyAwarrantsthatithastherighttoprovidetheSubjectMatterunderthisAgreementandthattheuseoftheSubjectMatterbyPartyBwillnotinfringeupontheintellectualpropertyrightsofanythirdparty.

2.AnyintellectualpropertyrightscreatedinthecourseofperformingthisAgreement,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,shallbeownedbythepartythatcreatedthem,unlessotherwiseagreedinwriting.

3.PartyBshallnotremoveoralteranycopyrightorotherproprietarynoticesontheSubjectMatter.

VIII.Termination

1.ThisAgreementmaybeterminated:

Bymutualwrittenagreementoftheparties;

Byeitherpartyupon[numberofdays]days'writtennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherpartythatremainsuncuredafter[numberofdays]days'writtennoticeofthebreach;

Byeitherpartyupon[numberofdays]days'writtennoticetotheotherpartyintheeventoftheinsolvency,bankruptcy,ordissolutionoftheotherparty.

2.UponterminationofthisAgreement,thepartiesshallperformanyoutstandingobligationshereunderuntilpletion,exceptasotherwiseagreedinwriting.

Ix.ForceMajeure

1.NeitherpartyshallbeliableforanydelayorfailureinperformanceofitsobligationsunderthisAgreementduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,terrorism,governmentregulations,andlaborstrikes(collectively,"ForceMajeureEvents").

2.IntheeventofaForceMajeureEvent,thepartyaffectedshallnotifytheotherpartyassoonasreasonablypossibleandshalluseitsbesteffortstoresumeperformanceofitsobligationsassoonastheForceMajeureEventhasceased.

x.GoverningLawandJurisdiction

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthecourtslocatedin[jurisdiction].

xI.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

xII.AmendmentsandWaivers

Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

xIII.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

Inwitnesswhereof,thepartieshaveexecutedthisContractAgreementasofthedatefirstabovewritten
