2025BusinessEnglishContractPartThree

Thiscontract(the"Agreement")isenteredintoasof(the"EffectiveDate"),byandbetween(the"Client"),acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat("Client"),and(the"ServiceProvider"),acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat.TheClientandServiceProvidermaybereferredtoindividuallyasa"Party"orcollectivelyasthe"Parties."

1.ScopeofServices

TheServiceProvideragreestoprovidethefollowingservicestotheClient:

1.1Professionalconsultingservicesintheareasof(the"Services").

1.2TheServicesshallbeprovidedinaccordancewiththetermsandconditionssetforthinthisAgreement,includingbutnotlimitedtothetimelines,deliverables,andpaymenttermsspecifiedherein.

2.TermoftheAgreement

2.1ThisAgreementshallcommenceontheEffectiveDateandcontinueforaperiodof(the"Term").

2.2UnlessterminatedearlierpursuanttotheprovisionsofthisAgreement,thisAgreementshallautomaticallyrenewforsuccessiveperiodsofuponmutualagreementinwritingbytheParties.

3.FeesandPaymentTerms

3.1TheClientagreestopaytheServiceProviderthefeessetforthinScheduleAattachedhereto(the"Fees").

3.2AllpaymentsshallbemadewithindaysofthedateofeachinvoicesentbytheServiceProvider.Latepaymentsshallincurapenaltyof%permonth,calculatedontheoutstandingamount.

3.3TheServiceProvidershallissueinvoicestotheClientattheaddressspecifiedinthisAgreementorasotherwisenotifiedinwritingbytheClient.

4.ResponsibilitiesofEachParty

4.1Client'sResponsibilities:

TheClientagreesto:

a)Provideallnecessaryinformation,data,andmaterialsrequiredfortheServicestobeperformed.

b)CooperatewiththeServiceProviderandprovidereasonableassistanceduringtheperformanceoftheServices.

c)Ensurethatitsemployees,agents,orrepresentativescomplywithapplicablelawsandregulationsinrelationtotheServices.

4.2ServiceProvider'sResponsibilities:

TheServiceProvideragreesto:

a)PerformtheServiceswithduecare,skill,andprofessionalism,inaccordancewithindustrystandards.

b)DelivertheServiceswithintheagreedtimelinesandensurethequalityofdeliverablesmeetstheexpectationssetforthinthisAgreement.

c)MaintainconfidentialityregardinganyinformationordataprovidedbytheClientinconnectionwiththeServices.

5.IntellectualPropertyRights

5.1Allintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,shallremainwiththeirrespectiveownersunlessotherwiseagreeduponinwriting.

5.2TheServiceProviderwarrantsthatanydeliverablesprovidedunderthisAgreementareoriginalanddonotinfringeontheintellectualpropertyrightsofthirdparties.

6.Confidentiality

6.1BothPartiesagreetokeepconfidentialallnon-public,proprietary,orsensitiveinformationdisclosedduringthetermofthisAgreement(the"ConfidentialInformation").

6.2TheobligationsofconfidentialityshallsurvivetheterminationofthisAgreementforaperiodofyears.

7.ChangesandAmendments

7.1AnychangesoramendmentstothisAgreementmustbemadeinwritingandsignedbybothParties.

7.2AnyrequestformodificationoftheServices,timelines,orFeesshallbesubmittedinwritingatleastdayspriortotheproposedchange.

8.Termination

8.1EitherPartymayterminatethisAgreementupongivingwrittennoticeif:

a)TheotherPartybreachesanymaterialtermofthisAgreementandfailstocuresuchbreachwithindaysafterreceiptofwrittennoticethereof.

b)APartybecomesinsolvent,filesforbankruptcy,orhasitsassetsseizedbyacourtofcompetentjurisdiction.

8.2Upontermination,thePartiesshallsettlealloutstandingaccountsandreturnanymaterialsprovidedinconnectionwiththeServices.

9.LiabilityandIndemnification

9.1TheServiceProvidershallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutoforrelatingtotheServices.

9.2TheClientagreestoindemnifyandholdharmlesstheServiceProvideragainstanyclaims,losses,orexpenses(includingreasonablelegalfees)arisingfromtheClient'sactionsoromissionsinconnectionwiththisAgreement.

10.DisputeResolution

10.1AnydisputesarisingoutoforrelatingtothisAgreementshallberesolvedthroughfriendlynegotiationsbetweentheParties.

10.2Ifthedisputecannotbesettledamicablywithindays,itshallbesubmittedtoarbitrationinaccordancewiththerulesof.Theseatofarbitrationshallbe,andthearbitrationshallbeconductedintheEnglishlanguage.

11.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof.

12.ForceMajeure

NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,orgovernmentactions.

13.MiscellaneousProvisions

13.1ThisAgreementconstitutestheentireagreementbetweenthePartiesregardingthesubjectmatt
