1.ConfidentialInformation.ForthepurposesofthisAgreement,"ConfidentialInformation"shallmeananyandallnon-publicinformationdisclosedbyPartyAtoPartyB,eitherdirectlyorindirectly,inwriting,orally,orbyinspectionoftangibleobjects,includingbutnotlimitedtotechnical,commercial,financial,operational,andotherinformation.

2.ObligationofConfidentiality.PartyBagreestoholdtheConfidentialInformationinstrictconfidenceandnottousetheConfidentialInformationforanypurposeotherthantheperformanceofitsobligationsunderthisAgreement.PartyBshallnotdisclosetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA.

3.Exclusions.TheobligationsofconfidentialityunderthisAgreementshallnotapplytoinformationthat:(i)isorbecomespubliclyknownthroughnofaultofPartyB;(ii)isalreadyinthepossessionofPartyBatthetimeofdisclosure;(iii)isobtainedbyPartyBfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality;or(iv)isindependentlydevelopedbyPartyBwithoutuseoforreferencetotheConfidentialInformation.

4.ReturnofConfidentialInformation.UpontheterminationorexpirationofthisAgreement,oruponthewrittenrequestofPartyA,PartyBshallreturnallcopiesoftheConfidentialInformationtoPartyAorcertifythedestructionofsuchcopies.

5.Term.ThisAgreementshallremainineffectforaperiodof[numberofyears]fromthedateofitsexecution,unlessterminatedearlierinaccordancewithitsterms.

6.Termination.ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchterminationshallnotaffecttheobligationsofthepartiesunderthisAgreementthatarisepriortotheeffectivedateoftermination.

7.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[state/country].

2.ObligationofConfidentiality.PartyBandThirdPartyagreetoholdtheConfidentialInformationinstrictconfidenceandnottousetheConfidentialInformationforanypurposeotherthantheperformanceoftheirobligationsunderthisAgreement.TheyshallnotdisclosetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA.

3.Exclusions.TheobligationsofconfidentialityunderthisAgreementshallnotapplytoinformationthat:(i)isorbecomespubliclyknownthroughnofaultofPartyBorThirdParty;(ii)isalreadyinthepossessionofPartyBorThirdPartyatthetimeofdisclosure;(iii)isobtainedbyPartyBorThirdPartyfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality;or(iv)isindependentlydevelopedbyPartyBorThirdPartywithoutuseoforreferencetotheConfidentialInformation.

4.RightsofPartyA.PartyAretainstheexclusiverighttodeterminethescopeandnatureoftheConfidentialInformationdisclosedtoPartyBandThirdParty.PartyAshallhavetherighttowithdraworlimitaccesstoanyConfidentialInformationatanytime,uponreasonablenoticetoPartyBandThirdParty.

5.InterestofPartyA.PartyAshallbeentitledtoreceivefromPartyBandThirdPartypromptandfullcooperationintheprotectionandenforcementoftheconfidentialityobligationsunderthisAgreement.PartyAshallalsobeentitledtoseekinjunctivereliefandotherappropriateremediesintheeventofabreachofthisAgreement.

6.LimitationsonPartyBandThirdParty.PartyBandThirdPartyshallnotusetheConfidentialInformationforanypurposethatiscompetitivewithPartyAorthatwouldotherwisebedetrimentaltothebusinessinterestsofPartyA.TheyshallnotengageinanyactivitythatwoulddirectlyorindirectlydiscloseorusetheConfidentialInformationfortheirownbenefitorthebenefitofanythirdparty.

7.Termination.ThisAgreementmaybeterminatedbyeitherPartyA,PartyB,orThirdPartyuponwrittennoticetotheotherparties,providedthatsuchterminationshallnotaffecttheobligationsofthepartiesunderthisAgreementthatarisepriortotheeffectivedateoftermination.

8.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[state/country].

4.InterestofPartyBandThirdParty.PartyBandThirdPartyshallbeentitledtonegotiateingoodfaithwithPartyAregardingthetermsofanypotentialbusinesscollaboration.TheyshallbeentitledtoretainanyproprietaryrightstheymayhavedevelopedindependentlyduringthecourseoftheirreviewoftheConfidentialInformation.

5.LimitationsonPartyA.PartyAagreesnottodiscloseanyConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofPartyBandThirdParty,exceptasrequiredbylaworcourtorder.PartyAshallalsoensurethatanyemployeesorconsultantswhohaveaccesstotheConfidentialInformationareboundbyconfidentialityobligationssimilartothosecontainedinthisAgreement.

6.Termination.ThisAgreementmaybeterminatedbyeitherPartyBorThirdPartyuponwrittennoticetoPartyA,providedthatsuchterminationshallnotaffecttheobligationsofthepartiesunderthisAgreementthatarisepriortotheeffectivedateoftermination.

7.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[state/country].
