9.证实发货日期早于本信用证日期的装运单据不可接受。

10.第三方提单、简式提单、多式运输单据或租船契约提单均不可接受。

11.严格禁止由以色列船籍的船只装运或转运、停靠以色列任何港口。正本装运单据须

随附由船公司或其代理人出具的证明书，证明已履行本要求。

7.UponthecompletionoftheAgreementandeffectivefromsuchDate,PartyCwill

acquirethetitletotheTransferringShares,andwillbeentitledtoanydividends

declaredorpaidwithrespecttheretofromsuchdate.

8.TheFinancialStatementshavebeenpreparedincompliancewithapplicablelaw

andinaccordancewiththeAccountingPrinciples,andhavebeendulyapproved

第十二章ICC跟单信用证

或者同意预付款项，从而购买汇票(其付款人为指定银行以外的其他银行)及底单

据的行为。

2.指定银行承付或议付相符交单并将单据转给开证行之后，开证行即承担偿付该指定银

行的责任。对承兑或延期付款信用证下相符交单金额的偿付应在到期日办理，无论指

定银行是否在到期日之前预付或购买了单据。开证行偿付指定银行的责任独立于开证

行对受益人的责任。

3.如果信用证含有一项条件，但未规定用以表明该条件得到满足的单据，银行将视为未

作规定并不予理会。

单据日期可以早于信用证的开立日期，但不得晚于交单日期。

4.运输单据可以由任何人出具，无须为承运人、船东、船长或租船人，只要其符合第十

九、二十、二十一、二十二、二十三或二十四条的要求。

5.a.信用证规定的每一种单据须至少提交一份正本。

b.银行应将任何带有看似出单人的原始签名、标记、印戳或标签的单据视为正本单

据，除非单据本身表明其非正本。

C.除非单据本身另有说明，在以下情况下，银行也将其视为正本单据：

i.单据看似由出单人手写、打字、穿孔或盖章；或者

ii.单据看似使用出单人的原始信纸出具；或者

iii.单据声明其为正本单据，除非该声明看似不适用于提交的单据。

d.如果信用证要求提交单据的副本，提交正本或副本均可。

e.如果信用证使用诸如“一式两份(induplicate)”、“两份(intwofold)”、“两套

(intwocopies)”等用语要求提交多份单据，则提交至少一份正本，其余使用副

本即可满足要求，除非单据本身另有说明。

6.如果信用证的截止日或最迟交单日适逢接受交单的银行非因第三十六条所述原因而

歇业，则截止日或最迟交单日，视何者适用，将顺延至其重新开业的第一个银行工作

日。但最迟装船日并不依此顺延。

7.如电讯声明“详情后告”(或类似用语)或声明以邮寄确认书为有效信用证或修改，

则该电讯不被视为有效信用证或修改。开证行必须随即不迟延地开立有效信用证或修

(2)凡本公约未明确解决的属于本公约范围的问题，应按照本公约所依据的一般原

则来解决，在没有一般原则的情况下，则应按照国际私法规定适用的法律来解决。

2.向一个或一个以上特定的人提出的订立合同的建议，如果十分确定并且表明发价人

在得到接受时承受约束的意旨，即构成发价。一个建议如果写明货物并且明示或暗

示地规定数量和价格或规定如何确定数量和价格，即为十分确定。

3.(1)在未订立合同之前，发价得予撤销，如果撤销通知于被发价人发出接受通知之

前送达被发价人。

(2)但在下列情况下，发价不得撤销：

(a)发价写明接受发价的期限或以其他方式表示发价是不可撤销的；或

(b)被发价人有理由信赖该项发价是不可撤哨的，而且被发价人已本着对该项

发价的信赖行事。

4.(1)对发价表示接受但载有添加、限制或其他更改的答复，即为拒绝该项发价，并

构成还价。

(2)但是，对发价表示接受但载有添加或不同条件的答复，如所载的添加或不同条

件在实质上并不变更该项发价的条件，除发价人在不过分迟延的期间内以口头或书

面通知反对其间的差异外，仍构成接受。如果发价人不做出这种反对，合同的条件

就以该项发价的条件以及接受通知内所载的更改为准。

(3)有关货物价格、付款、货物质量和数量、交货地点和时间、一方当事人对另一

方当事人的赔偿责任范围或解决争端等等的添加或不同条件，均视为在实质上变更

发价的条件。

5.如果合同已有效地订立，但没有明示或暗示地规定价格或规定如何确定价格，在没

有任何相反表示的情况下，双方当事人应视为已默示地引用订立合同时此种货物在

有关贸易的类似情况下销售的通常价格。

6.本公约不优于业已缔结或可以缔结并载有与属于本公约范围内事项有关的条款的

任何国际协定，但以双方当事人的营业地均在这种协定的缔约国内为限。

7.如果货物不符合同，买方只有在此种不符合同情形构成根本违反合同时，才可以要

求交付替代货物，而且关于替代货物的要求，必须与依照第三十九条发出的通知同

时提出，或者在该项通知发出后一段合理时间内提出。

8.如果买方应根据合同规定订明货物的形状、大小或其它特征，而他在议定的日期或

在收到卖方的要求后一段合理时间内没有订明这些规格，则卖方在不损害其可能享

有的任何其它权利的情况下，可以依照他所知的买方的要求，自己订明规格。
