2.2Intheeventofanydelayindelivery,PartyAshallpromptlynotifyPartyBandshalltakeallnecessarymeasurestominimizethedelay.
3.QualityofGoods
3.1TheGoodsshallcomplywiththespecificationsandqualitystandardssetforthintheSchedule.
3.2PartyAwarrantsthattheGoodsshallbefreefromanydefectsandshallconformtotheagreedqualitystandards.
4.PriceandPayment
4.1ThepriceoftheGoodsshallbeasspecifiedintheSchedule.
4.2PaymentfortheGoodsshallbemadebyPartyBtoPartyAwithin[specifypaymentterms]daysfromthedateofinvoice.
5.IntellectualProperty
5.1AllintellectualpropertyrightsrelatedtotheGoodsshallremainthepropertyofPartyA.
5.2PartyBshallnotinfringeuponanyintellectualpropertyrightsofPartyA.
6.GoverningLawandDisputeResolution
6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[specifyjurisdiction].

7.GeneralProvisions

8.LimitationofLiability

9.Termination
