2025出口合同「英文版」EXPORTCONTRACT2025ContractNo.:Signedat:onBETWEEN(Hereinafterreferredtoas"賣方"or"Seller")And(Hereinafterreferredtoas"-buy方or"Buyer")RECITALSA.TheSelleriswillingtosellanddeliverthefollowinggoods(hereinafterreferredtoas"theGoods")totheBuyer,andtheBuyeriswillingtopurchasetheGoodsfromtheSeller,uponthetermsandconditionsstipulatedherein.B.BothpartiesagreethatthisContractismadeandenteredintouponthebasisofmutualconsentandinaccordancewiththelawsandregulationsofthecountriesoftheSellerandtheBuyer.NOW,THEREFORE,thepartiesheretoagreeasfollows:1.DESCRIPTIONOFGOODSTheSelleragreestosellanddelivertotheBuyer,andtheBuyeragreestopurchasefromtheSeller,thefollowinggoods:|ItemNo.|DescriptionofGoods|Specifications|Quantity|UnitPrice(USD)|TotalPrice(USD)|||||||||1|||||||2|||||||...|...|...|...|...|...|TheabovedescriptionofGoodsissubjecttothefollowingtermsandconditions:AllGoodsshallbeingoodconditionandnew,andshallconformtothespecificationsandqualitystandardsagreeduponbytheparties.AnydeviationfromtheagreedspecificationsshallbesubjecttothepriorwrittenconsentoftheBuyer.2.QUANTITYANDPRICE2.1ThetotalquantityoftheGoodstobedeliveredunderthisContractis.2.2ThetotalpriceoftheGoodsisUSD(UnitedStatesDollars).2.3Thepricestatedhereinisonabasis(e.g.,FOB,CIF,etc.),unlessotherwisespecified.3.PAYMENTTERMS3.1TheBuyershallmakepaymentinaccordancewiththefollowingterms:Paymentshallbemadeby(e.g.,TelegraphicTransfer,LetterofCredit).TheLetterofCredit,ifapplicable,shallbeissuedbyabankacceptabletotheSeller,coveringthefullcontractamount,andshallbevaliduntil.TheLetterofCreditshallbeconfirmedirrevocableandshallspecifythatitissubjecttotheInternationalChamberofCommerce(ICC)UniformCustomsandPracticeforDocumentaryCredits(UCP600).TheSellershallberesponsiblefortheopeningbankcharges,andtheBuyershallberesponsiblefortheadvisingbankcharges.3.2FullpaymentshallbemadepriortotheshipmentoftheGoods,unlessotherwiseagreedinwriting.4.SHIPPINGANDDELIVERY4.1TheGoodsshallbeshippedfromtheportof(theSeller'scountry)totheportof(theBuyer'scountry)onorbefore(stipulatedshipmentdate).4.2ThesellershallbookshippingspacewithacarrieroftheBuyer'schoice,providedthatthecarrierisreasonablyacceptabletotheSeller.4.3TheSellershallprovidetheBuyerwithaNoticeofShipment,statingthedetailsoftheshipment,nolaterthandayspriortotheexpecteddateofdispatch.4.4TheBuyershallberesponsibleforanyadditionalcostsarisingfromdelaysintheBuyer'sinstructionsregardingtheGoods.5.INSURANCE5.1TheGoodsshallbeinsuredbytheSelleragainstAllRisksandBreakage,withcoverageintheamountof%ofthetotalcontractvalue.5.2TheBuyermay,atitsownexpense,addanyadditionalrisksifrequired.6.PACKING6.1TheGoodsshallbepackedinasuitablemannertoensuretheirsafearrivalandshallbemarkedwiththenecessaryshippingsymbolsandlabelsasperinternationalpackingstandards.6.2ThepackingcostshallbeincludedinthepriceoftheGoods.7.COMPLIANCEWITHLAWSANDREGULATIONS7.1TheSellershallcomplywithallapplicablelaws,regulations,andexportrequirementsoftheSeller'scountry.7.2TheBuyershallcomplywithallimportlaws,regulations,andcustomsclearancerequirementsoftheBuyer'scountry.8.GOODSINSPECTION8.1TheBuyershallhavetherighttoinspecttheGoodsuponarrivalatthedestinationport.Incaseofanydiscrepanciesinquantity,quality,orspecifications,theBuyershallnotifytheSellerinwritingwithin15daysoftheGoods'arrival.8.2TheSellershallpromptlyrespondtoanysuchclaimandtakenecessarycorrectiveactions,providedsuchclaimsarefoundtobevalid.9.FORCEMAJEURE9.1NeitherpartyshallbeliableforanyfailureordelayinperformanceunderthisContracttotheextentcausedbycircumstancesbeyondtheirreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,riots,earthquakes,fires,floods,governmentalactions,orotherforcemajeureevents.9.2Theaffectedpartyshallpromptlynotifytheotherpartyoftheoccurrenceofaforcemajeureeventandprovidereasonableevidencethereof.9.3Iftheforcemajeureeventcontinuesforaperiodexceedingdays,thepartiesmayagreetoterminatetheContractwithoutliability.10.TERMINATION10.1EitherpartymayterminatethisContractiftheotherpartyisinmaterialbreachofanyofitsobligationsunderthisContractandfailstoremedysuchbreachwithin30daysafterreceiptofwrittennoticethereof.10.2Upontermination,theSellershallbeentitledtoretainanypaymentmadebytheBuyerasliquidateddamages,ortheBuyermayclaimdamagesagainsttheSellerforanylossincurred,dependingonthecircumstances.11.CONFIDENTIALITY11.1Bothpartiesagreetokeepallinformationdisclosedbytheotherpartyconfidentialandnottodiscloseittoanythirdpartywithoutpriorwrittenconsent.11.2ThisobligationshallsurvivetheterminationofthisContract.12.DISPUTERESOLUTION12.1AnydisputearisingoutoforrelatingtothisContractshallbesettledthrough友好协商(friendlynegotiation)betweentheparties.12.2Ifthedisputeisnotresolvedwithin30daysofinitiationofnegotiations,eitherpartymaysubmitthedisputetoarbitrationinaccordancewiththeRulesofArbitrationoftheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC).12.3Thearbitrationshallbeconductedin(city),andthelanguageofarbitrationshallbe(language).12.4Theawardofthearbitrationshallbefinalandbindingonbothparties.13.MODIFICATION13.1AnymodificationoramendmenttothisContractmustbeinwritingand
