2025工程合同（中英版）2025EngineeringContract(BilingualVersion)ContractNo.:DateofSigning:PlaceofSigning:PartiestoThisContractThisEngineeringContract("Contract")ismadeandenteredintoasofthedatefirstabovewritten("DateofExecution")byandbetween:PartyA(Employer/Client):Name:Address:ContactPerson:ContactNumber:Email:PartyB(Contractor):Name:Address:ContactPerson:ContactNumber:Email:Theabove-mentionedpartiesarehereinafterreferredtoindividuallyas"Party"orcollectivelyas"Parties".1.SCOPEOFWORK1.1DescriptionoftheProject1.1.1PartyAretainsPartyBtoperformthefollowingengineeringwork("Works")asdescribedintheattachedschedule:ProjectName:ProjectLocation:NatureofWorks:1.1.2TheWorksshallbecarriedoutinaccordancewiththespecifications,designs,anddrawingsprovidedbyPartyAandapprovedbybothpartiespriortothecommencementoftheWorks.1.2ProjectSchedule1.2.1TheWorksshallbeinitiatedon("CommencementDate")andcompletedby("CompletionDate").1.2.2AnyextensionoftheCompletionDateshallbemutuallyagreeduponinwritingbybothpartiesandshallbedeemedanamendmenttothisContract.2.RESPONSIBILITIESANDOBLIGATIONS2.1ObligationsofPartyA2.1.1PartyAshallprovidePartyBwithallnecessaryinformation,approvals,anddocumentationrequiredtocarryouttheWorks.2.1.2PartyAshallensurethatthesiteisreadyforthecommencementoftheWorksaspertheagreedschedule.2.1.3PartyAshallmaketimelypaymentsasspecifiedinArticle4("PaymentTerms")ofthisContract.2.2ObligationsofPartyB2.2.1PartyBshallemployskilledandexperiencedpersonneltoperformtheWorksinaprofessionalandworkmanlikemanner.2.2.2PartyBshallcomplywithallapplicablelaws,regulations,andsafetystandardsduringtheexecutionoftheWorks.2.2.3PartyBshallmaintainaccuraterecordsoftheprogressoftheWorksandprovidereportstoPartyAuponrequest.3.QUALITYREQUIREMENTS3.1.1TheWorksshallbeexecutedinaccordancewiththeagreed-uponqualitystandards,specifications,anddesigns.3.1.2PartyBshallusematerialsofthequality,type,andgradespecifiedinthisContract.AnydeviationfromthespecifiedmaterialsmustbeapprovedinwritingbyPartyA.3.1.3PartyAshallhavetherighttoinspecttheWorksatanytimeduringtheexecution.AnydefectsfoundshallberectifiedbyPartyBatnoadditionalcost.4.PAYMENTTERMS4.1PaymentSchedule4.1.1ThetotalcontractpricefortheWorksis("ContractSum").4.1.2Paymentshallbemadeinaccordancewiththefollowingschedule:ProgressPayment1:after.ProgressPayment2:after.FinalPayment:uponcompletionandacceptancebyPartyA.4.1.3TheContractSumisexclusiveoftaxes.PartyAshallberesponsibleforpayingallapplicabletaxesandduties.4.2WithholdingofPayments4.2.1PartyAmaywithholdpaymentintheeventofanybreachofthisContractbyPartyB.Thewithheldamountshallbereturneduponrectificationofthebreach.4.2.2Interestonoverduepaymentsshallbecalculatedattherateofperannum.5.WORKSPROGRESSANDSUPERVISION5.1.1PartyBshallcommencetheWorksontheCommencementDateandshalladheretotheprojectscheduleoutlinedinArticle.2PartyBshallprovideweeklyprogressreportstoPartyA.Anydelaysmustbeexplainedandarevisedschedulesubmittedforapproval.5.1.3PartyAshallhavetherighttoappointasupervisortooverseetheprogressoftheWorks.PartyBshallcooperatefullywiththesupervisor.6.SAFETYANDENVIRONMENTALPROTECTION6.1.1PartyBshallensurethattheWorksarecarriedoutincompliancewithallapplicablesafetyregulationsandstandards.6.1.2PartyBshallberesponsibleforanyaccidentsorinjuriesoccurringon-site,exceptthosecausedbythenegligenceofPartyA.6.1.3PartyBshalltakemeasurestominimizeenvironmentalimpactandcomplywithenvironmentalprotectionlaws.7.INSURANCE7.1.1PartyBshallprocureandmaintainadequateinsurancecoveragefortheWorks,includingbutnotlimitedtopublicliabilityinsuranceandworkers'compensationinsurance.7.1.2PartyBshallprovidePartyAwithcopiesoftheinsurancepoliciesandcertificatesuponrequest.8.COMPLETIONANDHANDOVER8.1CompletionofWorks8.1.1TheWorksshallbecompletedontheCompletionDateunlessotherwiseagreedinwriting.8.1.2PartyBshallnotifyPartyAofthereadinessforfinalinspectionatleastdayspriortotheCompletionDate.8.2Handover8.2.1Uponcompletion,PartyBshallhandovertheWorkstoPartyAalongwithallrelevantdocumentation,includingas-builtdrawingsandoperationmanuals.8.2.2PartyAshallconductafinalinspectionwithindaysofreceivingnotice.AnydefectsfoundduringtheinspectionshallberectifiedbyPartyB.9.WARRANTY9.1WarrantyPeriod9.1.1PartyBshallprovideawarrantyfortheWorksforaperiodofmonthsfromthedateofcompletion("WarrantyPeriod").9.1.2DuringtheWarrantyPeriod,PartyBshallpromptlyrectifyanydefectsormalfunctionswithoutadditionalcost.9.2Exclusions9.2.1Thewarrantydoesnotcoverdefectscausedbyimproperuse,naturaldisasters,oractsofGod.9.2.2PartyAshallnotifyPartyBofanydefectswithindaysofdiscovery.10.AMENDMENTSANDVARIATIONS10.1.1AnyamendmentsorvariationstotheWorksshallbemutuallyagreeduponinwriting.10.1.2TheContractSumshallbeadjustedaccordingly,andtherevisedscheduleshallbeagreeduponbybothparties.11.TERMINATION11.1GroundsforTermination11.1.1EitherpartymayterminatethisContractintheeventofamaterialbreachbytheotherpartyafterprovidingdays'writtennoticeandfailuretocurethebreach.11.1.2ThisContractmayalsobeterminatedbymutualconsentinwriting.11.2EffectsofTermination11.2.1Upontermination,PartyBshallhaltallWorkandreturnthesitetoitsoriginalcondition.11.2.2PartyAshallpayPartyBfortheworkcompleteduptothedateoftermination.12.CONFIDENTIALITY12.1.1BothpartiesagreetomaintaintheconfidentialityofanyproprietaryorconfidentialinformationdisclosedduringthecourseofthisContract.12.1.2ThisobligationshallsurvivetheterminationofthisContract.13.DISPUTERESOLUTION13.1Negotiation13.1.1AnydisputesarisingoutoforrelatingtothisContractshallberesolvedthrough友好negotiationwithindaysofthedisputearising.13.2Arbitration13.2.1Ifthedisputecannotberesolvedthroughnegotiation,itshallbereferredtoarbitrationinaccordancewiththerulesoftheArbitrationCommission.13.2.2Thearbitrationshallbeconductedinlanguageandtheplaceofarbitrationshallbe.14.ASSIGNMENT14.1.1NeitherpartymayassignthisContractoranypartthereofwithoutthepriorwrittenconsentoftheotherparty.14.1.2Anypurportedassignmentwithoutsuchconsentshallbenullandvoid.15.GENERALPROVISIONS15.1ForceMajeure15.1.1NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractduetoforcemajeureevents,includingbutnotlimitedtonaturaldisasters,wars,orgovernmentactions.15.1.2Theaffectedpartyshallnotifytheotherpartyoftheforcemajeureeventwithindaysandprovidedocumentationsupportingtheclaim.15.2EntireAgreement15.2.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedes
