2025【英文合同】标准英文采购合同2025SampleEnglishPurchaseContractTHISPURCHASECONTRACT(the"Contract")isenteredintoasofthe[Date](the"EffectiveDate")byandbetween:Vendor:[VendorName][VendorAddress][City,State,ZIPCode][EmailAddress][PhoneNumber]andPurchaser:[PurchaserName][PurchaserAddress][City,State,ZIPCode][EmailAddress][PhoneNumber]RECITALS:WHEREAS,theVendorisadulyincorporatedandvalidlyexisting[CompanyType]underthelawsof[Country/State],withtheprincipalplaceofbusinessat[VendorAddress];andWHEREAS,thePurchaserisadulyincorporatedandvalidlyexisting[CompanyType]underthelawsof[Country/State],withtheprincipalplaceofbusinessat[PurchaserAddress];andWHEREAS,theVendoriswillingtosell,andthePurchaseriswillingtopurchase,theGoods(asdefinedbelow)uponthetermsandconditionshereinsetforth;NOW,THEREFORE,thepartiesheretoagreeasfollows:1.DEFINITIONSForthepurposeofthisContract,thefollowingtermsshallhavethemeaningssetforthbelow:1.1"Goods"meanstheproducts,materials,oritemsdescribedinExhibitAattachedhereto.1.2"Services"meansanyservicesprovidedbytheVendorinconnectionwiththedeliveryoftheGoods,asdescribedinExhibitA.1.3"EffectiveDate"meansthedatesetforthabove.1.4"DeliveryPoint"meansthelocationwheretheGoodsaretobedelivered,asspecifiedinExhibitB.1.5"ForceMajeure"meansanyeventbeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofGod,naturaldisasters,war,actsofterrorism,strikes,orgovernmentalactions.1.6"ConfidentialInformation"meansanynon-public,proprietary,orconfidentialinformationdisclosedbyonepartytotheotherinconnectionwiththisContract.2.PROCUREMENTORDERS2.1Orders.ThePurchasermayissueprocurementorders(each,an"Order")fortheGoodsunderthisContract.EachOrdershallspecify:(a)thequantityofGoods;(b)therequireddeliverydate;(c)thedeliverylocation;and(d)anyspecialtermsorconditionsapplicabletotheOrder.2.2AcceptanceofOrders.TheVendorshallconfirmreceiptofanOrderwithin[X]businessdaysofreceipt.FailuretoobjecttotheOrderwithinsuchperiodshallconstituteacceptanceoftheOrder.3.DELIVERY3.1DeliverySchedule.TheVendorshalldelivertheGoodsinaccordancewiththedeliveryschedulespecifiedinExhibitB.3.2DeliveryPoint.TheGoodsshallbedeliveredtotheDeliveryPointspecifiedinExhibitB.3.3Transportation.TheVendorshallarrangeforthetransportationoftheGoodstotheDeliveryPoint.TheVendorshallusecarriersof[CarrierName]orothercarriersapprovedbythePurchaser.3.4RiskofLoss.RiskoflossordamagetotheGoodsshallpasstothePurchaserupondeliverytotheDeliveryPoint.4.PRICESANDPAYMENT4.1Price.ThepricefortheGoods(the"Price")shallbeasspecifiedinExhibitA.4.2PaymentTerms.ThePurchasershallpaytheVendorasfollows:(a)[X]%ofthePriceuponissuanceofanOrder;(b)[Y]%ofthePriceupondeliveryoftheGoodstotheDeliveryPoint;and(c)[Z]%ofthePrice[X]daysafterdeliveryoftheGoodsandreceiptofavalidinvoice.4.3Invoice.TheVendorshallissueaninvoicefortheGoodswithin[X]daysafterdelivery.Theinvoiceshallinclude:(a)thedateofdelivery;(b)thequantityanddescriptionoftheGoodsdelivered;(c)thePrice;and(d)theVendor'sbankaccountdetailsforpayment.5.PRODUCTSPECIFICATIONS5.1TechnicalSpecifications.TheGoodsshallconformtothespecificationssetforthinExhibitA(the"Specifications").5.2QualityStandards.TheGoodsshallbeofgoodquality,freefromdefects,andshallcomplywithallapplicablestandards,laws,andregulations.5.3Acceptance.ThePurchasershallinspecttheGoodsupondelivery.ThePurchasershallnotifytheVendorofanydiscrepancies,defects,ornonconformitieswithin[X]daysofdelivery.6.WARRANTIES6.1WarrantyofTitle.TheVendorwarrantsthatithasgoodtitletotheGoodsandthattheGoodsarefreefromliens,encumbrances,orclaims.6.2WarrantyofQuality.TheVendorwarrantsthattheGoodsshallconformtotheSpecificationsandshallbefreefromdefectsinmaterialandworkmanshipforaperiodof[X]monthsfromdelivery.6.3Remedy.IftheGoodsfailtoconformtothewarrantiesinthisSection,theVendorshall,atitsexpense,promptlyrepairorreplacethedefectiveGoodsorrefundthePrice.7.INTELLECTUALPROPERTY7.1Ownership.TheVendorretainsownershipofallintellectualpropertyrightsintheGoods,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.7.2UseofIntellectualProperty.ThePurchasershallnotuseanyintellectualpropertyoftheVendorwithoutpriorwrittenconsent.7.3Confidentiality.BothpartiesagreetomaintaintheconfidentialityofallConfidentialInformationreceivedunderthisContract.8.TERMINATION8.1TerminationforCause.EitherpartymayterminatethisContractiftheotherpartybreachesanymaterialtermandfailstocuresuchbreachwithin[X]daysafterwrittennotice.8.2TerminationforConvenience.EitherpartymayterminatethisContractforconvenienceupon[X]days'writtennotice.8.3EffectofTermination.Upontermination:(a)AlloutstandingOrdersshallbecanceled;and(b)AllamountsowedunderthisContractshallbepaidwithin[X]daysoftermination.9.LIABILITIES9.1LimitationofLiability.Neitherpartyshallbeliableforanyindirect,incidental,special,orconsequentialdamagesarisingoutoforrelatingtothisContract.9.2Insurance.TheVendorshallmaintainadequateinsurancecoverage,includingbutnotlimitedtoproductliabilityandgeneralliabilityinsurance.10.FORCEMAJEURE10.1Notice.IfaForceMajeureeventoccurs,theaffectedpartyshallnotifytheothe
