2025【英文合同】英文采购合同范文参考2025EnglishPurchaseContractTemplateThisPURCHASECONTRACT(hereinafterreferredtoasthe"Agreement")ismadeandenteredintoasofthedayof(the"EffectiveDate")byandbetween:Supplier(hereinafterreferredtoas"Vendor")Name:Address:ContactPerson:Email:Phone:andPurchaser(hereinafterreferredtoas"Buyer")Name:Address:ContactPerson:Email:Phone:RECITALSWHEREAS,Vendorisengagedinthebusinessofsupplying[specificgoods/services],andBuyerdesirestopurchasesuchgoods/servicesfromVendor;ANDWHEREAS,VendoragreestosupplyandBuyeragreestopurchasethespecifiedgoods/servicesunderthetermsandconditionssetforthherein;NOW,THEREFORE,thepartiesagreeasfollows:1.DESCRIPTIONOFGOODS/SERVICES1.1VendoragreestosupplyandBuyeragreestopurchasethefollowinggoods/services(the"Goods"):[Detaileddescriptionofgoods/services,includingquantity,specifications,modelnumbers,etc.]1.2ThedescriptionoftheGoodsshallbeasperthespecificationsandtechnicalrequirementsattachedheretoasExhibitAandmadeaparthereof.2.PRICEANDPAYMENTTERMS2.1ThetotalpricefortheGoods(the"TotalPrice")shallbe(USD).2.2Thepaymenttermsshallbeasfollows:(a)Adepositof%(USD)shallbepaidbyBuyertoVendorwithindaysupontheexecutionofthisAgreement.(b)ThebalanceoftheTotalPrice(USD)shallbepaidbyBuyerwithindaysofthedeliveryoftheGoodsandacceptancebyBuyer.2.3AllpaymentsshallbemadeviabanktransfertotheaccountdesignatedbyVendor.3.DELIVERYTERMS3.1VendorshalldelivertheGoodstothefollowinglocation:Address:ContactPerson:Phone:3.2Deliveryshallbemadeonorbefore(the"DeliveryDate").3.3VendorshallbearallcostsandrisksofdeliveryuntiltheGoodsarereceivedbyBuyeratthe指定location.4.QUALITYWARRANTY4.1VendorwarrantsthattheGoodsshallbeofgoodquality,freefromdefects,andincompliancewithallapplicablelaws,regulations,andindustrystandards.4.2ThewarrantyperiodshallcommenceupondeliveryoftheGoodsandshalllastforaperiodof(e.g.,12months).Duringthisperiod,Vendorshall,atitsexpense,replaceorrepairanydefectiveGoods.4.3IftheGoodsdonotconformtothespecificationsorwarrantiessetforthherein,BuyermayrejectthembyprovidingwrittennoticetoVendorwithindaysafterreceipt.VendorshallpromptlyreplacetherejectedGoodsorrefundthedeposit,asBuyermaychoose.5.ACCEPTANCEANDINSPECTION5.1Upondelivery,BuyershallconductaninspectionoftheGoodstoconfirmtheircompliancewiththespecificationsprovidedinExhibitA.5.2BuyershallnotifyVendorofanydiscrepancieswithindaysofdelivery.FailuretonotifywithinthisperiodshallconstituteacceptanceoftheGoods.6.CONFIDENTIALITY6.1BothpartiesagreetomaintaintheconfidentialityofallinformationdisclosedduringthecourseofthisAgreement.6.2NeitherpartyshallusetheconfidentialinformationforanypurposeotherthanasnecessarytofulfillthisAgreement,exceptwithpriorwrittenconsentfromthedisclosingpartyorasrequiredbylaw.6.3TheobligationsunderthisclauseshallsurvivetheterminationofthisAgreement.7.FORCEMAJEURE7.1Ifeitherpartyispreventedfromperformingitsobligationsduetoaneventofforcemajeure(includingbutnotlimitedtonaturaldisasters,wars,strikes,orgovernmentalactions),suchpartyshallpromptlynotifytheotherpartyinwritingwithindaysoftheoccurrence.7.2Theaffectedpartyshallusereasonableeffortstomitigatetheeffectsoftheforcemajeureevent.7.3Iftheforcemajeurecontinuesformorethandays,eitherpartymayterminatethisAgreementwithoutliability.8.CHANGESANDAMENDMENTS8.1AnychangesoramendmentstothisAgreementmustbemadeinwritingandsignedbybothparties.8.2Changestothescopeofwork,deliverydates,orpriceshallbereflectedinawrittenamendmentattachedheretoandmadeapartofthisAgreement.9.TERMINATION9.1EitherpartymayterminatethisAgreementuponwrittennoticeiftheotherpartybreachesanymaterialtermofthisAgreementandfailstocuresuchbreachwithindaysofreceiptofwrittennotice.9.2Upontermination,VendorshallrefundanyprepaymentsmadebyBuyerinproportiontotheworkcompleted.10.WARRANTIESANDREPRESENTATIONS10.1VendorrepresentsandwarrantsthatithastherightandauthoritytoenterintothisAgreementandtosupplytheGoods.10.2VendorfurtherwarrantsthatthesupplyofGoodsshallnotinfringeanyintellectualpropertyrightsofthirdparties.11.INDEMNIFICATION11.1VendorshallindemnifyandholdharmlessBuyeranditsemployees,agents,andaffiliatesfromanyclaims,damages,losses,orexpensesarisingfromanybreachofthisAgreementorfromanyclaimthattheGoodsinfringeanypatent,trademark,orcopyright.11.2BuyershallnotifyVendorpromptlyofanysuchclaims,andVendorshalldefendsuchclaimsatitsownexpense.12.DISPUTERESOLUTION12.1AnydisputesarisingoutoforrelatingtothisAgreementshallberesolvedthroughfriendlynegotiation.12.2Ifthepartiesfailtoresolvethedisputewithindaysofwrittennotice,themattershallbesubmittedtoarbitrationinaccordancewiththerulesofthe[NameofArbitrationInstitution]ArbitrationRules.12.3Thearbitrationshallbeconductedin[Location],andthelanguageofthearbitrationshallbeEnglish.Thedecisionofthearbitrationshallbefinalandbindingonbothparties.13.NOTICE13.1Allnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,orsentbyregisteredorcertifiedmail,returnreceiptrequested,orbyemailwithconfirmationofreceipt,totherespectiveaddressesofthepartiessetforthabove.14.MISCELLANEOUS14.1ThisAgreementconstitutestheentireunderstandingbetweenthepartiesandsupersedesallprioragreements,representations,orunderstandings,whetherwrittenororal.14.2NowaiverofanyprovisionofthisAgreementshallbeeffectiveunlessmadeinwritingandsignedbythepartyagainstwhomthewaiverissoughttobeenforced.14.3IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.14.4ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershall
