1.ContractParties

3.ContractPriceandPaymentTerms

3.2PaymentTerms

5.2QualityInspectionandAcceptance

PartyBshallconductregularselfinspectionsduringtheconstructionprocessandsubmitinspectionreportstoPartyA.

PartyAhastherighttoconductonsiteinspectionsatanytime.Ifanyqualityproblemsarefound,PartyBshallberesponsibleforrectifyingthemimmediatelyatitsownexpense.

Uponthepletionoftheproject,PartyBshallapplyforacceptanceinwritingtoPartyA.PartyAshallorganizerelevantpartiestoconductaprehensiveacceptancewithin[numberofdays].Iftheprojectpassestheacceptance,bothpartiesshallsignanacceptancecertificate.

6.RightsandObligationsoftheParties

6.1RightsandObligationsofPartyA

Rights:

Toinspecttheprogressandqualityoftheprojectatanytime.

TorequestPartyBtomakecorrectionsincaseofanynonpliancewiththecontractrequirements.

Obligations:

ToprovidenecessarycooperationandassistancetoPartyBduringtheconstruction,suchasprovidingaccesstotheprojectsite,relevantdocuments,etc.

TomakepaymentstoPartyBinaccordancewiththepaymenttermsofthisContract.

6.2RightsandObligationsofPartyB

Rights:

ToreceivepaymentsfromPartyAinaccordancewiththecontract.

TorequestPartyAtoresolveanyissuesthatmayaffecttheprogressoftheprojectinatimelymanner.

Obligations:

Toorganizeconstructioninstrictaccordancewiththecontractrequirements,qualitystandards,andconstructionschedule.

Toensurethesafetyoftheconstructionsiteandberesponsibleforanyaccidentsandlossescausedbyitsownnegligence.

TosubmitregularprogressreportsandrelevantdocumentstoPartyAasrequired.

7.ChangeOrders

7.1ProcedureforChangeOrders

Ifeitherpartywishestomakeachangetotheprojectscope,design,orotheraspectsofthecontract,itshallsubmitawrittenchangeorderrequesttotheotherparty.

Thereceivingpartyshallreviewthechangeorderrequestwithin[numberofdays]and,ifapproved,issueawrittenapprovalnotice.

Thepartiesshallnegotiateanddeterminetheimpactonthecontractprice,schedule,andotherterms,andsignanamendmentagreementtothecontractaccordingly.

7.2ImpactonContractPriceandSchedule

Anychangeordersshallresultinanadjustmentofthecontractpriceandschedule.Thepartiesshallmutuallyagreeonthespecificadjustmentsbasedonthenatureandmagnitudeofthechanges.

8.Warranty

8.1WarrantyPeriod

PartyBshallprovideawarrantyperiodof[numberofmonths/years]fromthedateofprojectacceptance.

8.2WarrantyObligations

Duringthewarrantyperiod,PartyBshallberesponsibleforrepairingorreplacinganydefectivepartsorponentsoftheprojectatnocosttoPartyA.PartyBshallrespondtoPartyA'swarrantyrequestswithin[numberofdays]andpletetherepairorreplacementworkwithin[numberofdays].

9.LiabilityforBreachofContract

9.1LiabilityofPartyA

IfPartyAfailstomakepaymentsinaccordancewiththecontractterms,itshallpayoverduepaymentpenaltiesattherateof[percentage]perdayontheoverdueamount.PartyAshallalsobeliableforanylossescausedtoPartyBduetoitsdelayinprovidingnecessarycooperationorapprovals.

9.2LiabilityofPartyB

IfPartyBfailstopletetheprojectwithintheagreedschedule,itshallpayliquidateddamagesattherateof[percentage]ofthecontractpriceperdayforeachdayofdelay.

IfPartyBfailstomeetthequalitystandardsoftheproject,itshallberesponsibleforrectifyingtheproblemsatitsownexpense.Iftherectificationfailstomeettherequirementsaftermultipleattempts,PartyAhastherighttoterminatethecontractandclaimdamagesfromPartyB.

PartyBshallbeliableforanylossescausedtoPartyAduetoitsimproperconstruction,negligence,orviolationofrelevantlawsandregulations.

10.TerminationoftheContract

10.1TerminationbyAgreement

ThepartiesmayterminatethisContractbymutualagreement.

10.2TerminationforBreach

Ifeitherpartymateriallybreachesthecontracttermsandfailstocurethebreachwithin[numberofdays]afterreceivingwrittennoticefromtheotherparty,thenonbreachingpartyhastherighttoterminatethecontract.

10.3ConsequencesofTermination

Uponterminationofthecontract,bothpartiesshallsettletheaccountsinaccordancewiththeactualworkpleted.PartyBshallreturnanyadvancepaymentsreceivedfromPartyAthathavenotbeenusedfortheproject.

11.DisputeResolution

11.1Negotiation

IncaseofanydisputesarisingfromthisContract,thepartiesshallfirstattempttoresolvethemthroughfriendlynegotiation.

11.2ArbitrationorLitigation

Ifthenegotiationfails,thepartiesshallsubmitthedisputesto[arbitrationinstitution/court]forarbitrationorlitigationinaccordancewiththefollowingprovisions:

Arbitration:Thearbitrationshallbeconductedinaccordancewiththearbitrationrulesof[arbitrationinstitution].Thearbitrationawardshallbefinalandbindingonbothparties.

12.Miscellaneous

12.2AmendmentsandSupplements

Noamendment,modification,orsupplementtothisContractshallbeeffectiveunlessinwritingandsignedbybothparties.

12.3Severability

IfanyprovisionofthisContractisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.
