鉴于甲方从事外贸业务，乙方具备相关资源和能力，能够为甲方的外贸业务提供促成交易等服务，甲乙双方经友好协商，依据《中华人民共和国民法典》及相关法律法规的规定，就乙方为甲方提供外贸佣金服务事宜达成如下协议：

一、服务内容1.乙方利用自身资源和渠道，积极为甲方寻找、介绍潜在的国外客户，协助甲方与客户进行商务洽谈、沟通协商，促成甲方与国外客户之间达成外贸交易合同（以下简称"主合同"）。2.乙方负责协调甲方与国外客户在交易过程中的各项事宜，包括但不限于协助起草、审核交易文件，确保交易的顺利进行和条款的合理性。3.乙方应及时向甲方反馈与国外客户沟通的进展情况和相关信息，保证甲方能够及时了解业务动态，做出准确决策。

二、佣金标准及支付方式1.佣金标准：-基于甲方与国外客户签订的主合同金额，乙方按照[X]%的比例收取佣金。-若主合同存在分批执行的情况，乙方的佣金按照每批执行金额对应的比例计算并支付。2.支付方式：-在甲方收到国外客户支付的每笔货款后[X]个工作日内，甲方将相应批次的佣金支付至乙方指定的银行账户。-乙方应在每次收款前向甲方提供合法有效的发票，否则甲方有权拒绝支付佣金且不承担任何违约责任。

三、双方权利与义务

（一）甲方权利与义务1.权利：-有权要求乙方按照本合同约定提供服务，并对乙方的服务质量进行监督和检查。-有权知晓乙方与国外客户沟通的所有重要信息，对交易条款和合同内容提出意见和建议。-在乙方未按照本合同约定履行义务时，有权拒绝支付佣金或要求乙方承担违约责任。2.义务：-向乙方提供开展服务所需的相关资料，包括但不限于公司简介、产品目录、价格清单、技术资料等，并保证所提供资料的真实性、准确性和完整性。-按照本合同约定及时、足额支付佣金给乙方。-积极配合乙方与国外客户的沟通和洽谈工作，根据乙方反馈的情况及时做出决策，确保交易的顺利进行。-严格按照与国外客户签订的主合同履行义务，若因甲方原因导致主合同无法履行或发生变更、解除等情况，给乙方造成损失的，甲方应承担相应的赔偿责任。

（二）乙方权利与义务1.权利：-有权按照本合同约定收取佣金。-在开展服务过程中，有权要求甲方提供必要的协助和支持。-对在服务过程中知悉的甲方商业秘密和其他机密信息负有保密义务，但法律法规另有规定或经甲方书面同意的除外。2.义务：-遵守国家法律法规及本合同约定，诚实守信地为甲方提供服务，尽最大努力促成甲方与国外客户达成交易。-积极维护甲方的利益，在与国外客户沟通和洽谈过程中，不得做出任何损害甲方利益的行为。-定期向甲方汇报服务进展情况，及时解答甲方提出的问题，对甲方提出的合理意见和建议应予以采纳。-妥善保管在服务过程中涉及的甲方资料和文件，在合同终止或解除后，按照甲方要求及时返还或销毁相关资料。-若因乙方原因导致甲方与国外客户之间的交易无法达成或出现纠纷，给甲方造成损失的，乙方应承担全部赔偿责任。

四、保密条款1.双方应对在履行本合同过程中知悉的对方商业秘密、技术秘密、客户信息等予以保密。未经对方书面同意，任何一方不得向第三方披露或使用对方的保密信息。2.本条款的保密期限为本合同生效之日起[X]年。

五、违约责任1.若甲方未按照本合同约定及时、足额支付佣金，每逾期一日，应按照未支付金额的[X]%向乙方支付违约金。逾期超过[X]日的，乙方有权解除本合同，并要求甲方支付已完成服务对应的全部佣金及违约金。2.若乙方未按照本合同约定履行服务义务，导致甲方与国外客户之间的交易无法达成或出现纠纷，乙方应退还已收取的佣金，并赔偿甲方因此遭受的全部损失。3.任何一方违反本合同的保密条款，应向对方支付违约金[X]元，并赔偿对方因此遭受的全部损失。若违约行为给对方造成的损失超过违约金金额的，违约方还应继续赔偿对方超出部分的损失。4.如因不可抗力或法律法规规定的其他免责事由导致一方无法履行本合同义务的，该方不承担违约责任，但应及时通知对方并提供相关证明文件。

六、合同变更与解除1.本合同的任何变更或补充需经双方书面协商一致，并签订书面协议。变更或补充协议作为本合同的组成部分，与本合同具有同等法律效力。2.在履行本合同过程中，若一方提出解除合同，需提前[X]日书面通知对方。经双方协商一致同意解除合同的，双方应按照已完成的服务内容和本合同约定进行结算。若因解除合同给对方造成损失的，提出解除合同方应承担相应的赔偿责任。3.若出现下列情形之一的，一方有权解除本合同：-因不可抗力致使本合同无法继续履行的；-一方严重违反本合同约定，经另一方书面通知后在合理期限内仍未改正的；-本合同约定的解除条件成就的。

七、争议解决1.本合同的签订、履行、解释及争议解决均适用中华人民共和国法律。2.双方在履行本合同过程中如发生争议，应首先通过友好协商解决；协商不成的，任何一方均有权向有管辖权的人民法院提起诉讼。

八、其他条款1.本合同自双方签字（或盖章）之日起生效，有效期至[合同终止日期]。合同期满后，双方如无异议，则自动延续[延续期限]。2.本合同一式两份，甲乙双方各执一份，具有同等法律效力。

WHEREASPartyAisengagedinforeigntradebusiness,andPartyBhastherelevantresourcesandcapabilitiestoprovideservicessuchasfacilitatingtransactionsforPartyA'sforeigntradebusiness.ThroughfriendlynegotiationbetweenPartyAandPartyB,inaccordancewiththeprovisionsofthe"CivilCodeofthePeople'sRepublicofChina"andrelevantlawsandregulations,thefollowingagreementisreachedonPartyBprovidingforeigntrademissionservicesforPartyA:

I.ServiceContent1.PartyBshall,byusingitsownresourcesandchannels,activelyseekandintroducepotentialforeigncustomerstoPartyA,assistPartyAinconductingbusinessnegotiationsandmunicationswithcustomers,andfacilitatetheconclusionofforeigntradetransactioncontracts(hereinafterreferredtoasthe"MainContract")betweenPartyAandforeigncustomers.2.PartyBshallberesponsibleforcoordinatingvariousmattersbetweenPartyAandforeigncustomersduringthetransactionprocess,includingbutnotlimitedtoassistingindraftingandreviewingtransactiondocumentstoensurethesmoothprogressofthetransactionandthereasonablenessoftheterms.3.PartyBshallpromptlyfeedbacktheprogressandrelevantinformationofthemunicationwithforeigncustomerstoPartyA,ensuringthatPartyAcantimelyunderstandthebusinessdynamicsandmakeaccuratedecisions.

II.CommissionStandardandPaymentMethod1.CommissionStandard：-BasedontheamountoftheMainContractsignedbetweenPartyAandforeigncustomers,PartyBshallchargeamissionatarateof[X]%.-IftheMainContractisexecutedinbatches,PartyB'smissionshallbecalculatedandpaidaccordingtotheproportioncorrespondingtotheamountofeachbatchofexecution.2.PaymentMethod：-Within[X]workingdaysafterPartyAreceiveseachpaymentfromforeigncustomers,PartyAshallpaythecorrespondingbatchofmissiontothebankaccountdesignatedbyPartyB.-PartyBshallprovidelegalandvalidinvoicestoPartyAbeforeeachpaymentcollection.Otherwise,PartyAhastherighttorefusetopaythemissionandshallnotbearanyliabilityforbreachofcontract.

III.RightsandObligationsofBothParties

(I)RightsandObligationsofPartyA1.Rights：-PartyAhastherighttorequirePartyBtoprovideservicesinaccordancewiththeprovisionsofthiscontractandsuperviseandinspecttheservicequalityofPartyB.-PartyAhastherighttoknowallimportantinformationaboutthemunicationbetweenPartyBandforeigncustomers,andputforwardopinionsandsuggestionsonthetransactiontermsandcontractcontent.-WhenPartyBfailstoperformitsobligationsinaccordancewiththeprovisionsofthiscontract,PartyAhastherighttorefusetopaythemissionorrequirePartyBtobeartheliabilityforbreachofcontract.2.Obligations：-PartyAshallprovidePartyBwithrelevantmaterialsrequiredforprovidingservices,includingbutnotlimitedtopanyprofiles,productcatalogs,pricelists,technicalmaterials,etc.,andensuretheauthenticity,accuracy,andintegrityoftheprovidedmaterials.-PartyAshallpaythemissiontoPartyBinatimelyandfullamountinaccordancewiththeprovisionsofthiscontract.-PartyAshallactivelycooperatewithPartyB'smunicationandnegotiationworkwithforeigncustomers,makedecisionsinatimelymannerbasedonthefeedbackfromPartyB,andensurethesmoothprogressofthetransaction.-PartyAshallstrictlyperformitsobligationsinaccordancewiththeMainContractsignedwithforeigncustomers.IfPartyA'sreasonscausetheMainContracttobeunabletobeperformedorundergochanges,rescission,etc.,resultinginlossestoPartyB,PartyAshallbearthecorrespondingliabilityforpensation.

(II)RightsandObligationsofPartyB1.Rights：-PartyBhastherighttoreceivethemissioninaccordancewiththeprovisionsofthiscontract.-Duringtheprocessofprovidingservices,PartyBhastherighttorequirePartyAtoprovidenecessaryassistanceandsupport.-PartyBshallkeepconfidentialthebusinesssecrets,technicalsecrets,customerinformation,etc.ofPartyAknownduringtheperformanceofthiscontract,exceptasotherwiseprovidedbylawsandregulationsorwiththepriorwrittenconsentofPartyA.2.Obligations：-PartyBshallplywithnationallawsandregulationsandtheprovisionsofthiscontract,provideservicestoPartyAingoodfaithandwithduediligence,andmakeeveryefforttofacilitatetheconclusionoftransactionsbetweenPartyAandforeigncustomers.-PartyBshallactivelysafeguardtheinterestsofPartyAandshallnotengageinanybehaviorthatharmstheinterestsofPartyAduringthemunicationandnegotiationwithforeigncustomers.-PartyBshallregularlyreporttheprogressofservicestoPartyA,promptlyanswerthequestionsraisedbyPartyA,andadoptreasonableopinionsandsuggestionsputforwardbyPartyA.-PartyBshallproperlykeepthematerialsanddocumentsofPartyAinvolvedduringtheserviceprocessand,upontheterminationorrescissionofthecontract,returnordestroytherelevantmaterialsinaccordancewiththerequirementsofPartyAinatimelymanner.-IfPartyB'sreasonscausethetransactionbetweenPartyAandforeigncustomerstofailtobeconcludedordisputestooccur,resultinginlossestoPartyA,PartyBshallbearallliabilityforpensation.

IV.ConfidentialityClause1.Bothpartiesshallkeepconfidentialthebusinesssecrets,technicalsecrets,customerinformation,etc.oftheotherpartyknownduringtheperformanceofthiscontract.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldiscloseorusetheconfidentialinformationoftheotherpartytoathirdparty.2.Theconfidentialityperiodofthisclauseshallbe[X]yearsfromtheeffectivedateofthiscontract.

V.LiabilityforBreachofContract1.IfPartyAfailstopaythemissioninatimelyandfullamountinaccordancewiththeprovisionsofthiscontract,foreachoverdueday,PartyAshallpayaliquidateddamagesof[X]%oftheunpaidamounttoPartyB.Iftheoverdueperiodexceeds[X]days,PartyBhastherighttoterminatethiscontractandrequirePartyAtopayallthemissionscorrespondingtothepletedservicesandliquidateddamages.2.IfPartyBfailstoperformitsserviceobligationsinaccordancewiththeprovisionsofthiscontract,resultinginthefailuretoconcludethetransactionbetweenPartyAandforeigncustomersordisputes,PartyBshallrefundthereceivedmissionsandpensatePartyAforalllossessufferedthereby.3.Ifeitherpartyviolatestheconfidentialityclauseofthiscontract,itshallpayaliquidateddamagesof[X]yuantotheotherpartyandpensatetheotherpartyforalllossessufferedthereby.Ifthelossescausedbythebreachofcontracttotheotherpartyexceedtheamountofliquidateddamages,thebreachingpartyshallcontinuetopensatetheotherpartyfortheexcesspartofthelosses.4.Ifapartyisunabletoperformitsobligationsunderthiscontractduetoforcemajeureorotherexemptingreasonsstipulatedbylawsandregulations,suchpartyshallnotbeartheliabilityforbreachofcontract,butshallpromptlynotifytheotherpartyandproviderelevantcertificationdocuments.

VI.ContractModificationandTermination1.Anymodificationorsupplementtothiscontractrequiresthewrittenagreementofbothpartiesthroughfriendlynegotiationandshallbeinwrittenform.Themodificationorsupplementagreementshallbeanintegralpartofthiscontractandshallhavethesamelegaleffectasthiscontract.2.Duringtheperformanceofthiscontract,ifeitherpartyproposestoterminatethecontract,itshallnotifytheotherpartyinwriting[X]daysinadvance.Ifbothpartiesagreetoterminatethecontractthroughnegotiation,bothpartiesshallsettletheaccountsaccordingtothepletedservicecontentandtheprovisionsofthiscontract.Iftheterminationofthecontractcauseslossestotheotherparty,thepartyproposingtoterminatethecontractshallbearthecorrespondingliabilityforpensation.3.Ifanyofthefollowingcircumstancesoccurs,eitherpartyhastherighttoterminatethiscontract:-Thiscontractcannotbecontinuedduetoforcemajeure;-Onepartyseriouslyviolatestheprovisionsofthiscontractandstillfail
