鉴于甲方拟开展对外贸易业务，乙方具备相关业务能力和资源，能够为甲方提供外贸服务并促成交易，双方经友好协商，依据《中华人民共和国民法典》等相关法律法规的规定，就甲方委托乙方提供外贸服务并支付佣金事宜达成如下协议：

一、服务内容1.乙方负责寻找潜在国外客户，与客户进行商务洽谈、磋商，协助甲方与客户达成外贸交易合同。2.乙方负责跟进订单执行过程中的各项事务，包括但不限于订单确认、生产安排协调、物流运输安排、报关报检等环节，确保订单顺利履行。3.乙方协助甲方处理与国外客户在交易过程中可能出现的各种问题，如合同纠纷、质量异议等，维护甲方的合法权益。

二、佣金支付条件1.当甲方与国外客户签订有效外贸交易合同，且该合同项下的货物已按照合同约定全部交付给客户，同时甲方已收到客户支付的全部货款后，乙方有权要求甲方支付佣金。2.若因甲方原因导致合同未能履行或部分未能履行，乙方有权根据实际履行情况要求甲方支付相应比例的佣金。

三、佣金比例及计算方式1.双方约定，乙方的佣金比例为甲方与国外客户签订的外贸交易合同总金额的[X]%。2.佣金计算以甲方实际收到的国外客户支付的货款金额为基数，按照上述约定的佣金比例进行计算。例如，若合同总金额为[具体金额]美元，甲方实际收到货款为[实际收款金额]美元，则乙方的佣金金额为[实际收款金额]×[X]%。

五、双方权利与义务

（一）甲方权利与义务1.甲方有权要求乙方按照本协议约定提供优质、高效的外贸服务。2.甲方应向乙方提供开展外贸业务所需的相关资料和信息，包括但不限于公司营业执照、产品信息、价格清单、技术规格等，并确保所提供资料的真实性、准确性和完整性。3.甲方应按照本协议约定及时、足额支付乙方佣金。4.在订单执行过程中，甲方应积极配合乙方完成各项工作，如按照乙方要求提供货物、协助处理物流运输、报关报检等事宜。5.甲方有权对乙方的工作进行监督和检查，提出合理的意见和建议，乙方应予以积极响应并改进。

（二）乙方权利与义务1.乙方有权按照本协议约定获得佣金。2.乙方应按照本协议约定为甲方提供专业、全面的外贸服务，尽最大努力促成甲方与国外客户达成交易，并确保订单顺利履行。3.乙方应保守甲方的商业秘密和客户信息，不得向任何第三方泄露。未经甲方书面同意，乙方不得将本协议项下的权利和义务转让给第三方。4.乙方在与国外客户进行商务洽谈和交易过程中，应代表甲方的利益，以合理、谨慎的方式行事，维护甲方的声誉和利益。5.乙方应及时向甲方反馈业务进展情况，包括潜在客户信息、商务洽谈结果、订单执行情况等，确保甲方能够及时了解业务动态。6.如因乙方原因导致甲方遭受损失，乙方应承担相应的赔偿责任。

六、保密条款1.双方应对在本协议履行过程中知悉的对方商业秘密、技术秘密、客户信息等予以保密。未经对方书面同意，任何一方不得向任何第三方披露或使用。2.本条款的保密期限为本协议生效之日起[X]年。

七、违约责任1.若甲方未按照本协议约定及时、足额支付乙方佣金，每逾期一日，应按照未支付金额的[X]%向乙方支付违约金。逾期超过[X]日的，乙方有权解除本协议，并要求甲方支付已产生的全部佣金及违约金。2.若乙方未按照本协议约定提供服务或提供的服务不符合要求，导致甲方遭受损失的，乙方应承担相应的赔偿责任。乙方应退还已收取的佣金，并按照佣金金额的[X]%向甲方支付违约金。3.任何一方违反本协议的保密条款，应向对方支付违约金[具体金额]元，并赔偿对方因此遭受的全部损失。如违约行为给对方造成重大损失的，违约方还应承担相应的法律责任。

九、争议解决1.本协议的签订、履行、解释及争议解决均适用中华人民共和国法律。2.双方在履行本协议过程中如发生争议，应首先通过友好协商解决；协商不成的，任何一方均有权向有管辖权的人民法院提起诉讼。

十、其他条款1.本协议自双方签字（或盖章）之日起生效，有效期至[截止日期]。协议期满后，双方如无异议，则自动延续[延续期限]。2.本协议一式两份，甲乙双方各执一份，具有同等法律效力。

WhereasPartyAintendstoengageinforeigntradebusiness,andPartyBhastherelevantbusinesscapabilitiesandresourcestoprovideforeigntradeservicesforPartyAandfacilitatetransactions.Throughfriendlynegotiation,thetwoparties,inaccordancewiththeprovisionsoftheCivilCodeofthePeople'sRepublicofChinaandotherrelevantlawsandregulations,herebyreachthefollowingagreementonPartyA'smissioningofPartyBtoprovideforeigntradeservicesandpaymentofmissions:

I.ServiceContent1.PartyBshallberesponsibleforseekingpotentialforeigncustomers,conductingbusinessnegotiationsandconsultationswithcustomers,andassistingPartyAinconcludingforeigntradetransactioncontractswithcustomers.2.PartyBshallberesponsibleforfollowinguponvariousmattersduringtheorderexecutionprocess,includingbutnotlimitedtoorderconfirmation,productionarrangementcoordination,logisticstransportationarrangement,customsdeclarationandinspection,etc.,toensurethesmoothexecutionoftheorder.3.PartyBshallassistPartyAinhandlingvariousproblemsthatmayariseduringthetransactionprocesswithforeigncustomers,suchascontractdisputes,qualityobjections,etc.,andsafeguardthelegitimaterightsandinterestsofPartyA.

II.CommissionPaymentConditions1.WhenPartyAsignsaneffectiveforeigntradetransactioncontractwithaforeigncustomer,andallthegoodsunderthecontracthavebeendeliveredtothecustomerinaccordancewiththecontractagreement,andPartyAhasreceivedallthepaymentfromthecustomer,PartyBshallbeentitledtorequestPartyAtopaythemission.2.IfthecontractfailstobefulfilledorpartiallyfulfilledduetoPartyA'sreasons,PartyBshallbeentitledtorequestPartyAtopaythecorrespondingproportionofthemissionaccordingtotheactualperformancesituation.

III.CommissionRateandCalculationMethod1.ThetwopartiesagreethatthemissionrateofPartyBshallbe[X]%ofthetotalamountoftheforeigntradetransactioncontractsignedbetweenPartyAandtheforeigncustomer.2.ThemissioniscalculatedbasedontheamountofpaymentactuallyreceivedbyPartyAfromtheforeigncustomer,andiscalculatedaccordingtotheagreedmissionrate.Forexample,ifthetotalcontractamountis[SpecificAmount]USdollarsandPartyAactuallyreceivesthepaymentof[ActualReceiptAmount]USdollars,thenthemissionamountofPartyBis[ActualReceiptAmount]×[X]%.

V.RightsandObligationsofBothParties

(I)RightsandObligationsofPartyA1.PartyAhastherighttorequirePartyBtoprovidehigh-qualityandefficientforeigntradeservicesinaccordancewiththeprovisionsofthisagreement.2.PartyAshallprovidePartyBwithrelevantmaterialsandinformationrequiredforengaginginforeigntradebusiness,includingbutnotlimitedtopanybusinesslicense,productinformation,pricelist,technicalspecifications,etc.,andensuretheauthenticity,accuracy,andpletenessoftheprovidedmaterials.3.PartyAshallpayPartyBthemissioninatimelyandfullamountinaccordancewiththeprovisionsofthisagreement.4.Duringtheorderexecutionprocess,PartyAshallactivelycooperatewithPartyBtopletevarioustasks,suchasprovidinggoodsasrequiredbyPartyB,assistinginhandlinglogisticstransportation,customsdeclarationandinspection,etc.5.PartyAhastherighttosuperviseandinspectPartyB'swork,putforwardreasonableopinionsandsuggestions,andPartyBshallrespondpositivelyandmakeimprovements.

(II)RightsandObligationsofPartyB1.PartyBhastherighttoobtainthemissioninaccordancewiththeprovisionsofthisagreement.2.PartyBshallprovidePartyAwithprofessionalandprehensiveforeigntradeservicesinaccordancewiththeprovisionsofthisagreement,makeeveryefforttofacilitatetheconclusionoftransactionsbetweenPartyAandforeigncustomers,andensurethesmoothexecutionoforders.3.PartyBshallkeepconfidentialthebusinesssecretsandcustomerinformationofPartyA,andshallnotdisclosethemtoanythirdpartywithoutthepriorwrittenconsentofPartyA.WithoutthewrittenconsentofPartyA,PartyBshallnottransfertherightsandobligationsunderthisagreementtoathirdparty.4.Whenconductingbusinessnegotiationsandtransactionswithforeigncustomers,PartyBshallrepresenttheinterestsofPartyAandactinareasonableandprudentmannertosafeguardthereputationandinterestsofPartyA.5.PartyBshallpromptlyfeedbacktheprogressofthebusinesstoPartyA,includingpotentialcustomerinformation,businessnegotiationresults,orderexecutionstatus,etc.,toensurethatPartyAcantimelyunderstandthebusinessdynamics.6.IfPartyAsufferslossesduetoPartyB'sreasons,PartyBshallbearthecorrespondingliabilityforpensation.PartyBshallrefundthereceivedmissionandpayapenaltyof[X]%ofthemissionamounttoPartyA.

VI.ConfidentialityClause1.Bothpartiesshallkeepconfidentialthebusinesssecrets,technicalsecrets,customerinformation,etc.oftheotherpartyknownduringtheperformanceofthisagreement.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldiscloseorusethemtoanythirdparty.2.Theconfidentialityperiodofthisclauseshallbe[X]yearsfromtheeffectivedateofthisagreement.

VIII.AgreementAmendmentandTermination1.Anyamendmentorsupplementtothisagreementrequiresthewrittenagreementofbothpartiesthroughfriendlynegotiation.2.Duringtheperformanceofthisagreement,ifeitherpartyproposestoterminatetheagreement,itshallnotifytheotherpartyinwriting[X]daysinadvance.Afterreachinganagreementthroughnegotiationbetweenthetwoparties,thisagreementcanbeterminated.Aftertheterminationoftheagreement,bothpartiesshallsettlethepletedbusinessinaccordancewiththeprovisionsofthisagreementandperformtheirrespectiverightsandobligations.3.Ifanyofthefollowingcircumstancesoccurs,eitherpartyhastherighttoterminatethisagreement:-Thisagreementcannotbecontinuedduetoforcemajeure;-Onepartyseriouslyviolatestheprovisionsofthisagreementandstillfailstocorrectitwithin
