ThisContract(hereinafterreferredtoasthe"Contract")isherebyenteredintoandexecutedbyandbetweenthefollowingparties:

WHEREAS,theOEMisengagedintheproductionof[OEM'sproductname]andrequirestheManufacturertoundertakethemanufacturingandsupplyof[specificparts/componentsoftheproduct]inaccordancewiththespecificationsandrequirementssetforthbytheOEM;

ANDWHEREAS,theManufactureriswillingtoundertakethemanufacturingandsupplyoftheaforementionedparts/componentsfortheOEM,uponthetermsandconditionsstipulatedherein;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.ScopeofWork

TheManufacturershallmanufactureandsupply[specificparts/componentsoftheproduct]inaccordancewiththespecifications,drawings,andothertechnicalrequirementsprovidedbytheOEM.Thescopeofworkshallinclude,butnotbelimitedto,thefollowing:

a.Design,development,andproductionofthe[specificparts/componentsoftheproduct];

b.Qualitycontrolandtestingofthemanufacturedproducts;

c.PackagingandshippingoftheproductstotheOEM'sdesignatedlocation;

d.Providingnecessarytechnicalsupportandassistanceduringtheproductionprocess.

2.QualityStandards

Themanufacturedproductsshallcomplywiththefollowingqualitystandards:

a.Theproductsshallmeetthespecifications,drawings,andtechnicalrequirementsprovidedbytheOEM;

b.Theproductsshallconformtotheapplicableindustrystandardsandregulations;

c.Theproductsshallundergostrictqualitycontrolandtestingproceduresbeforeshipment.

3.QuantityandDelivery

TheManufacturershallsupplytheOEMwith[specificquantityoftheparts/components]within[specifictimeframe],subjecttothefollowingconditions:

a.TheOEMshallprovidetheManufacturerwithapurchaseorder(hereinafterreferredtoasthe"PO")specifyingthequantity,deliveryschedule,andotherrelevantdetails;

b.TheManufacturershalldelivertheproductstotheOEM'sdesignatedlocationasperthedeliveryschedulementionedinthePO;

4.PriceandPaymentTerms

Thepriceforthemanufacturedproductsshallbe[specificprice]perunit,subjecttothefollowingpaymentterms:

a.TheOEMshallpaytheManufacturer[specificpercentage]ofthetotalamountupontheexecutionofthisContract;

5.IntellectualPropertyRights

6.Confidentiality

ThepartiesheretoagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedduringthecourseofthisContract.TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.

7.TermandTermination

c.TerminatethisContractintheeventofamaterialbreachbytheManufacturerortheThirdParty.

7.OEM'sObligationsandInterests

TheOEMshall:

b.EnsurethetimelypaymentoftheManufacturerandtheThirdPartyfortheirservicesorsupport;

8.Manufacturer'sObligationsandInterests

9.Manufacturer'sandThirdParty'sLimitationsandCovenants

TheManufacturerandtheThirdPartyshall:

a.NotengageinanyactivitiesthatmayharmthereputationorinterestsoftheOEM;

b.NotdiscloseanyconfidentialinformationprovidedbytheOEMtoanythirdpartywithoutthepriorwrittenconsentoftheOEM;

c.NotundertakeanyobligationsorcommitmentsthatmayconflictwiththetermsofthisContract.

10.TerminationandConsequences
