NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:
1.SaleandPurchaseoftheBusiness
1.1TheSellerherebyagreestosell,transfer,andconveytotheBuyer,andtheBuyerherebyagreestopurchase,receive,andassumetheBusiness,onthetermsandconditionssetforthinthisContract.
1.2TheBuyershallpaytotheSellerthepurchaseprice(hereinafterreferredtoasthe"PurchasePrice")inaccordancewiththepaymentscheduleattachedheretoasExhibitA.
1.3TheSellershalldelivertotheBuyerallnecessarydocumentsandinformationrelatedtotheBusiness,includingbutnotlimitedtofinancialstatements,contracts,andlegaldocuments,within_______daysaftertheexecutionofthisContract.
2.RepresentationsandWarranties
2.1TheSellerrepresentsandwarrantsthat:
(a)TheSellerhasfullpowerandauthoritytoenterintothisContractandtoselltheBusiness;
(b)TheSellerhasnotenteredintoanyagreementsorcommitmentsthatwouldpreventthetransferoftheBusinesstotheBuyer;
(c)TheSellerisnotawareofanymaterialdefects,liabilities,orclaimsthatwouldadverselyaffecttheBusiness;
(d)TheSellerhasdisclosedtotheBuyerallknownmaterialfactsandinformationrelatedtotheBusiness.
2.2TheBuyerrepresentsandwarrantsthat:
(a)TheBuyerhasfullpowerandauthoritytoenterintothisContractandtopurchasetheBusiness;
(b)TheBuyerisnotawareofanymaterialdefects,liabilities,orclaimsthatwouldadverselyaffecttheBusiness;
(c)TheBuyerhasconductedduediligenceontheBusinessandissatisfiedwiththeresults.
3.Indemnification
3.1TheSellershallindemnifyandholdharmlesstheBuyeragainstanyandalllosses,damages,claims,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromanybreachoftherepresentationsandwarrantiesmadebytheSellerinthisContract.
3.2TheBuyershallindemnifyandholdharmlesstheSelleragainstanyandalllosses,damages,claims,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromanybreachoftherepresentationsandwarrantiesmadebytheBuyerinthisContract.
4.Confidentiality
4.1ThepartiesagreetokeepconfidentialallinformationdisclosedbyeitherpartytotheotherinconnectionwiththisContract,includingbutnotlimitedtofinancialinformation,businessstrategies,andcustomerlists.
4.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.
5.GoverningLawandJurisdiction
5.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionwheretheSellerisregistered.
5.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce.
6.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal,relatingtothesubjectmatterhereof.
INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.

(a)TheSellerhasfullpowerandauthoritytoenterintothisContractandtoselltheBusiness;
(b)TheSellerhasnotenteredintoanyagreementsorcommitmentsthatwouldpreventthetransferoftheBusinesstotheBuyer;
(c)TheSellerisnotawareofanymaterialdefects,liabilities,orclaimsthatwouldadverselyaffecttheBusiness;
(d)TheSellerhasdisclosedtotheBuyerallknownmaterialfactsandinformationrelatedtotheBusiness.
3.2TheBuyerrepresentsandwarrantsthat:
(a)TheBuyerhasfullpowerandauthoritytoenterintothisContractandtopurchasetheBusiness;
(b)TheBuyerhasconductedduediligenceontheBusinessandissatisfiedwiththeresults.
3.3TheThirdPartyrepresentsandwarrantsthat:
(a)TheThirdPartyhasthenecessaryexpertiseandqualificationstoprovidetheServices;
(b)TheThirdPartyshallactingoodfaithandwithduecareinprovidingtheServices.
4.RightsandObligationsoftheBuyer
4.1TheBuyershallhavetherighttoterminatethisContractiftheSellerbreachesanymaterialtermhereof.
4.2TheBuyershallhavetherighttorequesttheSellertocureanymaterialbreachoftherepresentationsandwarrantiesmadeherein.
4.3TheBuyershallhavetherighttoseekindemnificationfromtheSellerforanylossesincurredasaresultoftheSeller'sbreachofthisContract.
5.LimitationsofLiabilityandIndemnification
5.1TheSellershallindemnifyandholdharmlesstheBuyeragainstanyandalllosses,damages,claims,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromanybreachoftherepresentationsandwarrantiesmadebytheSellerinthisContract.
5.2TheBuyershallindemnifyandholdharmlesstheSelleragainstanyandalllosses,damages,claims,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromanybreachoftherepresentationsandwarrantiesmadebytheBuyerinthisContract.
5.3TheThirdPartyshallindemnifyandholdharmlesstheBuyeragainstanyandalllosses,damages,claims,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromanybreachoftherepresentationsandwarrantiesmadebytheThirdPartyinthisContract.
6.Confidentiality
6.1ThepartiesagreetokeepconfidentialallinformationdisclosedbyeitherpartytotheotherinconnectionwiththisContract,includingbutnotlimitedtofinancialinformation,businessstrategies,andcustomerlists.
6.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.
7.GoverningLawandJurisdiction
7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionwheretheSellerisregistered.
7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce.
8.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal,relatingtothesubjectmatterhereof.

SUMMARYOFINTERESTSANDPURPOSES:
ThepurposeofinvolvingtheThirdPartyistoensurethattheBuyerhasaccesstoprofessionaladviceandsupportthroughoutthetransactionprocess.TheThirdParty'sroleistofacilitatetheduediligenceprocess,providelegalandfinancialguidance,andensurethattheBuyer'sinterestsareprotected.
TheBuyer'sinterestsareprioritizedinthisContracttoensurethattheBuyerreceivestheBusinessinamannerthatmeetsitsexpectationsandprotectsitsinvestment.TheBuyerhastherighttoterminatetheContractincaseofabreachbytheSeller,andtheBuyerisindemnifiedforanylossesincurredduetotheSeller'sbreachofrepresentationsandwarranties.TheBuyeralsohastherighttoseekindemnificationfromtheSellerforanylossesresultingfromtheSeller'sbreachofthisContract.
TheinvolvementoftheThirdPartyandtheprioritizationoftheBuyer'sinterestsinthisContractservetoenhancetheBuyer'sconfidenceinthetransactionandensurethattheBuyer'sinvestmentisprotectedthroughouttheprocess.

4.LimitationsofLiabilityandIndemnification
4.1TheSellershallindemnifyandholdharmlesstheBuyeragainstanyandalllosses,damages,claims,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromanybreachoftherepresentationsandwarrantiesmadebytheSellerinthisContract.
4.2TheSellershallindemnifyandholdharmlesstheThirdPartyagainstanyandalllosses,damages,claims,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromanybreachoftherepresentationsandwarrantiesmadebytheSellerinthisContract.
5.ObligationsoftheSeller
5.1TheSellershallprovidetheBuyerwithaccurateandcompleteinformationregardingtheBusiness,includingbutnotlimitedtofinancialstatements,contracts,andlegaldocuments.
5.2TheSellershallensurethattheBusinessisfreeandclearofanyliens,encumbrances,orclaimsthatwouldadverselyaffecttheBuyer'sownershiporoperationoftheBusiness.
5.3TheSellershallprovidetheBuyerwithallnecessaryassistancetofacilitatetheduediligenceprocess.
6.Confidentiality
6.1ThepartiesagreetokeepconfidentialallinformationdisclosedbyeitherpartytotheotherinconnectionwiththisContract,includingbutnotlimitedtofinancialinformation,businessstrategies,andcustomerlists.
6.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.
7.GoverningLawandJurisdiction
