ThisContract(hereinafterreferredtoas"theContract")isenteredintobyandbetweenthefollowingparties:
1.TheSeller(hereinafterreferredtoas"Seller")and
2.TheBuyer(hereinafterreferredtoas"Buyer").
WHEREAS,theSellerisengagedinthebusinessofsellinggoodsandservicesandtheBuyerisinterestedinpurchasingsuchgoodsandservices;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:
1.SubjectMatteroftheContract
TheSellershallsellandtheBuyershallpurchasethefollowinggoodsandservices(hereinafterreferredtoas"theGoodsandServices")describedintheattachedScheduleA,whichisanintegralpartofthisContract.
2.TermsofPayment
a.TheBuyershallpaytheSellerthetotalpurchasepricefortheGoodsandServicesinaccordancewiththepaymenttermssetforthintheattachedScheduleB.
b.TheBuyershallmakepaymenttotheSellerbywiretransfer,bankdraft,oranyotherpaymentmethodagreeduponbythepartiesinwriting.
c.Incaseofanydisputeoverthepayment,thepartiesshallresolveitthroughfriendlynegotiationwithinareasonableperiodoftime.Ifthedisputecannotberesolvedamicably,thepartiesmayseekarbitrationorlitigationasprovidedbyapplicablelawsandregulations.
3.Delivery
a.TheSellershalldelivertheGoodsandServicestotheBuyeratthedesignatedlocationmentionedintheattachedScheduleAwithintheagreeddeliveryperiod.
b.ThedeliverydateshallbeconsideredthedatewhentheBuyertakespossessionoftheGoodsandServices.
c.Incaseofanydelayindelivery,theSellershallcompensatetheBuyerforanydirectlossordamagecausedbythedelay.
4.QualityandQuantity
a.ThequalityandquantityoftheGoodsandServicesshallcomplywiththespecificationsandstandardsmentionedintheattachedScheduleA.
b.IncaseofanydiscrepanciesbetweentheactualqualityandquantityoftheGoodsandServicesandthespecificationsandstandardsmentionedintheattachedScheduleA,theBuyershallnotifytheSellerwithinareasonableperiodoftimeafterreceivingtheGoodsandServices.
5.Warranties
a.TheSellerwarrantsthattheGoodsandServicesarefreefromanydefectsandmeetthespecificationsandstandardsmentionedintheattachedScheduleA.
b.ThewarrantyperiodfortheGoodsandServicesshallbeasmentionedintheattachedScheduleA.
c.Incaseofanydefectsornon-compliancewiththespecificationsandstandardsduringthewarrantyperiod,theSellershallrepairorreplacethedefectiveGoodsandServicesfreeofcharge.
6.IntellectualProperty
a.TheSellerretainsallrights,title,andinterestinandtoanyintellectualpropertyrightsassociatedwiththeGoodsandServices.
b.TheBuyershallnotinfringeuponanyintellectualpropertyrightsoftheSellerduringtheuseoftheGoodsandServices.
7.GoverningLawandJurisdiction
a.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedintheattachedScheduleC.
b.AnydisputesarisingfromorinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsofthejurisdictionspecifiedintheattachedScheduleC.
INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractasofthedatefirstabovewritten.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:
1.SubjectMatteroftheContract
ThePrincipalshallpurchasethefollowinggoodsandservices(hereinafterreferredtoas"theGoodsandServices")fromtheSeller,andtheThirdPartyshallprovidetheadditionalservicesasdescribedintheattachedScheduleA,whichisanintegralpartofthisContract.
2.Principal'sRightsandObligations
a.ThePrincipalhastherighttoreceivetheGoodsandServicesinaccordancewiththespecifications,quality,andquantitysetforthintheattachedScheduleA.
b.ThePrincipalhastherighttorequesttheSellertoprovidewarrantyandsupportservicesfortheGoodsandServices.
c.ThePrincipalhastherighttoinspecttheGoodsandServicesbeforeacceptanceandtorejectanynon-conformingitems.
d.ThePrincipalshallpaytheSellerandtheThirdPartyinaccordancewiththetermssetforthintheattachedScheduleB.
3.Seller'sRightsandObligations
a.TheSellershallsupplytheGoodsandServicestothePrincipalasperthespecifications,quality,andquantitymentionedintheattachedScheduleA.
b.TheSellershallprovidewarrantyandsupportservicesfortheGoodsandServicesinaccordancewiththetermssetforthintheattachedScheduleC.
c.TheSellershallcomplywithallapplicablelaws,regulations,andstandardsinthesupplyoftheGoodsandServices.
4.ThirdParty'sRightsandObligations
a.TheThirdPartyshallprovidetheadditionalservicesasspecifiedintheattachedScheduleA,includingbutnotlimitedtologistics,qualitycontrol,andafter-salessupport.
b.TheThirdPartyshallensurethattheadditionalservicesareperformedinamannerthatmeetsthePrincipal'srequirementsandenhancestheoverallefficiencyofthesupplychain.
c.TheThirdPartyshallprovideregularreportstothePrincipalontheprogressandperformanceoftheadditionalservices.
5.ThirdParty'sLiabilityandIndemnification
a.TheThirdPartyshallindemnifythePrincipalandtheSelleragainstanyclaims,losses,ordamagesarisingoutoftheThirdParty'sfailuretoperformtheadditionalservicesasagreed.
b.TheThirdPartyshallbeliableforanybreachofcontractornegligencethatmaycauseharmtothePrincipalortheSeller.
6.Buyer's(Seller)违约及限制条款
a.IntheeventofSeller'sbreachoftheContract,theSellershallcompensatethePrincipalforanydirectlossordamagesufferedasaresultofsuchbreach.
b.TheSellershallnotsubcontractthesupplyofGoodsandServiceswithoutthepriorwrittenconsentofthePrincipal.
c.TheSellershallnotdiscloseanyconfidentialinformationofthePrincipaltoanythirdpartywithoutthePrincipal'sconsent.
7.Principal'sRightsandInterestProtection
a.ThePrincipalshallhavetherighttoterminatethisContractimmediatelyiftheSellerortheThirdPartyfailstoperformitsobligationsundertheContract.
b.ThePrincipalshallhavetherighttorequestadditionalservicesorcompensationfromtheSellerortheThirdPartyiftheGoodsandServicesdonotmeettheagreedspecificationsandqualitystandards.
c.ThePrincipalshallhavetherighttoreviewandapproveanychangestotheattachedSchedulesA,B,andC.
8.GoverningLawandJurisdiction
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedintheattachedScheduleD.
AnydisputesarisingfromorinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsofthejurisdictionspecifiedintheattachedScheduleD.

TheinclusionoftheThirdPartyasanintegralpartofthistransactionisintendedtoenhancethePrincipal'ssupplychainefficiencyandquality.ThePrincipal'srightsandinterestsareparamount,andtheContractisstructuredtoensurethatthePrincipal'sobjectivesaremetwhilealsoprovidingclearobligationsandrightsfortheSellerandtheThirdParty.ThePrincipal'sleadershipinthisarrangementensuresthatthesupplychainisoptimizedtodeliverthedesiredoutcomes,therebymaximizingthePrincipal'scompetitiveadvantageandoperationalsuccess.

b.TheSellershallprovidewarrantyandsupportservicesfortheGoodsandServicesinaccordancewiththetermssetforthintheattachedScheduleB.
c.TheSellershallcomplywithallapplicablelaws,regulations,andstandardsinthesupplyoftheGoodsandServices.
3.ThirdParty'sRightsandObligations
a.TheThirdPartyshallprovidetheadditionalvalue-addedservicesasspecifiedintheattachedScheduleA,includingbutnotlimitedtologisticscoordination,riskmanagement,andsupplychainoptimization.
b.TheThirdPartyshallensurethattheadditionalservicesareperformedinamannerthatenhancestheefficiencyandeffectivenessofthePrincipal'soperations.
c.TheThirdPartyshallprovideregularreportstothePrincipalontheperformanceoftheadditionalservices.
4.Principal'sRightsandObligations
a.ThePrincipalshallhavetherighttoreceivetheGoodsandServicesinaccordancewiththespecifications,quality,andquantitysetforthintheattachedScheduleA.
b.ThePrincipalshallhavetherighttorequesttheSellerandtheThirdPartytoprovidewarrantyandsupportservicesasagreeduponinthisContract.
c.ThePrincipalshallhavetherighttoinspecttheGoodsandServicesbeforeacceptanceandtorejectanynon-conformingitems.
5.Principal'sRightsandInterests
a.ThePrincipalshallhavetherighttonegotiateandagreeuponthetermsoftheadditionalvalue-addedservicesprovidedbytheThirdParty.
b.ThePrincipalshallhavetherighttorequestchangestothescopeofservicesprovidedbytheThirdPartyifsuchchangesaredeemednecessaryforthePrincipal'sbusinessoperations.
c.ThePrincipalshallhavetherighttoreceiveperiodicperformancereviewsandupdatesfromtheThirdParty.
6.Seller'sandThirdParty'sLiabilityandIndemnification
a.TheSellerandtheThirdPartyshallindemnifythePrincipalagainstanyclaims,losses,ordamagesarisingoutoftheirfailuretoperformtheirobligationsundertheContract.
b.TheSellerandtheThirdPartyshallbeliableforanybreachofcontractornegligencethatmaycauseharmtothePrincipal.
7.Principal's违约及限制条款
a.IntheeventofthePrincipal'sbreachoftheContract,thePrincipalshallcompensatetheSellerandtheThirdPartyforanydirectlossordamagesufferedasaresultofsuchbreach.
