2.TermandRenewal

4.ServicesandFacilities

b.PartyAreservestherighttomodifyorterminateanyServiceorFacility,withorwithoutpriornotice,initssolediscretion.

5.FeesandPayment

a.PartyBshallpayallfees,charges,andexpensesincurredinconnectionwiththeServicesandFacilities,asspecifiedinExhibitAattachedhereto.

b.PartyBshallmaketimelypaymentsforthefees,charges,andexpenses,inaccordancewiththeagreedschedule.

c.Intheeventofanylatepayment,PartyBshallbeliableforlatepaymentpenaltiesasspecifiedinExhibitBattachedhereto.

6.Confidentiality

a.Thepartiesagreetomaintaintheconfidentialityofanyandallinformation,includingbutnotlimitedtofinancial,operational,andbusinessinformation,disclosedtothemduringthecourseofthisAgreement.

b.TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.

7.Termination

8.GoverningLawandDisputeResolution
