NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.GrantofFranchise.LicensorherebygrantstoFranchisee,andFranchiseeherebyaccepts,anon-exclusive,non-transferable,personalfranchisetooperateabusinessatthelocationdescribedinExhibitA("FranchiseLocation")undertheLicensor'stradenameandtrademarks,subjecttothetermsandconditionssetforthinthisAgreement.

2.Term.ThetermofthisAgreementshallcommenceontheEffectiveDateandshallcontinueforaperiodof[numberofyears]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.RoyaltiesandFees.FranchiseeshallpaytoLicensor,duringthetermofthisAgreement,aroyaltyfeeof[percentage]%ofFranchisee'sgrosssales,excludingtaxes,fromtheFranchiseLocation.FranchiseeshallalsopaytoLicensorafranchisefeeof[amount]ontheEffectiveDateandaninitialadvertisingfeeof[amount]ontheEffectiveDate.

4.QualityControl.FranchiseeshalloperatetheFranchiseLocationinaccordancewiththequalitycontrolstandardsestablishedbyLicensor,assetforthinExhibitB("QualityControlStandards").

5.Training.LicensorshallprovideFranchiseewithinitialtrainingatLicensor'sexpense.FranchiseeshallalsoattendperiodictrainingsessionsconductedbyLicensor.

6.TrademarksandIntellectualProperty.FranchiseeshallhavetherighttousetheLicensor'strademarksandintellectualpropertyinaccordancewiththetermsandconditionssetforthinthisAgreement.FranchiseeshallnotacquireanyownershipinterestintheLicensor'strademarksorintellectualproperty.

7.Non-Competition.DuringthetermofthisAgreementandforaperiodof[numberofyears]yearsthereafter,FranchiseeagreesnottoengageinanybusinessthatcompeteswiththebusinessoperatedbyFranchiseeunderthisAgreementwithina[specifiedgeographicarea].

8.Indemnification.Eachpartyshallindemnify,defend,andholdtheotherpartyharmlessagainstanyandallclaims,actions,damages,liabilities,andexpensesarisingoutoforresultingfromthebreachofanyofthetermsandconditionsofthisAgreement.

9.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].

10.EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.
