lved.9.AssignmentTheThirdPartymaynotassignitsrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheContractingParties.10.ThirdParty'sCompliancewithLawsandRegulations11.RelationshipBetweentheContractingPartiesandtheThirdPartyTherelationshipbetweentheContractingPartiesandtheThirdPartyshallbethatofindependentcontractors.TheThirdPartyshallnotbedeemedanagent,employee,orpartnerofeitherContractingParty.12.AdditionalProvisionsa.TheContractingPartiesmay,attheirsolediscretion,involveadditionalThirdPartiesasnecessarytofulfilltheirobligationsunderthisContract.b.TheinvolvementofanyThirdPartyshallnotrelievetheContractingPartiesoftheirobligationsunderthisContract.c.TheContractingPartiesshallprovidetheThirdPartywithallnecessaryinformationanddocumentationtoenabletheThirdPartytoperformitsobligationsunderthisContract.d.TheContractingPartiesshallnotbeliableforanyactsoromissionsoftheThirdPartythatarebeyondtheircontrol.EndofPartB第三部分：其他补充性说明和解释说明一：附件列表：1.BillofLading:AttachmentDescription:Thisdocumentservesasproofofshipmentandownershipofthegoods.2.CommercialInvoice:DetailedRequirements:TheCommercialInvoicemustbeissuedtheSellerandmustincludedetailedinformationaboutthegoods,includingquantity,description,unitprice,andtotalamount.AttachmentDescription:Thisdocumentisusedforcustomsclearanceandservesasareceiptforthegoods.3.QualityCertificate:DetailedRequirements:TheQualityCertificatemustbeissuedanindependentthirdpartyandmustconfirmthatthegoodsmeetthespecifiedqualitystandards.4.InsurancePolicy:AttachmentDescription:Thisdocumentprovidesprotectionagainstlossordamagetothegoodsduringtransportation.5.CustomsDocuments:AttachmentDescription:Thesedocumentsarerequiredfortheimport/exportofgoodsandincludedeclarations,tariffs,andotherrelevantinformation.6.PaymentReceipts:DetailedRequirements:PaymentReceiptsmustbeissuedforalltransactionsandmustincludethedateofpayment,theamountpaid,andthemethodofpayment.AttachmentDescription:Thesedocumentsserveasproofofpaymentandareusedforaccountingandauditingpurposes.7.PerformanceReports:DetailedRequirements:PerformanceReportsmustbesubmittedatregularintervalsandmustincludeinformationontheprogressoftheContract'sexecution.AttachmentDescription:ThesereportsprovidetransparencyandallowformonitoringandevaluationoftheContract'sperformance.8.DisputeResolutionAgreements:DetailedRequirements:DisputeResolutionAgreementsmustbeinwritingandmustoutlinetheproceduresforresolvingdisputesbetweentheContractingParties.AttachmentDescription:Theseagreementsprovideaframeworkforresolvingdisputesinafairandefficientmanner.9.TerminationNotices:DetailedRequirements:TerminationNoticesmustbeinwritingandmustbeissuedinaccordancewiththeprovisionsofthisContract.AttachmentDescription:ThesenoticesserveasformalnotificationoftheterminationoftheContract.说明二：违约行为及责任认定：1.BreachofContractualObligations:DetailedRequirements:AnyfailuretoperformamaterialtermorconditionofthisContractconstitutesabreachofcontract.Responsibility:Thebreachingpartyshallbeliableforanydirectdamagessufferedthenonbreachingpartyasaresultofthebreach.Example:IftheSellerfailstodeliverthegoodsontheagreedupondate,theyshallbeliableforanyadditionalcostsincurredtheBuyerduetothedelay.2.FailuretoComplywithQualityStandards:DetailedRequirements:Ifthegoodsdonotmeetthespecifiedqualitystandards,itconstitutesabreachofcontract.Responsibility:TheSellershallbeliableforanycostsincurredtheBuyertorectifythequalityissuesorforthereplacementofthegoods.Example:IftheBuyerreceivesgoodsthatdonotmeettheagreeduponqualitystandards,theSellershallberesponsibleforcoveringthecostsofrepairorreplacement.3.FailuretoMeetDeliveryDeadlines:DetailedRequirements:Anyfailuretodeliverthegoodswithintheagreedupontimeframeconstitutesabreachofcontract.Responsibility:TheSellershallbeliableforanycostsincurredtheBuyerdue
