ilityofThirdPartiesforanyclaimsarisingoutoforinconnectionwiththeirservices.ThislimitationofliabilityshallbeincludedintheagreementwiththeThirdPartyandshallbebindingonallpartiesinvolved.9.1.5IndemnificationTheBuyerandtheSellershallindemnifyandholdharmlesstheThirdPartiesagainstanyclaims,liabilities,ordamagesarisingoutoforinconnectionwiththeperformanceoftheirservices,exceptwheresuchclaims,liabilities,ordamagesarisedirectlyfromthenegligenceorwillfulmisconductoftheThirdParties.9.2.1AdditionalTermsfortheBuyerWhenaThirdPartyisinvolvedintheperformanceofthiscontract,thefollowingadditionaltermsshallapplytotheBuyer:TheBuyershallensurethattheThirdPartyisfullyawareofandboundthetermsandconditionsofthiscontract.TheBuyershallprovidethenecessaryinformationandinstructionstotheThirdPartyinatimelymanner.TheBuyershallmonitortheperformanceoftheThirdPartyandshallhavetherighttoterminatetheservicesoftheThirdPartyiftheyarenotperforminginaccordancewiththeagreeduponterms.9.2.2AdditionalTermsfortheSellerWhenaThirdPartyisinvolvedintheperformanceofthiscontract,thefollowingadditionaltermsshallapplytotheSeller:TheSellershallensurethattheThirdPartyisfullyawareofandboundthetermsandconditionsofthiscontract.TheSellershallprovidethenecessaryinformationandinstructionstotheThirdPartyinatimelymanner.TheSellershallmonitortheperformanceoftheThirdPartyandshallhavetherighttoterminatetheservicesoftheThirdPartyiftheyarenotperforminginaccordancewiththeagreeduponterms.9.2.3DivisionofResponsibilitiesTheresponsibilitiesoftheBuyer,theSeller,andtheThirdPartiesshallbeclearlydefinedandshallnotoverlap.TheBuyerandtheSellershallberesponsiblefortheirrespectiveobligationsunderthiscontract,whiletheThirdPartiesshallberesponsibleforthespecificservicesortasksasagreedupon.9.2.4Communication9.2.5TerminationofServicesIntheeventthattheservicesofaThirdPartyarenolongerrequiredoriftheThirdPartyfailstoperformtheirdutiesinaccordancewiththeagreeduponterms,theBuyerortheSellermayterminatetheservicesoftheThirdPartywithimmediateeffect,providedthatsuchterminationisinwritingandacopyissenttotheotherparty.9.2.6DisputeResolution9.2.7CompliancewithLaws9.2.8EntireAgreementThissectionontheintroductionofThirdParties,togetherwiththetermsandconditionsofthiscontract,constitutestheentireagreementbetweentheBuyer,theSeller,andtheThirdPartiesregardingtheservicestobeprovidedandtheobligationsofeachparty.Nooralorwrittenstatementsoragreementsmadepriortoorcontemporaneouswiththiscontractshallbedeemedtomodifyorsupersedethetermsandconditionsofthiscontract.第三部分：其他补充性说明和解释说明一：附件列表：1.ProductSpecificationSheet详细描述产品的规格、质量标准、包装要求等。要求：附件中应包含产品的详细规格表，包括尺寸、重量、颜色、等级等，以及相关的质量标准。2.PackingList列出每批产品的包装细节，包括数量、重量、体积等。要求：附件中应详细列出每批产品的包装信息，包括包装类型、数量、重量、体积等。3.CertificationofOrigin证明产品原产地，适用于需要原产地证明的贸易。要求：附件中应包含由官方机构出具的证明文件，证明产品的原产地。4.InspectionCertificate产品质量检验报告，证明产品符合合同规定的质量标准。要求：附件中应包含由第三方检验机构出具的质量检验报告，证明产品符合合同规定的质量标准。5.InsurancePolicy产品运输保险单，证明产品在运输过程中的保险覆盖。要求：附件中应包含保险公司的保险单，明确保险范围、保险金额和保险期限。6.TransportationContract运输合同，详细说明运输方式、路线、费用等。要求：附件中应包含运输公司的运输合同，明确运输方式、路线、费用、时间表等。7.PaymentSchedule支付时间表，详细说明每次付款的时间和金额。要求：附件中应包含支付时间表，明确每次付款的具体日期和金额。8.Dispu
