2025年度环保产业股权转让协议（英文）本合同共三部分组成，仅供学习使用，第一部分如下：2025ANNUALENVIRONMENTALPROTECTIONINDUSTRYSTOCKTRANSFERAGREEMENTThisagreement("Agreement")ismadeandenteredintoon[Date],betweenthefollowingparties:Transferor:[FullLegalNameofTransferor],a[LegalEntityType]incorporatedunderthelawsof[Jurisdiction],havingitsregisteredofficeat[RegisteredOfficeAddress],hereinafterreferredtoas"Transferor."Transferee:[FullLegalNameofTransferee],a[LegalEntityType]incorporatedunderthelawsof[Jurisdiction],havingitsregisteredofficeat[RegisteredOfficeAddress],hereinafterreferredtoas"Transferee."WHEREAS,theTransferoristheownerofacertainpercentageofthesharesof[CompanyName],a[LegalEntityType]incorporatedunderthelawsof[Jurisdiction],havingitsregisteredofficeat[RegisteredOfficeAddress]("Company"),hereinafterreferredtoasthe"Shares";ANDWHEREAS,theTransfereedesirestoacquiretheSharesfromtheTransferor;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:1.SUBJECTMATTEROFTHEAGREEMENT1.1TheTransferorhereagreestotransfertotheTransfereealloftheShares,subjecttothetermsandconditionssetforthinthisAgreement.1.2TheTransfereehereagreestopurchasetheSharesfromtheTransferorinaccordancewiththetermsandconditionssetforthinthisAgreement.2.TRANSFERPRICE2.1Thetransferprice("TransferPrice")fortheSharesshallbe[AmountinCurrency],whichshallbepaidtheTransfereetotheTransferorinaccordancewiththepaymenttermssetforthinSection4ofthisAgreement.3.PAYMENTTERMS3.1ThepaymentoftheTransferPriceshallbemadetheTransfereetotheTransferorinthefollowingmanner:(a)[Percentage]oftheTransferPriceshallbepaidtheTransfereetotheTransferorwithin[Number]daysfromtheEffectiveDateofthisAgreement;(b)Theremaining[Percentage]oftheTransferPriceshallbepaidtheTransfereetotheTransferoruponthefulfillmentofthefollowingconditions:(i)[Condition1];(ii)[Condition2];(iii)[Condition3].4.REPRESENTATIONSANDWARRANTIES4.1TheTransferorrepresentsandwarrantstotheTransfereethat:(a)TheTransferoristhelegalandbeneficialowneroftheSharesandhasthefullpowerandauthoritytotransfertheSharestotheTransferee;(b)TheSharesarefreeandclearofanyliens,encumbrances,orotherrestrictionsthatwouldpreventthetransferoftheSharestotheTransferee;(d)TheTransferorhasnotenteredintoanyagreementorunderstandingwithanythirdpartythatwouldaffectthetransferoftheSharestotheTransferee;(e)TheTransferorhasnoknowledgeofanyclaim,action,orsuitthatcouldreasonablybeexpectedtoaffecttheShares.4.2TheTransfereerepresentsandwarrantstotheTransferorthat:(a)TheTransfereeisthelegalandbeneficialowneroftheconsiderationpaidfortheSharesandhasthefullpowerandauthoritytopaytheconsideration;(b)TheTransfereeisnotawareofanyclaim,action,orsuitthatcouldreasonablybeexpectedtoaffecttheShares;5.NONCOMPETITION6.CONFIDENTIALITY6.1ThepartiesagreetomaintaintheconfidentialityofallinformationdisclosedtotheminconnectionwiththisAgreement,exceptasrequiredlaworcourtorder.6.2ThepartiesagreenottouseanyconfidentialinformationforanypurposeotherthantheperformanceoftheirobligationsunderthisAgreement.7.DISPUTERESOLUTION7.1AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughbindingarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].7.2Thearbitrationshallbeconductedin[Location]andthedecisionofthearbitrator(s)shallbefinalandbindingontheparties.8.GENERALPROVISIONS8.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal,betweentheparties.8.2ThisAgreementmaybeamendedormodifiedonlyawrittenagreementexecutedbothparties.8.3IfanyprovisionofthisAgreementisfoundtobeunenforceableorinvalid,suchprovisionshallbedeemedtobeseverablefromthisAgreementandshallnotaffecttheenforceabilityorvalidityoftheremainingprovisionsofthisAgreement.8.4ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.TRANSFEROR:___________________________[FullLegalNameofTransferor]___________________________[TitleofTransferor]___________________________[Date]TRANSFEREE:___________________________[FullLegalNameofTransferee]___________________________[TitleofTransferee]___________________________[Date]第二部分：第三方介入后的修正1.INTRODUCTIONTOTHIRDPARTYINVOLVEMENT1.1ForthepurposeofthisAgreement,"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnotapartytothisAgreementbutisinvolvedinthetransactionorhasadirectorindirectinterestintheSharesorthebusinessoftheCompany.1.2TheinvolvementofaThirdPartymayinclude,butisnotlimitedto,thefollowingroles:(a)FinancialAdvisor:ProvidingfinancialadviceandassistancetoeithertheTransferorortheTransferee;(b)LegalAdvisor:ProvidinglegaladviceandrepresentationtoeithertheTransferorortheTransferee;(c)ValuationExpert:ConductingavaluationoftheShares;(d)BrokerorAgent:FacilitatingthetransactionbetweentheTransferorandtheTransferee;(e)AnyotherpartythatisinvolvedinthetransactionorhasadirectorindirectinterestintheSharesorthebusinessoftheCompany.2.ADDITIONALTERMSANDCONDITIONSFORTHIRDPARTYINVOLVEMENT2.1TheinvolvementofaThirdPartyshallbesubjecttothefollowingadditionaltermsandconditions:(a)TheTransferorandtheTransfereeshallobtainthewrittenconsentoftheotherpartybeforeinvolvinganyThirdPartyinthetransaction;(b)TheThirdPartyshallenterintoaseparateagreementwiththeTransferorandtheTransfereethatoutlinesthescopeofitsservices,fees,andobligations;(c)TheThirdPartyshallnotdiscloseanyconfidentialinformationobtainedinconnectionwiththetransactiontoanythirdpartywithoutthepriorwrittenconsentoftheTransferorandtheTransferee;(d)TheThirdPartyshallnotactinamannerthatisadversetotheinterestsoftheTransferorortheTransferee;(e)TheThirdPartyshallindemnifyandholdharmlesstheTransferorandtheTransfereeagainstanyloss,claim,orliabilityarisingoutoftheThirdParty'sbreachofitsobligationsundertheseparateagreement.3.LIABILITYLIMITATIONSOFTHETHIRDPARTY3.1TheliabilityoftheThirdPartyunderthisAgreementshallbelimitedasfollows:(a)TheliabilityoftheThirdPartyforanyloss,claim,orliabilityarisingoutofitsbreachoftheseparateagreementshallbelimitedtothefeespaidtheTransferorortheTransfereetotheThirdParty;(b)TheliabilityoftheThirdPartyforanyloss,claim,orliabilityarisingoutofitsnegligenceorwillfulmisconductshallbelimitedtothefeespaidtheTransferorortheTransfereetotheThirdParty;(c)TheliabilityoftheThirdPartyforanyloss,claim,orliabilityarisingoutofitsfailuretoperformitsobligationsundertheseparateagreementshallbelimitedtothefeespaidtheTransferorortheTransfereetotheThirdParty.4.DUTIESANDRESPONSIBILITIESOFTHETHIRDPARTY4.1TheThirdPartyshallperformitsdutiesandresponsibilitiesundertheseparateagreementwiththeTransferorandtheTransfereeinaprofessionalanddiligentmanner.4.2TheThirdPartyshallprovidetheTransferorandtheTransfereewithallnecessaryinformationanddocumentationrelatedtoitsservices.4.3TheThirdPartyshallkeeptheTransferorandtheTransfereeinformedofanydevelopmentsorchangesthatmayaffectthetransaction.5.DIVISIONOFRESPONSIBILITIESBETWEENTHEPARTIESANDTHETHIRDPARTY5.1TheresponsibilitiesoftheTransferor,theTransferee,andtheThirdPartyshallbeasfollows:(a)TheTransferorshallberesponsibleforprovidingthenecessaryinformationanddocumentationtotheThirdPartytoenabletheThirdPartytoperformitsdutiesandresponsibilities;(b)TheTransfereeshallberesponsibleforprovidingthenecessaryinformationanddocumentationtotheThirdPartytoenabletheThirdPartytoperformitsdutiesandresponsibilities;(c)TheThirdPartyshallberesponsibleforperformingitsdutiesandresponsibilitiesundertheseparateagreementwiththeTransferorandtheTransferee;(d)TheTransferorandtheTransfereeshallberesponsibleforfulfillingtheirobligationsunderthisAgreement;(e)TheThirdPartyshallnotberesponsiblefortheperformanceoftheTransferorortheTransfereeunderthisAgreement.6.CONFIDENTIALITY6.1TheTransferor,theTransferee,andtheThirdPartyshallmaintaintheconfidentialityofallinformationdisclosedtotheminconnectionwiththisAgreementandtheseparateagreement.6.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreementandtheseparateagreement.7.DISPUTERESOLUTION7.1AnydisputearisingoutoforinconnectionwiththisAgreementortheseparateagreementshallberesolvedthroughbindingarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].7.2Thearbitrationshallbeconductedin[Location]andthedecisionofthearbitrator(s)shallbefinalandbindingontheparties.8.GENERALPROVISIONS8.1ThissectionconstitutestheadditionaltermsandconditionsfortheinvolvementofaThirdPartyinthisAgreement.8.2Thissectionmaybeamendedormodifiedonlyawrittenagreementexecutedallparties.8.3Ifanyprovisionofthissectionisfoundtobeunenforceableorinvalid,suchprovisionshallbedeemedtobeseverablefromthisAgreementandshallnotaffecttheenforceabilityorvalidityoftheremainingprovisionsofthisAgreement.8.4Thissectionshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].第三部分：其他补充性说明和解释说明一：附件列表：1.FinancialDueDiligenceReport:AdetailedreportpreparedafinancialadvisororauditorverifyingthefinancialstatementsandotherfinancialinformationoftheCompany.Requirements:Thereportshallbepreparedinaccordancewithgenerallyacceptedaccountingprinciplesandshallincludeanopiniononthefairnessofthefinancialstatements.Description:ThisattachmentistoensurethattheTransfereehasaclearunderstandingofthefinancialconditionoftheCompanyatthetimeofthetransfer.2.LegalDueDiligenceReport:AdetailedreportpreparedalegaladvisorverifyingthelegalstatusoftheCompany,includinganypendingorpotentiallegaldisputes,liens,orencumbrancesontheShares.Description:ThisattachmentistoensurethattheTransfereeisawareofanylegalissuesthatmayaffecttheSharesorthebusinessoftheCompany.3.ValuationReport:AreportpreparedavaluationexpertprovidingafairmarketvalueoftheShares.Requirements:Thereportshallbepreparedinaccordancewiththevaluationstandardsapplicabletotheindustryandshallincludethevaluationmethodologiesused.Description:ThisattachmentistoestablishtheTransferPricebasedonaprofessionalvaluation.4.ManagementPresentation:ApresentationthemanagementoftheCompanyoutliningthebusinessmodel,strategies,andfutureprospectsoftheCompany.Description:ThisattachmentistoprovidetheTransfereewithadetailedunderstandingofthebusinessoperationsandpotentialoftheCompany.Description:ThisattachmentistoensurethattheTransfereeisawareofanyenvironmentalissuesthatmayaffecttheCompany'soperations.6.EmployeeInformation:AlistofemployeesoftheCompany,includingtheirroles,salaries,andotherrelevantinformation.Requirements:Thelistshallbeaccurateanduptodate.Description:ThisattachmentistoprovidetheTransfereewithinformationaboutthehumanresourcesoftheCompany
