英文雇佣合同范本

ThisEmploymentAgreement(the"Agreement")ismadeandenteredintoasof[Date](the"EffectiveDate"),byandbetween[EmployerName],a[Employer'sJurisdictionofIncorporation]corporationwithitsprincipalplaceofbusinessat[Employer'sAddress](the"Employer"),and[Employee'sFullName],anindividualresidingat[Employee'sAddress](the"Employee").

WHEREAS,theEmployerdesirestoemploytheEmployee,andtheEmployeedesirestobeemployedbytheEmployer,onthetermsandconditionssetforthinthisAgreement.

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.Employment

TheEmployerherebyemploystheEmployee,andtheEmployeeherebyacceptsemploymentwiththeEmployer,uponthetermsandconditionssetforthinthisAgreement.

2.PositionandDuties

TheEmployeeshallserveas[Employee'sPosition]fortheEmployer,andshallperformthedutiesandresponsibilitiescustomarilyassociatedwithsuchposition,aswellassuchotherdutiesandresponsibilitiesasmaybereasonablyassignedfromtimetotimebytheEmployer.TheEmployeeshallreportto[Supervisor'sName],whoshallhavetheauthoritytosuperviseanddirecttheEmployee'swork.

3.TermofEmployment

ThetermofthisAgreement(the"Term")shallcommenceontheEffectiveDateandshallcontinueforaperiodof[Duration](the"InitialTerm"),unlessearlierterminatedasprovidedinthisAgreement.UponexpirationoftheInitialTerm,thisAgreementshallautomaticallyrenewforsuccessiveperiodsof[Duration](eacha"RenewalTerm"),unlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleast[NoticePeriod]priortotheexpirationofthethen-currentterm.

4.Compensation

4.1BaseSalary.TheEmployershallpaytheEmployeeabasesalaryattheannualrateof[AnnualSalary],lessapplicablewithholdingsanddeductions,payableinaccordancewiththeEmployer'sstandardpayrollpractices.TheEmployermay,atitssolediscretion,increasetheEmployee'sbasesalaryfromtimetotime.

4.2BonusesandIncentives.TheEmployeemaybeeligibletoreceivebonusesandotherincentivesbasedontheEmployee'sperformanceandtheEmployer'sperformance,inaccordancewiththetermsofanybonusorincentiveplansineffectfromtimetotime.

4.3Benefits.TheEmployeeshallbeentitledtoparticipateinallbenefitplansandprogramsgenerallymadeavailabletoemployeesoftheEmployer,assuchplansandprogramsmaybeestablishedormodifiedfromtimetotime.

5.HoursofWork

TheEmployeeshallworksuchhoursasarenecessarytofulfilltheEmployee'sresponsibilitiesunderthisAgreement,subjecttotheEmployer'sstandardhoursofoperationandanyapplicablelawsandregulations.TheEmployeeisexpectedtousereasonablejudgmentindeterminingtheamountoftimerequiredtofulfilltheEmployee'sresponsibilitiesandtoworksuchadditionalhoursasmaybenecessaryfromtimetotime.

6.Confidentiality

DuringtheTermandforaperiodof[ConfidentialityPeriod]followingtheterminationoftheEmployee'semploymentforanyreason,theEmployeeshallholdinconfidenceandnotdisclosetoanythirdpartyanyConfidentialInformation,exceptasmayberequiredbylaworlegalprocess."ConfidentialInformation"meansanynon-publicinformationrelatingtotheEmployer'sbusiness,including,withoutlimitation,tradesecrets,proprietaryinformation,businessplans,financialinformation,customerlists,marketingstrategies,andanyotherinformationthatisnotgenerallyknowntothepublic.

7.Non-Solicitation

DuringtheTermandforaperiodof[Non-SolicitationPeriod]followingtheterminationoftheEmployee'semploymentforanyreason,theEmployeeshallnot,directlyorindirectly,solicitorattempttosolicitanyemployeesoftheEmployertoleavetheiremploymentwiththeEmployer,ortobecomeemployedbyanycompetitoroftheEmployer.

8.Non-Competition

DuringtheTermandforaperiodof[Non-CompetitionPeriod]followingtheterminationoftheEmployee'semploymentforanyreason,theEmployeeshallnot,directlyorindirectly,engageinanybusinessthatiscompetitivewiththebusinessoftheEmployerwithin[Territory](the"RestrictedTerritory").

9.IntellectualProperty

TheEmployeeacknowledgesandagreesthatanyinventions,discoveries,improvements,designs,developments,ideas,concepts,processes,techniques,worksofauthorship,trademarks,tradesecrets,andotherintellectualpropertycreated,conceived,orreducedtopracticebytheEmployee,eitheraloneorwithothers,duringtheTerm,shallbethesoleandexclusivepropertyoftheEmployer.TheEmployeeherebyassignstotheEmployerallright,title,andinterestinandtoanysuchintellectualproperty.

10.Termination

ThisAgreementmaybeterminated:

10.1BytheEmployer.Atanytime,withorwithoutCause,uponwrittennoticetotheEmployee.ForpurposesofthisAgreement,"Cause"meanstheEmployee's(i)willfulfailuretoperformtheEmployee'sdutiesunderthisAgreement,(ii)grossnegligenceorwillfulmisconductintheperformanceoftheEmployee'sduties,(iii)breachofanymaterialprovisionofthisAgreement,or(iv)convictionofafelonyoranycrimeinvolvingmoralturpitude.

10.2BytheEmployee.WithCause,uponwrittennoticetotheEmployer.ForpurposesofthisAgreement,"Cause"meanstheEmployer's(i)failuretopaytheEmployee'sbasesalarywhendue,(ii)materialbreachofanyprovisionofthisAgreement,or(iii)failuretocomplywithanyapplicablelawsorregulations.

11.SeverancePay

IntheeventtheEmployee'semploymentisterminatedbytheEmployerwithoutCause,orbytheEmployeewithCause,theEmployershallpaytheEmployeeaseverancepaymentequalto[SeveranceAmount],lessapplicablewithholdingsanddeductions,payableinalumpsumwithin[SeverancePaymentPeriod]followingtheterminationdate.

12.Indemnification

TheEmployershallindemnifyandholdharmlesstheEmployeefromandagainstanyandallclaims,demands,actions,causesofaction,liabilities,costs,andexpenses(including,withoutlimitation,reasonableattorneys'fees)arisingoutoforrelatingtotheEmployee'sperformanceoftheEmployee'sdutiesunderthisAgreement,excepttotheextentsuchclaims,demands,actions,causesofaction,liabilities,costs,andexpensesresultfromtheEmployee'sgrossnegligenceorwillfulmisconduct.

13.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[Jurisdiction],withoutregardtoprinciplesofconflictsoflaw.

14.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,representations,andunderstandings,whetherwrittenororal.

15.ModificationandWaiver

NomodificationorwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.Nofailureordelaybyeitherpartyinexercisinganyright,power,orprivilegeunderthisAgreementshalloperateasawaiverthereof,norshallanysingleorpartialexercisethereofprecludeanyotherorfurtherexercisethereofortheexerciseofanyotherright,power,orprivilege.

16.SuccessorsandAssigns

ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesandtheirrespectivesuccessorsandassigns.TheEmployeemaynotassignanyoftheEmployee'srightsordelegateanyoftheEmployee'sdutiesunderthisAgreementwithoutthepriorwrittenconsentoftheEmployer.

17.Notices

Allnotices,requests,demands,andothercommunicationsunderthisAgreementshallbeinwritingandshallbedeemedtoha
