rtyinvolvedintheexecutionofthiscontractshallbelimitedtothescopeoftheirservicesandthefeesagreeduponinwriting.Theyshallnotbeliableforanydirect,indirect,orconsequentialdamagesarisingfromthefailuretoperformtheirobligationsunderthiscontract.5.2.SpecificLimitations:IntermediariesshallnotbeliableforthequalityofthematerialsorforanybreachofcontracttheSupplier.ConsultantsshallnotbeliableforanylossordamageresultingfromthePurchaser'sdecisiontopurchaseorusethematerials.Inspectorsshallnotbeliableforanydiscrepanciesinthequalityofthematerialsthatwerenotapparentatthetimeofinspection.Transportersshallnotbeliableforanylossordamagetothematerialscausedeventsbeyondtheircontrol,suchasnaturaldisastersorwar.6.DivisionofResponsibilitiesAmongThirdPartiesandOtherParties6.1.ResponsibilitiesofthePurchaser:Toprovideclearinstructionsandspecificationstothethirdpartiesregardingtheprocurement,quality,anddeliveryofthematerials.Tomonitortheperformanceofthethirdpartiesandensurethattheymeettherequirementsofthiscontract.ToresolveanydisputesthatmayarisebetweenthethirdpartiesandtheSupplier.6.2.ResponsibilitiesoftheSupplier:Toprovidethethirdpartieswithallnecessaryinformationandaccesstothematerialsfortheperformanceoftheirservices.ToensurethatthethirdpartieshavetheauthoritytoactonbehalfofthePurchaser.Toassistthethirdpartiesinresolvinganyissuesthatmayariseduringtheperformanceoftheirservices.6.3.ResponsibilitiesofThirdParties:ToperformtheirservicesinaccordancewiththetermsofthiscontractandtheinstructionsprovidedthePurchaserandtheSupplier.7.TerminationofThirdPartyInvolvement7.1.ReasonsforTermination:ThePurchaserortheSuppliermayterminatetheinvolvementofathirdpartyif:Thethirdpartyfailstoperformtheirservicesinaccordancewiththetermsofthiscontract.Thethirdpartybreachesanyapplicablelawsorregulations.7.2.NoticeofTermination:Anyterminationofathirdparty'sinvolvementshallbemadeinwritingandshallincludethereasonsfortermination.Thenoticeofterminationshallbeprovidedtothethirdpartyandtotheotherpartytothiscontract.7.3.ConsequencesofTermination:Uponterminationofathirdparty'sinvolvement,thePurchaserandtheSuppliershallensurethatalloutstandingobligationsunderthiscontractarefulfilledandthatanynecessaryarrangementsforthecontinuedperformanceofthecontractaremade.EndofPartII第三部分：OtherSupplementaryExplanationsandClarifications说明一：AttachmentList1.QualityCertificate:Thisdocumentshallcertifythatthematerialssuppliedmeettheagreeduponqualitystandards.Itmustbeissuedanindependentandrecognizedtestinglaboratory.2.InspectionReport:Theinspectionreportshalldetailthefindingsofthequalityinspectionconductedtheinspectors.Itmustincludethedateofinspection,thenameoftheinspector,andtheresultsoftheinspection.3.DeliveryNote:Thisdocumentshallserveasproofofdeliveryandshallincludethedateofdelivery,thequantityofmaterialsdelivered,andthesignatureoftherecipient.4.Invoice:Theinvoiceshalldetailthequantity,price,andtotalamountofthematerialssupplied.ItmustbeissuedtheSupplierandincludethePurchaser'spurchaseordernumber.5.PaymentReceipt:ThisdocumentshallserveasproofofpaymentmadethePurchasertotheSupplier.Itmustincludethedateofpayment,theamountpaid,andtheSupplier'saccountnumber.7.WarrantyCertificate:ThisdocumentshallprovidethewarrantytermsandconditionsofferedtheSupplierforthematerialssupplied.8.InsurancePolicy:Ifinsuranceisrequiredforthetransportationofthematerials,acopyoftheinsurancepolicymustbeprovided.10.CustomsDeclaration:Ifapplicable,thisdocumentshallbesubmittedtothecustomsauthoritiestofacilitatetheimportorexportofthematerials.说明二：BreachofContractandLiabilityDetermination1.NonPayment:IfthePurchaserfailstomakethepaymentwithintheagreedupontimeframe,theSuppliermaychargeinterestontheoverdueamountattherateof__________perannum.Example:IfthePurchaserfailstopaywithin30days,theSuppliermaychargeaninterestrateof2%permonthontheoverdueamount.2.LateDelivery:IftheSupplierfailstodeliverthematerialsontime,thePurchasermaydeductapenaltyfromthepaymentforeachdayofdelay.Example:Apenaltyof0.5%ofthetotalcontractvalueperdayofdelay
