ncewiththeinstructionsoftherespectiveparty.TheyshallnothaveanydirectownershiporcontrolovertheNetworkSecurityAssets.2.2Consultants:ConsultantsshallprovidetheirprofessionaladviceorservicesbasedonthespecificneedsoftheTransferorortheTransferee.Theiradviceorservicesshallbeusedatthesolediscretionoftherespectiveparty.3.RightsandResponsibilitiesofThirdParties4.LimitationofLiabilityforThirdParties4.1Intermediaries:TheliabilityofIntermediariesshallbelimitedtotheextentoftheirnegligenceorbreachofcontract.Theyshallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.4.2Consultants:TheliabilityofConsultantsshallbelimitedtotheextentoftheirnegligenceorbreachofcontract.Theyshallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.4.3ServiceProviders:TheliabilityofServiceProvidersshallbelimitedtotheextentoftheirnegligenceorbreachofcontract.Theyshallnotbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.5.ThirdPartyDisputes5.1IntheeventofadisputebetweenaThirdPartyandeithertheTransferorortheTransferee,thepartiesshallattempttoresolvethedisputeamicably.Ifthedisputecannotberesolvedwithin_______________(numberofdays),eitherpartymayseekresolutionthrougharbitrationorlitigation,asagreedupontheparties.5.2Thedecisionofthearbitratororthecourtshallbefinalandbindingonallparties,includingtheThirdParty.6.DelineationofResponsibilities6.1TheTransferorandtheTransfereeshallremainsolelyresponsiblefortheperformanceoftheirobligationsunderthisAgreement,includingthetransferoftheNetworkSecurityAssetsandthepaymentofthetransferprice.6.2ThirdPartiesshallhavenodirectobligationsunderthisAgreementbutshallperformtheirservicesinaccordancewiththetermsoftheirrespectiveagreementswiththeTransferorortheTransferee.6.3ThepartiesagreethatanyfailureaThirdPartytoperformtheirobligationsshallnotrelievetheTransferorortheTransfereeoftheirobligationsunderthisAgreement.7.Confidentiality7.1AllThirdPartiesinvolvedinthisAgreementshallbeboundtheconfidentialityprovisionsofthisAgreementandshallnotdiscloseanyconfidentialinformationtoanyunauthorizedthirdparty.7.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementandshallapplytoallconfidentialinformationdisclosedtotheThirdPartyinconnectionwiththisAgreement.8.Indemnification8.1TheTransferorandtheTransfereeshallindemnifyandholdharmlesstheThirdPartiesagainstanyclaims,actions,damages,liabilities,orexpensesarisingoutoforinconnectionwiththeNetworkSecurityAssetsorthetransferprocess,excepttotheextentcausedthenegligenceorintentionalmisconductoftheThirdParty.8.2TheindemnificationobligationsoftheTransferorandtheTransfereeshallnotapplytoanyclaims,actions,damages,liabilities,orexpensesarisingoutofthenegligenceorintentionalmisconductoftheThirdParty.第三部分：其他补充性说明和解释说明一：附件列表：1.TransferAgreement:ThisisthemaincontractdocumentdetailingthetermsandconditionsofthetransferoftheNetworkSecurityAssets.2.BillofSale:AdocumentthatevidencesthesaleoftheNetworkSecurityAssetsfromtheTransferortotheTransferee.3.IntellectualPropertyAssignment:AdocumentthatassignsallintellectualpropertyrightsrelatedtotheNetworkSecurityAssetstotheTransferee.4.ConfidentialityAgreement:AdocumentthatensurestheconfidentialityoftheNetworkSecurityAssetsandrelatedinformation.5.WarrantyDeed:AdocumentthatconfirmstheTransferor’sownershipoftheNetworkSecurityAssets.6.FinancialStatements:ThefinancialstatementsoftheTransferorthatverifythefinancialconditionoftheTransferoratthetimeofthetransfer.7.DueDiligenceReport:AreportdetailingthefindingsoftheduediligenceprocessconductedtheTransfereeoritsrepresentatives.8.ListofNetworkSecurityAssets:AdetailedlistofallNetworkSecurityAssetsbeingtransferred,includingsoftware,hardware,anddocumentation.9.TechnicalDocumentation:DocumentationrelatedtotheNetworkSecurityAssets,includinginstallationguides,usermanuals,andtechnicalspecifications.10.TrainingMaterials:MaterialsprovidedtheTransferortoassisttheTransfereeinunderstandingandoperatingtheNetworkSecurityAssets.DetailedRequirementsandDescriptions:TransferAgreement:MustbeexecutedboththeTransferorandtheTransfereeandshallincludealltermsandconditionsagreedupontheparties.BillofSale:MustclearlystatethedescriptionoftheNetworkSecurityAssetsandtheagreedupontransferprice.IntellectualPropertyAssignment:MustbelegallyenforceableandshallassignallrightsandinterestsintheintellectualpropertytotheTransferee.ConfidentialityAgreement:Mustbesignedallpartiesandshallincludeanondisclosureclauseandadurationclause.WarrantyDeed:MustbelegallybindingandshallconfirmtheTransferor’sownershipoftheNetworkSecurityAssets.FinancialStatements:Mustbepreparedinaccordancewithgenerallyacceptedaccountingprinciplesandshallbeauditedareputableauditor.说明二：违约行为及责任认定：1.FailuretoPayTransferPrice:IftheTransfereefailstopaythetransferpriceasagreeduponintheAgreement,theTransfereeshallbeinbreachofcontract.TheTransferorshallbeendtoterminatetheAgreementandshallbeendtorecoverthetransferpricefromtheTra
