塑料制品研发合作合同合同编号：__________PlasticProductsResearchandDevelopmentCooperationContractBETWEEN:[InsertNameofPartyA](Hereinafterreferredtoas"PartyA")AND[InsertNameofPartyB](Hereinafterreferredtoas"PartyB")WHEREAS,PartyAisengagedintheresearch,development,andproductionofplasticproducts;WHEREAS,PartyBhasexpertiseandexperienceinthefieldofplasticproductresearchanddevelopment;WHEREAS,PartyAdesirestocollaboratewithPartyBfortheresearchanddevelopmentofnewplasticproducts;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesheretoagreeasfollows:Article1:ScopeofResearchandDevelopment1.1PartyAshallprovidePartyBwiththenecessaryinformation,technicaldata,andmaterialsrelatedtotheresearchanddevelopmentofplasticproducts.1.2PartyBshallconductresearchanddevelopmentactivitiesinaccordancewiththerequirementsandspecificationsprovidedPartyA.1.3Theresearchanddevelopmentactivitiesshallinclude,butnotbelimitedto,thedesign,testing,andimprovementofplasticproducts.Article2:TermofCooperation2.2Eitherpartymayterminatethisagreementgivingwrittennoticetotheotherpartyatleast[insertnoticeperiod]priortotheexpirationoftheterm.Article3:Confidentiality3.1Bothpartiesshallmaintainstrictconfidentialitywithrespecttoallproprietaryinformationandtradesecretsexchangedbetweentheminconnectionwiththeresearchanddevelopmentactivities.3.2Neitherpartyshalldiscloseorusetheconfidentialinformationoftheotherpartyforanypurposeotherthantheperformanceofthisagreement.Article4:IntellectualPropertyRights4.1Anyinventions,improvements,orotherintellectualpropertyresultingfromtheresearchanddevelopmentactivitiesshallbeownedPartyA.4.2PartyBshallassignallright,,andinterestinandtoanyintellectualpropertycreatedordevelopedPartyBinconnectionwiththeresearchanddevelopmentactivitiestoPartyA.Article5:PaymentandCompensation5.1PartyAshallpayPartyBaroyaltyequalto[insertpercentage]ofthenetsalesoftheplasticproductsresultingfromtheresearchanddevelopmentactivities.5.2Thepaymentoftheroyaltyshallbemadewithin[inserttimeperiod]afterthesaleoftheplasticproducts.Article6:RepresentationsandWarranties6.1PartyArepresentsandwarrantsthatithastherighttoenterintothisagreementandthatPartyAisnotawareofanythirdpartyintellectualpropertyrightsthatwouldconflictwiththeresearchanddevelopmentactivities.6.2PartyBrepresentsandwarrantsthatithastheexpertiseandexperiencenecessarytoperformtheresearchanddevelopmentactivitiesinaccordancewiththerequirementsandspecificationsofPartyA.Article7:Indemnification7.1PartyAshallindemnifyandholdharmlessPartyBagainstanyandallclaims,damages,liabilities,andexpenses(includingattorney'sfees)arisingoutoforinconnectionwiththeresearchanddevelopmentactivities.7.2PartyBshallindemnifyandholdharmlessPartyAagainstanyandallclaims,damages,liabilities,andexpenses(includingattorney'sfees)arisingoutoforinconnectionwiththeperformanceofthisagreement.Article8:DisputeResolution8.1Anydisputesarisingoutoforinconnectionwiththisagreementshallberesolvednegotiationandconsultationbetweentheparties.8.2Ifthepartiesareunabletoresolvethedisputesthroughnegotiationandconsultation,eitherpartymaysubmitthedisputestoarbitrationinaccordancewiththerulesofthe[insertarbitrationinstitution].Article9:Miscellaneous9.1Thisagreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.9.2Thisagreementconstitutestheentireunderstandingbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.INWITNESSWHEREOF,thepartieshaveexecutedthisagreementasofthedatefirstabovewritten.[SignatureofPartyA]Name:Title:[SignatureofPartyB]Name:Title:一、附件列表：1.塑料制品研发合作合同2.研发项目计划书3.研发预算明细表4.知识产权归属确认书5.保密协议6.技术规范和标准7.质量检验报告8.销售数据报告二、违约行为及认定：1.PartyA未能提供完整的技术资料和信息，导致研发进度延迟。2.PartyB未能按照约定的时间完成研发任务。3.PartyA未能按时支付研发费用或专利使用费。4.PartyB未能保密PartyA的商业机密和技术秘密。5.研发成果的知识产权归属发生争议。三、法律名词及解释：1.研发合作：双方共同进行科学研究和技术开发的活动。2.知识产权：包括专利权、著作权、商标权等权利。3.保密协议：双方约定对特定信息保密的协议。4.违约：违反合同约定的行为。5.赔偿：因违约行为而需要支付的补偿。四、执行中遇到的问题及解决
