鉴于甲方是专业的出口商品供应商，乙方有购买甲方出口商品的需求，双方本着平等互利的原则，经过充分协商，达成如下合同条款：

第一条合同标的

1.2上述商品应符合中华人民共和国出口商品质量标准，并满足乙方的特定要求。

第二条价格条款

2.1本合同采用FOB（离岸价）条款，即甲方在指定装运港将商品装上船后，商品的风险和费用即转移至乙方。

2.2价格条款应遵循《国际贸易术语解释通则》（Incoterms）的最新版本。

第三条支付方式

3.1乙方应在合同签订后____天内支付____%的预付款至甲方指定账户。

3.2剩余____%的货款应在商品装船后____天内通过不可撤销的信用证支付给甲方。

第四条质量保证

4.1甲方保证所提供的商品符合合同规定的规格和质量要求。

4.2如商品在交货后____天内出现质量问题，乙方有权要求甲方免费更换或修复。

第五条包装和标记

5.1商品应按照行业标准进行包装，确保在运输过程中的安全。

5.2每个包装上应清晰标记商品名称、规格型号、数量、生产日期和“易碎”、“防潮”等必要的警示标志。

第六条运输和保险

6.1甲方负责安排商品的运输，并承担至装运港的费用。

6.2乙方负责购买运输保险，并承担相应的保险费用。

第七条装运通知

7.1甲方应在商品装船后____小时内通知乙方装运详情，包括船名、航次、预计到达时间等。

第八条检验和索赔

8.1乙方应在收到商品后____天内进行检验，如发现商品不符合合同规定，应在检验后____天内提出书面索赔。

8.2甲方应在收到索赔通知后____天内给予答复，并采取相应的补救措施。

第九条不可抗力

9.1如因不可抗力事件导致任何一方无法履行合同义务，该方应立即通知对方，并提供相应的证明。

9.2不可抗力事件包括但不限于自然灾害、战争、政府行为等，双方应协商解决合同的履行问题。

第十条争议解决

10.1双方应通过友好协商解决合同执行过程中出现的任何争议。

10.2如协商不成，双方同意将争议提交至甲方所在地的仲裁委员会，按照该委员会的仲裁规则进行仲裁。

第十一条合同的修改和终止

11.1本合同的任何修改和补充均需双方书面同意。

11.2如一方严重违反合同条款，另一方有权终止合同，并要求违约方赔偿损失。

第十二条法律适用

12.1本合同的订立、解释、履行及争议解决均适用中华人民共和国法律。

第十三条其他

13.1本合同一式两份，甲乙双方各执一份，具有同等法律效力。

Article2PriceTerms

2.2Thepricetermsshallbegovernedbythelatestversionofthe"Incoterms".

Article3ModeofPayment

3.1PartyBshallpay____%oftheadvancepaymenttotheaccountdesignatedbyPartyAwithin____daysafterthesigningoftheContract.

3.2Theremaining____%ofthepaymentshallbemadetoPartyAthroughanirrevocableletterofcreditwithin____daysafterthegoodsareshipped.

Article4QualityAssurance

4.1PartyAguaranteesthatthegoodsprovidedshallconformtothespecificationsandqualityrequirementsstipulatedintheContract.

4.2Ifthegoodsarefoundtobedefectivewithin____daysafterdelivery,PartyBshallhavetherighttodemandthatPartyAreplaceorrepairthegoodsfreeofcharge.

Article5PackagingandMarking

5.1Thegoodsshallbepackagedaccordingtoindustrystandardstoensuresafetyduringtransportation.

5.2Eachpackageshallbeclearlymarkedwiththenameofthegoods,specificationsandmodel,quantity,productiondate,andnecessarywarningsignssuchas"Fragile"and"KeepAwayfromMoisture".

Article6TransportationandInsurance

6.1PartyAshallberesponsibleforarrangingthetransportationofthegoodsandbearingthecoststotheportofloading.

6.2PartyBshallberesponsibleforpurchasingtransportationinsuranceandbearingthecorrespondinginsurancecosts.

Article7ShippingNotice

7.1PartyAshallnotifyPartyBoftheshippingdetails,includingthenameoftheship,voyagenumber,andestimatedarrivaltime,within____hoursafterthegoodsareloaded.

Article8InspectionandClaims

8.1PartyBshallinspectthegoodswithin____daysafterreceiptand,ifthegoodsdonotconformtotheContract,shallmakeawrittenclaimwithin____daysafterinspection.

8.2PartyAshallrespondtotheclaimwithin____daysafterreceivingthenoticeandtakecorrespondingremedialmeasures.

Article9ForceMajeure

9.1Ifeitherpartyisunabletofulfillitscontractualobligationsduetoforcemajeureevents,thatpartyshallimmediatelynotifytheotherpartyandprovidecorrespondingproof.

9.2Forcemajeureeventsincludebutarenotlimitedtonaturaldisasters,wars,andgovernmentactions.BothpartiesshallnegotiatetoresolvetheperformanceoftheContract.

Article10DisputeResolution

10.1AnydisputesarisingduringtheexecutionoftheContractshallberesolvedthroughfriendlyconsultation.

10.2Ifconsultationfails,bothpartiesagreetosubmitthedisputetothearbitrationcommissionatthelocationofPartyA,andthedisputeshallberesolvedinaccordancewiththearbitrationrulesofthatcommission.

Article11ModificationandTerminationoftheContract

11.1AnymodificationorsupplementtothisContractshallrequirethewrittenconsentofbothparties.

11.2IfonepartyseriouslybreachesthetermsoftheContract,theotherpartyhastherighttoterminateth
