LANDLEASEAGREEMENT

ThisLandLeaseAgreement(the"Agreement")ismadeandenteredintoasof[InsertDate](the"EffectiveDate"),byandbetween[InsertLessor'sName],a[InsertLessor'sState]entitywithitsprincipalplaceofbusinessat[InsertLessor'sAddress](hereinafterreferredtoas"Lessor"),and[InsertLessee'sName],a[InsertLessee'sState]entitywithitsprincipalplaceofbusinessat[InsertLessee'sAddress](hereinafterreferredtoas"Lessee").

WHEREAS,LessoristhelegalownerofthelanddescribedinExhibitAattachedhereto(the"Premises")anddesirestoleasethePremisestoLesseeforthepurposessetforthherein;and

WHEREAS,LesseedesirestoleasethePremisesfromLessorforthepurposessetforthherein.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedinthisAgreement,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,LessorandLesseeagreeasfollows:

1.LeaseofPremises

LessorherebyleasestoLessee,andLesseeherebyleasesfromLessor,thePremisesforthetermandsubjecttotheconditionssetforthinthisAgreement.

2.TermofLease

ThetermofthisAgreement(the"Term")shallcommenceontheEffectiveDateandshallcontinueforaperiodof[InsertNumber]years,unlesssoonerterminatedinaccordancewiththeprovisionsofthisAgreement.

3.Rent

LesseeshallpaytoLessoramonthlyrentof[InsertAmount](the"Rent"),whichshallbedueandpayableonthefirstdayofeachmonthduringtheTerm.TheRentshallbepaidtoLessorat[InsertLessor'sAddress]orsuchotherplaceasLessormaydesignateinwriting.

4.SecurityDeposit

LesseeshallpaytoLessorasecuritydepositintheamountof[InsertAmount](the"SecurityDeposit")withinten(10)daysaftertheEffectiveDate.TheSecurityDepositshallbeheldbyLessorassecurityfortheperformancebyLesseeofalltheterms,covenants,andconditionsofthisAgreement.UpontheexpirationorearlierterminationoftheTerm,LessorshallreturntheSecurityDeposittoLessee,orapplyittoanyamountsduefromLesseeunderthisAgreement,subjecttoanylawfuldeductions.

5.UseofPremises

LesseeshallusethePremisesonlyfor[InsertPermittedUse],andshallnotusethePremisesforanyotherpurposewithoutthepriorwrittenconsentofLessor.

6.MaintenanceandRepairs

LesseeshallkeepthePremisesingoodrepair,condition,andcleanliness,andshallpromptlymakeallnecessaryrepairs,atLessee'sexpense,tothePremises.LessorshallberesponsibleforthemaintenanceandrepairofthestructuralcomponentsofthePremisesandanyotheritemsspecifiedinExhibitBattachedhereto.

7.Insurance

LesseeshallmaintaininfullforceandeffectduringtheTermcommercialgeneralliabilityinsurancewithminimumlimitsof[InsertAmount]peroccurrenceand[InsertAmount]intheaggregate,andpropertyinsurancecoveringthePremiseswithareplacementcostvalueof[InsertAmount].LesseeshallprovideLessorwithcertificatesofinsuranceevidencingtherequiredcoverages.

8.TaxesandAssessments

Lesseeshallpayalltaxes,assessments,andothergovernmentalchargesleviedagainstthePremises,exceptforrealpropertytaxes,whichshallbepaidbyLessor.

9.SublettingandAssignment

LesseeshallnotsubletthePremisesorassignthisAgreementwithoutthepriorwrittenconsentofLessor,whichconsentshallnotbeunreasonablywithheld.

10.Default

IfLesseefailstopaytheRentwhendue,orotherwisebreachesanytermofthisAgreement,LessormaygivewrittennoticetoLesseespecifyingthedefaultandrequiringcurewithin[InsertNumber]daysafterthenoticeisgiven.Ifthedefaultisnotcuredwithinsuchperiod,LessormayterminatethisAgreementandrecoverpossessionofthePremises.

11.Termination

ThisAgreementmaybeterminatedbyeitherpartyupon[InsertNumber]days'writtennoticetotheotherparty,providedthattheterminatingpartyisnotindefaultunderthisAgreement.

12.HoldHarmless

Lesseeshallindemnify,defend,andholdLessorharmlessfromandagainstanyandallclaims,demands,suits,orjudgments,includingreasonableattorney'sfees,arisingoutoforrelatedtoLessee'suseoroccupancyofthePremises,excepttotheextentcausedbyLessor'snegligenceorwillfulmisconduct.

13.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[InsertState],withoutregardtoitsconflictoflawsprovisions.

14.Attorney'sFees

IntheeventofanyactionorproceedingtoenforceorinterpretthetermsofthisAgreement,theprevailingpartyshallbeentitledtorecoverreasonableattorney'sfeesandcosts.

15.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenLessorandLesseewithrespecttothesubjectmatterhereof,andsupersedesallpriorandcontemporaneousagreements,understandings,andnegotiations,whetheroralorwritten.

16.ModificationandWaiver

ThisAgreementmaynotbeamended,modified,orsupplementedexceptbyawritteninstrumentsignedbybothLessorandLessee.NowaiverofanyprovisionofthisAgreementorconsenttoanydeparturetherefromshallbeeffectiveunlessgiveninwritingandsignedbythepartyagainstwhomenforcementissought.

17.SuccessorsandAssigns

ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.

18.Notices

Allnotices,demands,andothercommunicationsrequiredorpermittedhereundershallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonallyormailedby
