ntheEmployeeTheEmployeemayterminatethisAgreementgivingtheEmployer(NumberofDays)days'writtennotice.8.3NoticePeriodDuringthenoticeperiod,theEmployeeshallcontinuetoperformtheirdutiesandreceivetheirregularsalaryandbenefits.8.4TerminationBenefitsUponterminationofthisAgreement,theEmployeeshallbeendtoanyaccruedbutunusedannualleaveandanyotherbenefitstowhichtheyareendundertheEmployer'spoliciesandprocedures.9.GoverningLawandDisputeResolution9.1GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof(Jurisdiction).9.2DisputeResolutionAnydisputearisingoutoforinconnectionwiththisAgreementshallbesettledamicablymutualnegotiation.Ifthedisputecannotberesolvedamicably,itshallbereferredtoarbitrationin(Location)undertherulesofthe(ArbitrationInstitution).10.EntireAgreementThisAgreementconstitutestheentireagreementbetweentheEmployerandtheEmployeeandsupersedesallprioragreements,representations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.11.ModificationandWaiverAnymodificationorwaiverofanyprovisionofthisAgreementshallbeeffectiveonlyifitisinwritingandsignedbothparties.12.AssignmentTheEmployeemaynotassignthisAgreementwithoutthepriorwrittenconsentoftheEmployer.13.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,orgovernmentalactions.14.OtherProvisions14.1NoPartnershipNothinginthisAgreementshallbeconstruedascreatingapartnershiporjointventurebetweentheEmployerandtheEmployee.14.2NoEmploymentRelationshipNothinginthisAgreementshallbedeemedtocreateanemploymentrelationshipbetweentheEmployerandtheEmployee.14.3HeadingsTheheadingsinthisAgreementareforconvenienceonlyandshallnotaffecttheinterpretationofthisAgreement.14.4severabilityIfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.14.5CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.第二部分:第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposesofthisAgreement,"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnotapartytothisAgreementbutisengagedeithertheEmployerortheEmployeeforthepurposeofprovidingservices,advice,orassistanceinconnectionwiththeEmployee'semployment.15.2TypesofThirdPartyInvolvement15.2.1ServiceProvidersTheEmployermayengageThirdPartiesasserviceproviderstoassistwiththeEmployee'sduties,suchasmarketingagencies,consultants,ortechnicalsupportvendors.15.2.2IntermediariesTheEmployerortheEmployeemayuseThirdPartiesasintermediariesinthehiringprocess,suchasrecruitmentagenciesorheadhunters.15.2.3LegalandProfessionalServicesTheEmployerortheEmployeemayretainThirdParties,suchaslawyersoraccountants,toprovidelegal,financial,orotherprofessionalservices.15.3ResponsibilitiesofThirdParties15.3.1CompliancewithLaws15.3.2ConfidentialityThirdPartiesshallmaintaintheconfidentialityofallinformationreceivedfromtheEmployerortheEmployeeandshallnotdisclosesuchinformationtoanyunauthorizedthirdparty.15.3.3PerformanceStandards15.4RightsoftheEmployerandEmployee15.4.1RighttoApproveTheEmployerortheEmployeeshallhavetherighttoapproveorrejectanyThirdPartybeforetheyareengaged.15.4.2RighttoMonitorTheEmployerortheEmployeeshallhavetherighttomonitortheperformanceofThirdPartiesandtorequestadditionalinformationordocumentationasnecessary.15.5LimitationofLiability15.5.1GeneralLimitationTheliabilityofanyThirdPartyarisingoutoforinconnectionwiththeirservicesunderthisAgreementshallbelimitedtothescopeoftheirservicesandshallnotextendtoanyactsoromissionsoftheEmployerortheEmployee.15.5.2IndemnificationTheEmployerortheEmployeeshallindemnifyandholdharmlesstheotherpartyandanyThirdPartyagainstanyclaims,losses,ordamagesarisingoutoforinconnectionwiththeservicesprovidedaThirdParty,totheextentsuchclaims,losses,ordamagesarecausedthenegligenceorwillfulmisconductoftheindemnifyingparty.15.6ThirdPartyContracts15.6.1SeparateAgreementsAnyengagementofaThirdPartyshallbesubjecttoaseparateagreementbetweentheEmployerortheEmployeeandtheThirdParty,whichshallincludetermsandconditionsthatareconsistentwiththeprovisionsofthisAgreement.15.6.2IntegrationThetermsandconditionsofanyseparateagreementwithaThirdPartyshallbedeemedtobeincorporatedintothisAgreementtotheextenttheydonotconflictwiththeprovisionsofthisAgreement.15.7DisputeResolutionAnydisputearisingoutoforinconnectionwiththeengagementofaThirdPartyshallberesolvedinaccordancewiththedisputeresolutionprovisionsofthisAgreement.15.8TerminationofThirdPartyInvolvement15.8.1Employer'sRighttoTerminateTheEmployermayterminatetheinvolvementofaThirdPartyatanytime,upongiving(NumberofDays)days'writtennoticetotheThirdParty.15.8.2Employee'sRighttoTerminateTheEmployeemayterminatetheinvolvementofaThirdPartyatanytime,upongiving(NumberofDays)days'writtennoticetotheEmployerandtheThirdParty.15.9ThirdPartyDataProtection15.9.1DataPrivacy15.9.2DataP
