2.2Paymentshallbemadeinaccordancewiththepaymenttermsspecifiedintheattached"PaymentSchedule"document(hereinafterreferredtoas"AttachmentC").
3.DeliveryandAcceptance
3.1TheGoods/ServicesshallbedeliveredtothelocationspecifiedbyPartyBinAttachmentAwithinthetimeframeagreeduponbybothparties.
3.2PartyBshallinspectandaccepttheGoods/Servicesupondeliveryinaccordancewiththetermsandconditionssetforthintheattached"AcceptanceCriteria"document(hereinafterreferredtoas"AttachmentD").
4.WarrantiesandLiability
4.1PartyAwarrantsthattheGoods/ServiceswillbefreefromdefectsandwillconformtothespecificationssetforthinAttachmentA.
4.2Intheeventofabreachofwarranty,PartyAshall,atitssolediscretion,repair,replace,orrefundthepriceofthedefectiveGoods/Services.
5.IntellectualPropertyRights
5.1PartyAshallretainallrights,title,andinterestinandtotheintellectualpropertyrightsassociatedwiththeGoods/Services.
5.2PartyBshallnotuse,copy,ordistributeanyintellectualpropertyrightsassociatedwiththeGoods/ServiceswithoutthepriorwrittenconsentofPartyA.
6.GoverningLawandDisputeResolution
6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
6.2AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughnegotiationbetweentheparties.Ifthepartiesfailtoreacharesolutionwithin[timeperiod],thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
7.EntireAgreement
7.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.
8.Attachments
ThefollowingdocumentsareattachedheretoandincorporatedhereinaspartofthisAgreement:

2.1.4ReceiveprogressreportsandinvoicesfromPartyB.
2.2PartyA'sobligationsinclude:
2.2.1Paytheagreed-uponfeestoPartyBfortheGoods/Servicesprovided.
2.2.2ProvidenecessaryinformationandassistancetoPartyBforthesuccessfulcompletionoftheGoods/Services.
2.2.3EnsurethatPartyBhastheauthoritytoenterintothisAgreementonbehalfofThirdParty.
3.PartyB'sRightsandObligations
3.1PartyB'srightsinclude:
3.1.1ReceivepaymentfortheGoods/ServicesprovidedinaccordancewiththetermsofthisAgreement.
3.1.2BeprovidedwithnecessaryinformationandassistancebyPartyAtoperformtheGoods/Services.
3.2PartyB'sobligationsinclude:
3.2.1PerformtheGoods/Servicesinaprofessionalandtimelymanner.
3.2.2Complywithallapplicablelaws,regulations,andstandardsintheprovisionoftheGoods/Services.
3.2.3NotifyPartyAandThirdPartyofanydelaysorissuesthatmayaffecttheperformanceoftheGoods/Services.
4.ThirdParty'sRightsandObligations
4.1ThirdParty'srightsinclude:
4.1.1ReceivetheGoods/ServicesfromPartyBasagreeduponinthisAgreement.
4.1.2InspectandaccepttheGoods/ServicesupondeliveryinaccordancewiththetermsandconditionssetforthinAttachmentD.
4.2ThirdParty'sobligationsinclude:
4.2.1Paytheagreed-uponfeestoPartyAfortheGoods/ServicesreceivedfromPartyB.
4.2.2ProvidenecessaryinformationandassistancetoPartyAandPartyBforthesuccessfulcompletionoftheGoods/Services.
5.ThirdParty's违约及限制条款
5.1IntheeventthatThirdPartyfailstocomplywithitsobligationsunderthisAgreement,PartyAreservestherightto:
5.1.1TerminatethisAgreementwithimmediateeffect.
5.1.2ClaimdamagesfromThirdPartyforanylossesincurredasaresultofthebreach.
5.2ThirdPartyagreesthatitshallnotdiscloseanyconfidentialinformationobtainedfromPartyAorPartyBwithoutthepriorwrittenconsentofbothparties.
6.GoverningLawandDisputeResolution
6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

3.ThirdParty'sRightsandObligations

3.1.2TohaveaccesstothenecessaryinformationfromPartyAtofacilitatethedeliveryoftheGoods/Services.
3.2ThirdParty'sobligationsinclude:
3.2.1TodelivertheGoods/Servicestotheend-userinatimelyandefficientmanner.
3.2.2Tocomplywithallapplicablelaws,regulations,andstandardsinthedeliveryoftheGoods/Services.
3.2.3TonotifyPartyAandPartyBofanydelaysorissuesthatmayaffectthedeliveryoftheGoods/Services.
4.PartyA's违约及限制条款
4.1IntheeventthatPartyAfailstocomplywithitsobligationsunderthisAgreement,PartyBreservestherightto:
4.1.1TerminatethisAgreementwithimmediateeffect.
4.1.2ClaimdamagesfromPartyAforanylossesincurredasaresultofthebreach.
4.2PartyAagreesthatitshallnotunreasonablywithholdpaymentfortheGoods/ServicesprovidedbyPartyB.
5.Confidentiality

6.GoverningLawandDisputeResolution
