nstruedinaccordancewiththelawsof[Jurisdiction].10.2ArbitrationAnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].10.3JurisdictionThePartiesagreethatanylegalactionorproceedingarisingoutoforinconnectionwiththisAgreementshallbebroughtexclusivelyinthecourtsof[Jurisdiction].11.MiscellaneousProvisions11.1ForceMajeureNeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol.11.2EntireAgreementThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.11.3AssignmentandnovationTheBorrowermaynotassignornovatethisAgreementwithoutthepriorwrittenconsentoftheLender.11.4AmendmentsAnyamendmenttothisAgreementshallbeinwritingandexecutedbothParties.12.Signatures12.1Parties'SignaturesThisAgreementshallbeexecutedthePartiestheirdulyauthorizedrepresentatives.12.2WitnessSignaturesThisAgreementshallbewitnessed[Number]witness(es),whoshallsigntheAgreementaswitnesses.13.Appendices13.1LoanApplicationTheLoanApplicationsubmittedtheBorrowertotheLenderishereincorporatedintothisAgreementreference.13.2FinancialStatementsTheBorrower'sfinancialstatementssubmittedtotheLenderinconnectionwiththeLoanApplicationarehereincorporatedintothisAgreementreference.14.Attachment14.1AdditionalAgreementsandDocumentsAnyadditionalagreementsanddocumentsreferencedinthisAgreementarehereincorporatedintothisAgreementreference.第二部分:第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposesofthisAgreement,a"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnotaPartytothisAgreementbutisinvolvedinthetransaction,includingbutnotlimitedtorealestateagents,appraisers,inspectors,lawyers,consultants,andanyotherserviceproviders.15.2IntroductionofThirdPartyThePartiesmay,attheirsolediscretion,involveThirdPartiesinthetransactioninaccordancewiththetermsofthisAgreement.TheinvolvementofaThirdPartyshallbesubjecttothepriorwrittenconsentofbothParties.15.3RolesandResponsibilitiesofThirdPartyTherolesandresponsibilitiesoftheThirdPartyshallbedefinedinaseparateagreementbetweentheThirdPartyandtheParties.Thisagreementshallinclude,butnotbelimitedto,thefollowing:ThespecificservicestobeprovidedtheThirdParty.Thetimelinesfortheprovisionofservices.Thefeesandcostsassociatedwiththeservices.TheconfidentialityobligationsoftheThirdParty.16.AdditionalTermsforPartiesuponThirdPartyInvolvement16.1Communication16.3ThirdPartyPerformanceThePartiesshallhavetherighttoterminatetheinvolvementofaThirdPartyiftheThirdPartyfailstoperformitsobligationsorifitsperformanceisunsatisfactory.17.LimitationofLiabilityforThirdParty17.1ResponsibilityLimitationTheliabilityoftheThirdPartyforitsactionsoromissionsunderthisAgreementshallbelimitedtothescopeofitsobligationsassetforthintheseparateagreementwiththeParties.17.2ExclusionofCertainLiabilitiesTheliabilityoftheThirdPartyforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreementshallbeexcludedtothefullestextentpermittedlaw.18.ThirdPartyIndemnification18.1IndemnificationThirdPartyTheThirdPartyshallindemnifythePartiesagainstanyloss,damage,orliabilityarisingoutoforinconnectionwiththeThirdParty'sbreachofitsobligationsunderthisAgreement.18.2IndemnificationPartiesThePartiesshallindemnifyeachotheragainstanyloss,damage,orliabilityarisingoutoforinconnectionwiththeirownbreachesofthisAgreement.19.ThirdPartyInsurance19.1RequirementforInsuranceTheThirdPartyshallmaintainappropriateinsurancecoverageforitsactivitiesunderthisAgreement,includingprofessionalliabilityinsurance.19.2InsuranceCoverageDetailsTheinsurancecoverageshallbeinanamountsufficienttoprotectthePartiesagainstanyclaimsthatmayarisefromtheThirdParty'sactionsoromissions.20.DisputeResolutionwithThirdParty20.1GoverningLawAnydisputearisingbetweenthePartiesandtheThirdPartyinconnectionwiththisAgreementshallbegovernedthelawsof[Jurisdiction].20.2ArbitrationorLitigationThePartiesandtheThirdPartyshallresolveanydisputesthrougharbitrationinaccordancewiththerulesofthe[ArbitrationInstitution]orthroughlitigationinthecourtsof[Jurisdiction],asmutuallyagreedupon.21.TerminationofThirdPartyInvolvement21.1TerminationConditionsTheinvolvementoftheThirdPartymaybeterminatedeitherPartyupontheoccurrenceofanyofthefollowingevents:BreachoftheThirdParty'sobligationsundertheseparateagreement.Failuretomeettheperformancestandardsagreedupon.AnymaterialchangeinthecircumstancesthatwouldrendertheThirdParty'sinvolvementnolongerbeneficial.21.2NoticeofTerminationAnyterminationoftheinvolvementoftheThirdPartyshallbeeffectiveuponthereceiptofwrittennoticetheotherParty.第三部分:其他补充性说明和解释说明一:附件列表:1.LoanApplication要求:详细填写借款人信息、借款目的、借款金额、还款计划等。说明:此附件用于证明借款人的资格和贷款申请的具体内容。2.FinancialStatements要求:提供借款人最近的财务报表,包括资产负债表、利润表和现金流量表。说明:此附件用于评估借款人的财务状况和还款能力。3.RealEstatePropertyDescription要求:详细描述房地产的地理位置、面积、建筑结构、用途等。说明:此附件用于明确贷款用途和抵押物的具体信息。4.SecurityAgreement要求:明确抵押物的详细信息、抵押权人的权利和义务。说明:此附件作为抵押合同的一部分,用于确保贷款的安全性。5.Guar
