sibleorthepartiesoptoutofarbitration,anylegalactionarisingoutoforinconnectionwiththisContractshallbebroughtexclusivelyinthecourtsof[Jurisdiction].8.4.2Thepartiesheresubmittothejurisdictionofsuchcourts.9.MiscellaneousProvisions9.1AmendmentsAnyamendmenttothisContractshallbeinwritingandexecutedbothparties.9.2AssignmentThisContractmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.9.3WaiverThefailureofeitherpartytoenforceanyprovisionofthisContractshallnotbedeemedawaiverofsuchprovision.9.4ForceMajeureNeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,orgovernmentalactions.9.5EntireAgreementThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.10.ExecutionandEffectiveDate10.1ExecutionThisContractmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.10.2EffectiveDate11.LanguageoftheContractThisContractisexecutedin[Language]andbothpartiesacknowledgethattheyhavereadandunderstoodtheContractin[Language].12.NoticesandCorrespondence12.1DeliveryAllnoticesandcorrespondencerequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredtotherespectivepartiesattheirlastknownaddressesorfacsimilenumbers.12.2EffectiveDateNoticesandcorrespondenceshallbedeemedtohavebeenreceivedonthedateofdeliveryorthenextbusinessdayifdeliveredafternormalbusinesshours.13.SurvivalofObligationsTheobligationsofthepartiesunderthisContractshallsurvivetheterminationorexpirationofthisContract.14.GoverningLawandJurisdiction14.1GoverningLawThisContractshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].14.2JurisdictionAnylegalactionarisingoutoforinconnectionwiththisContractshallbebroughtexclusivelyinthecourtsof[Jurisdiction].第二部分:第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposeofthisContract,a"ThirdParty"referstoanyindividual,entity,ororganizationthatisnotapartytothisAgreementbutisinvolvedinthetransactionorrequiredfortheperformanceoftheContract.Thisincludesbutisnotlimitedtorealestateagents,lawyers,consultants,appraisers,lenders,andinspectors.15.2IntroductionofThirdParties15.2.1Thepartiesmay,attheirdiscretion,involveThirdPartiesinthetransactiontoassistwiththeperformanceoftheirobligationsunderthisContract.15.2.2AnyThirdPartyinvolvedinthetransactionshallbeintroducedeitherpartyandshallbeagreeduponbothpartiespriortotheirinvolvement.15.3RoleandResponsibilitiesofThirdParties15.3.1EachThirdPartyshallperformtheirdutiesinaccordancewiththetermsoftheirengagementandthespecificrequirementsofthisContract.15.3.2TheresponsibilitiesofThirdPartiesshallbeclearlydefinedintheirengagementagreementswiththepartiesinvolved.15.4ThirdParty'sObligations15.4.1ThirdPartiesshallactingoodfaithandwithduediligenceintheperformanceoftheirduties.15.4.2ThirdPartiesshallkeepconfidentialanyinformationdisclosedtothemthepartiesandshallnotusesuchinformationforanypurposeotherthantheperformanceoftheirdutiesunderthisContract.15.5ThirdParty'sLiability15.5.1TheliabilityofaThirdPartyforanyactoromissionshallbesolelygovernedthetermsoftheirengagementandapplicablelaws.15.5.2ThepartiesagreethattheliabilityofanyThirdPartyshallbelimitedtotheextentpermittedlawandshallnotexceedtheamountspecifi
