bligationsa.TheBuyershallprovideanyrequireddocumentationorinformationtotheThirdPartiespromptlyandaccurately.b.TheBuyershallcooperatewiththeThirdPartiesintheperformanceoftheirduties.4.LiabilityLimitationofThirdParties4.1TheliabilityofThirdPartiesfortheiractionsoromissionsintheperformanceoftheirdutiesunderthisContractshallbegovernedthetermsoftheirrespectiveagreementsorcontracts.4.2TheSellerandBuyershallnotholdeachotherliablefortheactionsoromissionsofThirdPartiesunlesssuchactionsoromissionsaretheresultofthenegligenceorwillfulmisconductoftheSellerorBuyer.5.ThirdPartyIntermediaries5.1RealEstateAgentsandBrokersa.Ifarealestateagentorbrokerisinvolved,theyshallactasintermediariesbetweentheSellerandBuyerandfacilitatethetransaction.b.TherealestateagentorbrokershalldiscloseanyconflictsofinterestorfinancialincentivestheymayhavetotheSellerandBuyer.5.2Lendersa.Ifalenderisinvolved,theyshallprovidefinancingtotheBuyer.b.Thelender'sobligationsshallbegovernedthetermsofthemortgageorloanagreement.5.3InspectorsandAppraisersa.InspectorsandappraisersshallperformtheirrespectiveservicestoassesstheconditionandvalueoftheProperty.b.TheirfindingsandreportsshallbeprovidedtotheSellerandBuyer,andtheyshallberesponsiblefortheaccuracyoftheirwork.6.DivisionofResponsibilities6.1Seller'sResponsibilitiesb.SellershallprovidenecessarydocumentationandaccesstothePropertyforinspectionsandappraisals.6.2Buyer'sResponsibilitiesa.BuyershallobtainnecessaryfinancingandfulfillallfinancialobligationsasagreeduponinthisContract.b.BuyershallcooperatewithallThirdPartiesintheperformanceoftheirduties.6.3ThirdPartyResponsibilitiesa.ThirdPartiesshallperformtheirserviceswithduediligenceandinaccordancewithapplicablelawsandregulations.b.ThirdPartiesshallmaintainconfidentialityofanyConfidentialInformationprovidedtheSellerandBuyer.7.ThirdPartyDisputeResolution7.1IfadisputearisesbetweentheSeller,Buyer,andaThirdParty,thepartiesshallattempttoresolvethedisputeamicably.7.2Ifanamicableresolutioncannotbereached,thepartiesmayseekresolutionthrougharbitrationorlitigation,asprovidedforintherespectiveagreementsorcontracts.8.Indemnification8.1SellerandBuyershallindemnifyandholdeachotherharmlessfromanyclaims,liabilities,ordamagesarisingfromtheactionsoromissionsofThirdParties,exceptasaresultoftheirownnegligenceorwillfulmisconduct.9.ThirdPartyInsurance9.1EachThirdPartyshallmaintainappropriateinsurancecoveragetoprotectagainstanyliabilityarisingfromtheirservices.10.ThirdPartyTermination10.1IfaThirdPartyfailstoperformtheirdutiesorbreachestheirobligationsunderthisContract,theSellerorBuyermayterminatetheirengagementwiththatThirdParty,subjecttothetermsoftheirrespectiveagreementsorcontracts.11.ThirdPartySubstitution11.
