b."Schedule1"shallmeantheScheduleofGoodsattachedhereto,whichisincorporatedhereinbythisreference.

c."ContractPrice"shallmeanthetotalpricepayablebytheBuyerfortheGoods,asspecifiedinSchedule1.

d."DeliveryDate"shallmeanthedateonwhichtheGoodsaretobedeliveredtotheBuyer,asspecifiedinSchedule1.

e."ForceMajeure"shallmeananyeventorcircumstancebeyondthereasonablecontrolofeitherparty,including,butnotlimitedto,actsofGod,war,civilunrest,actsofterrorism,governmentactions,labordisputes,ornaturaldisasters.

2.SupplyofGoods

a.TheSellershallsupplytheGoodstotheBuyerinaccordancewiththespecificationsandquantitiessetforthinSchedule1.

b.TheSellershallensurethattheGoodscomplywithallapplicablelaws,regulations,andstandards.

c.TheSellershalldelivertheGoodstotheBuyerattheBuyer'sdesignateddeliveryaddressonorbeforetheDeliveryDate.

3.Payment

a.TheBuyershallpaytheContractPricetotheSellerwithin[NumberofDays]daysofthedateoftheinvoiceissuedbytheSeller.

b.TheContractPriceshallbepayablein[Currency]andshallbesubjectto[Percentage]percentageofVAT.

c.TheBuyershallmakeallpaymentstotheSellerwithoutanydeduction,set-off,orcounterclaim.

4.Warranties

a.TheSellerwarrantsthattheGoodsshallbeofgoodquality,merchantable,andfreefromanydefectsordefectsthatwouldreasonablybeexpectedingoodsofthesametypeandforthesamepurpose.

b.TheSellerwarrantsthattheGoodsshallconformtothespecificationsandrequirementssetforthinSchedule1.

c.ThewarrantiesgivenbytheSellershallsurvivedeliveryoftheGoodsandshallbeenforceableforaperiodof[NumberofYears]yearsfromthedateofdelivery.

5.Liability

a.TheSellershallbeliabletotheBuyerforanybreachofwarrantyorconditionofthisAgreement,includinganydamageorlossarisingfromtheuseorinabilitytousetheGoods.

b.TheSeller'sliabilitytotheBuyerforanybreachofwarrantyorconditionofthisAgreementshallbelimitedtotheContractPrice.

c.TheBuyershallnotbeentitledtoanyclaimfordamagesoranyotherremedyarisingfromanycausebeyondthereasonablecontroloftheSeller,includingForceMajeure.

6.IntellectualProperty

a.TheBuyershallacquirenorights,title,orinterestinanyintellectualpropertyrightsrelatedtotheGoods.

b.TheSellerretainsallrights,title,andinterestinandtotheintellectualpropertyrightsrelatedtotheGoods.

7.GoverningLawandJurisdiction

a.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

b.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

8.EntireAgreement
